Sure some shareholders will sue Twitter and force them to spends a moutain of money on legal fees but these class action lawsuits won't actually amount to anything serious since Twitter was trading at a much higher price per share than Elon's offer for an entire year until last November, Twitter's board of directors can make a very solid case for not selling because they are acting in their shareholders future interests.

But then Elon announced that he doesn't want to be a board member after all. Instead, he offered to buy the whole company at a high price. He also implied that he will sell off his 9% share if the offer is rejected. 6. As a board member, Elon would have been bound by corporate rules that forbid him to make a decision that can financially hurt the company. But as a non-member, he can do whatever he wants. He can shut it down or turn it into a porn website if he wants. 7. Now Twitter's board is backed into a corner. If it reject's Elon's offer, Twitter's stock price will tank when he pulls out. And Elon is offering a good price, so the board is pretty much forced to accept it--because the board has an obligation to act in the interest of the shareholders, and the shareholders of course want to make money. If the average person were to try this, they would get arrested for market manipulation. If Twitter declines and he sells as he mentions he might, that would tank the price and that would let him buy the company back at much a cheaper rate.

Let me summarize what's happening here.
1. A few days ago, Elon bought a 9% share in Twitter, becoming Twitter's top shareholder.
2. When the news broke, Twitter stock price soared.
3. Twitter's board was obliged to let its top shareholder participate in the company management (although they didn't want to, because they hate Elon). So the board invited Elon to become a director (a board member), but under the condition that he wouldn't buy any more Twitter stock or try to take over the company.
4. Elon seemed to accept this invitation, driving the stock price higher, because Elon's mere presence makes Twitter desirable to other investors.
5. But then Elon announced that he doesn't want to be a board member after all. Instead, he offered to buy the whole company at a high price. He also implied that he will sell off his 9% share if the offer is rejected.
6. As a board member, Elon would have been bound by corporate rules that forbid him to make a decision that can financially hurt the company. But as a non-member, he can do whatever he wants. He can shut it down or turn it into a porn website if he wants.
7. Now Twitter's board is backed into a corner. If it reject's Elon's offer, Twitter's stock price will tank when he pulls out. And Elon is offering a good price, so the board is pretty much forced to accept it--because the board has an obligation to act in the interest of the shareholders, and the shareholders of course want to make money.
Power moves from Elon. I say go for it.

Damn right it's not good. But, Elon is in a position where he wins either way. As of April 14th around 3PM or so, Twitter's Board of Directors declined the offer. Problem: They aren't allowed to do that. If an acquisition offer is made, then a shareholder meeting has to be called. The shareholders must then vote to accept or reject the offer. That shareholder meeting never happened. There was no vote, and the shareholders had no say.
So here's Twitter's position now: If the stock price tanks and shareholders lose money, the shareholders can sue Twitter for refusing the offer and costing them so much. But, since Twitter didn't follow the rules on public company acquisitions, the shareholders can sue Twitter. Either way, Twitter's screwed.

Twitter is playing such a huge role in everything from nation's elections to just general internet drama. What social media platforms need are less aggresive algorithms that don't create echo chambers that all end up leading to radicalisation. Elon Musk's track record is incredibly heavy on him priotising profit over all else. I do honestly hope Elon Musk has good intentions with this buy up but I can't say im extremely sceptical and would bet that twitter will continue as it is if Elon Musk is able to buy the platform and make it private.
