    @Adam's Everything EV I worked in Finance for many year and that was an excellent presentation. This is not uncommon with startups, especially ones that have few assets. While it may seem predatory, it should be noted that lending money to Fisker was a very very high-risk investment. Companies have a duty to their shareholders to protect their investments. They structured the deal so that Fisker would get its money and they would be protect should Fisker default. Many startups take these terms because they feel they can find alternative financing to get out of this situation at a later time. When they don't do it quick enough, the debt's burden sinks the company. Unfortunately, Fisker's miss management was so vast, that the debt issues didn't really come in to play. Fisker was not a business from the start... that business model had way too many holes. The first warning to investors should have been using the SPAC process.

Lastly, maybe you have heard of a company called Hertz? It is possible but doesn't happen in the majority of the companies going BK.So now you have seen it and can't say "never".

    01:17, the reason why the earnings call didn't mention it nor did any analyst brought it up was the audited financials (10-Q) wasn't available during the earnings call. Everything on the the last two earnings call did not have the audited financials ready, everyone was at the mercy of Henrik and Geeta for info - which had an abundant of false/incorrect info.

    Great video again, Adam! Lesson: Don't put your Phd in economics wife who's never run a company or take out a loan as your CFO. These financials makes Fisker very unattractive to the four OEMs who are considering investing or buyout. Nissan saw this through their due diligence and didn't want to touch it with 10-foot pole. Have about sixty days left.
    BTW, get your review mirror cooling fan this sorted out? Maybe I'm the lucky one, but I had mine since January and have had minimal issues. Just that 3D-printed vent piece and the key fob.

    First of all... a great presentation again. Speaking of key fobs... ours has to have new batteries about every two to three weeks. Even having 2.0 it still will not always be recognized when we try to start the Ocean. And even though we ordered and paid for an extra key fob when we bought our Ocean One, Fisker removed it from our order without telling us, or reimbursing us the $250. So, we have just one, as everyone else. The problem is that should the key fob be lost or damaged, we'll never get the Ocean out of our garage or be able to charge it in our garage. Months ago I talked to a support technician about getting a replacement key fob, he said that Fisker would not do that due to the cost. He said that everyone had been asking for an extra key fob. He mentioned Fisker putting out an NFC card, but that has never happened. I asked him about using the My Fisker phone app to lock and unlock doors. He told me that the software was not ready for prime time and we should not rely on it.

    Bankruptcy in Austria incomming. Their business approach is genius as the price of Ocean in Europe is higher then in USA where you have to add import tax and cover transportation fee. Plus hegemony of tesla.

    Say what you will about lenders like this, but at the end of the day - you know what you are getting yourself into with them. They are going to get their money back, with interest, any way the company goes. If the company does good, great! Then they get their money back. If the company does bad, great! They still get their money, just through a tougher process.

      I think it is kind of the same mentality that brings a mostly reasonable person to take out a payday loan, what makes them think they will be in a position to pay for what they can’t afford this week next week. Optimism based on fantasy.

      Tier 1 Chinese automakers already have their plans to enter the US market. They have the money, the technology and the scale. A niche automaker like Fisker doesn't add any value to them.
      Different story for tier 2 automakers. A reorganized and well capitalized Fisker could be a great opportunity if it comes at a reasonable price.

    Sounds like Tony Soprano and the bust out of the sports store.
    It’s actually a similar model. I used to work for a firm that made these types of investments. The target would be distressed companies that should already restructure, but with management teams that are able to get away with betting what’s left of the company on a long shot to keep their positions. For the note holders, they just made an investment where the base case is company bankruptcy, and they get a healthy return, but if it all works out they make a VC-type return. It’s win-win for them. It shouldn’t have been allowed, but is the result of bad governance.

      There is something I don't understand. Adam said that they are still short on getting their money back so it seems like all they're doing is trying to recover their losses as a worst case scenario. But as an investment it would still be terrible for them to break even ( they would have lost money because of inflation) so why actually take actions that would driver the company into the ground? Will this actually generate a profit for them as opposed to trying to make money from all the shares they now own?

      @@Downtowncondos if they did it right, they’re “short” on what is owed to them….but that’s after the fees on fees on fees on interest. This way they still have a substantial claim in bankruptcy.

That is an unknown number, it was a sure thing bet so i would presume they made HUNDREDS of MILLIONS shorting FSR. Breaking even is just on what fisker has paid them back. they made PLENTY of cash.

    Wow, great detective work. As on Ocean One owner at this point we’re between a rock and a hard place. I lean towards running the car into the ground as taking a $50k loss on the car after 5,000 miles seems like a terrible option.
    What will happen post bankruptcy with the WiFi and basic car functionality….
    I hope there will be an option for service

      Do you think the noteholder gives a damn about service? Money may be accrued but you'll have to venture to court to get it. Even then, who will do the work? Wake up and smell the coffee.

    I think based on what has come out it is reasonable to assume Fisker has been insolvent since before the presentation last summer when they unveiled their pie in the sky plans for new models that they had no intention of actually building. The rest of this has all been moves to hold up the facade a little longer. The question people should be asking is how did Henrick and his wife profit from this? What has been their payoff from the company or did they get some kind of kickback from one of these note holders? Did they mislead buyers and investors about the status of the company? That is the part that smells fishy here. They had to be profiting in some way from keeping this sham going so long.

      I was thinking about doing that on a small scale. But it wont be long before maintenance comes due. Then what? The vehicles havent been tried and tested for longevity yet. Just about every model on rbe resale market is under 6K miles.

    Noteholder has nicely protected himself. Pure speculation on my side, but kind of make sense for minor shareholders to organize and force Fisker into Chapter 11.

      That’s where the Two tier stock comes into play. Noteholder has the most voting shares, second most is the Fiskers themselves because only Henrik and Geeta have Class B stock, meaning 10 votes per share. Minor shareholders are an extremely small minority. Noteholder did the homework.

      @@Aslash304 Doesn´t matter how many shares do you have. Any creditor (shareholder, vendors, suppliers, etc.) can ask for it. I will depend on the court to decide if the request have merits. It´s call and involuntary filing.

    Wow, what a crazy mess. Thanks for the explanation. Did Fisker bother reading the fine print or just blindly sign a stack of papers as soon as they mentioned the amount they would be getting loaned? Fisker can make a pretty car, but he sure sucks as a businessman. I'm still amazed at the amount of people still defending this guy, just because they like the looks of the car.

    One thing for sure you will never see Henrik and his wife or daughter ever again in public. Those three individuals are in hiding. I would say the last final time you might see him or actually be in bankruptcy court when you have no choice, but the face the bankruptcy trustee other than that, I can assure you that man will never show his face again to the general public. Most likely he’ll go back to Denmark, where he lives overseas, and that will be the end of the story of the Fiskers

    Yep. I WAS considering investing in Fisker stocks, purely in speculation, but having followed it I very much felt that a predator lender was driving devaluation. It was pretty obvious. Fortunately I studied that end of it and steered clear. Unfortunately not to many investors analyze before jumping in. I was still, and am still, considering an Ocean purchase but like with having not purchased the stock I am sill doing my 101 analytics of what the future holds for the vehicle. I don’t have much confidence in the Ocean going further with part availability. I believe the mechanical and electrical parts are sources from available vendors and were not engineered specifically for the Ocean but body panels will be tough to source. The operating system, I think, can be hacked. There are brilliant software guys that, instead of creating malicious viruses can hack the OS and maintain it and enhance it. Sad to see, but expected, pure American greed.

      Something to consider and Adam can obviously speak to this but jailbroken car operating systems likely become uninsurable. Meaning your own your own if you get in a wreck or whatever.

      @@ulizes80 Absolutely. I am not suggesting to sit on your computer, if you are a hacker and figure out how to jail break the Oceans OS. I think a better idea is to not be an early adopter, tested of new OSs, and delay the install. Now I have no idea how to disable any OTA pushes. But my point. Fisker was sloppy in testing OS 1.11 or the testing team reported issues and management ignored the issues and delivered the product. If new OS's are rushed and not adequately tested maybe we should be temporarily satisfied with OS 2.0 and not rush into 3.0 until others, who decide to take that risk give others the confidence to then grab it. Software has no wear and tear or mechanical moving parts to fail. Most bricking issues I have read about were 12v battery fails during OS installs. Even when you install new updates of Windows on your computer you are warned to not unplug your computer and to not shut down. So, minus install failures the most that could/should happen is for a user to stumble upon some function in the OS that causes an issue, something not tested or incompletely tested. BUT, that can be resolved by a hard or soft reset, restarting the OS. So, I think the main concerns here would be more in line with Body panels, things like side mirrors, damaged in an accident part vs. the OS or even mechanical and electrical components which can probably be tracked down and found where they were sourced from as Fisker did not engineer and design components that could be more easily sourced. Hope that clarifies as I was joking about a hacker jailbreaking the OS.

    Given that this is correct ( - and I have no reason to doubt that it is not), then Fisker looks like it is headed for bankruptcy - in fact your video seems to imply that it is all but inevitable. So those owners who have serious problems with their vehicles need to file cases with the arbitrators asap, but what about the rest of us who bought the car, actually don't have major problems and enjoy driving it? Do you think that the courts would insist that the bankrupt company put resources aside (rather than giving those resources to creditors) for warranty and parts supplies? Or do you think that for most owners the best option would be to sell asap, even at a heavily discounted price?

      Convertible notes are vital for Startups on early stages of development. They allow them to get money to finance operations and growth they couldn't get access other way. It's a high-risk investment so I understand note holders try to cover themselves as much as possible. But, I do also agree noteholders are abusive.
      Real problem was two fold. Fiskers incompetence and financial markets turning away from EV Startups. Two years earlier it would have been easy to refinance the company.
      Red flags were there from the beginning. Married couple with not proven track holding CEO, CFO & COO position should have been a no-go from the beginning.

    It certainly was a scorched-earth squeeze-out. Those note-holder agreements look like a moot point if the company has no value.. They(which I think is Tata) will keep Fisker a U.S. domiciled shell corporation(for lack of a better term). The shorting operation now complete, what happens?
    I was thinking that Fisker(or whomever Magna uses) is going to dump its software-related operations for a more proven platform like Android Automotive. The software associated with this company has had two colossal failures, and destroys the company.

      @@effingsix3825 See your point. At this moment any other OEMs software is superior. I don´t see anything inherently wrong with Fisker's software, problem is it was released not being ready for a production vehicle. A lot of the vehicle features are not been supported, set aside optimized.
      My point is Fisker should strengthen their software-related operations. It is a core capability they must master and should be a competitive advantage for Fisket to thrive. As you correctly said EVs are tech products, hardware/software integration should be spotless.

    Fiskers have mismanaged, been incompetent and even negligent on the company operation. But I still haven´t seen evidence of them been maleficent or acting in bad faith. Just my opinion.
    On the other hand. I must recognize Henrik doing a terrific job on the Ocean development. Granted, software was not ready and they should have waited 6 months before selling it. Building cars is extremely difficult and he has went a long way with very little money and in a very short time. There are merits on the business model he was proposing.
    There is still value in the company. Hope they can reorganize and finish the vehicle development. It is indeed an very nice car.

    Sort of a very one sided perspective. Fisker got 450 million to design and build an environmentally friendly and fuel efficient vehicle that they could sell for money. They managed to design and build over 10,000 of them. The first 5,000 were launch edition vehicles and were probably moved out the door under the economic pressures we are all aware of. The later builds, after the first 5,000 have improved quality and software as attested to by a number of satisfied owners. The design and build quality of the latter builds is noteworthy, so there is proof of concept. I think it was Peter Lynch's philosophy to buy the product. If there is a good product, the company has a chance. The Vlogger makes many good points as to the premium on the money, however, that probably is not unusual for a risky venture. None of this seems particularly surprising. The Vlogger also indicates that the Notes were due May 1. It is now May 2 and there is no word. I guess time will tell.
