I am socio and I think you missed the inclusion of the General Assembly in the club's governance. These assembly is formed by 2000 socios with voting rights, and they have their separate elections. Among their responsibilities are the approval (or not) of the annual budgets and other relevant decisions that may impact the club's future (like the new stadium).

Something is missing in the explanation. A few of the socios have to be elected to be in the Asamblea de Socios Compromisarios, an annual assembly with the purpose of controlling the club numbers, asking directly to the president and board members important issues, concerns and reservations of the socios, and at last, approve (or not) the annual accounts.

Despite Real Madrid bringing in enormous broadcast revenues for UEFA and Spanish Federation they dont see the fruits of their efforts. Its not fair UEFA is a monopoly and gives Madrid peanuts for their performances. Even Barca is protesting alongside Real. Winners of the UCL get peanuts and teams that exit in the group stage get an unfair portion of the distribution. UEFA won't regulate FFP and Chelsea and Man City bribe their way out each time.

But the thing is, in as much as the CL is a popularity contest, an abundant number of fans like seeing the classic 'David vs Goliath' story because it makes the campaign memorable and amazing to watch... This may sound like off, but I honestly like seeing these stories where a team like Sheriff stuns a Real Madrid, ballistic young Håland from Leipzig lights up the campaign, an amazing 2015/16 Monaco team, Barcã's 6-5 comeback from PSG, an Haller from Ajax out of nothing is has an amazing season and so on... Memorable moments, it's become easier to tell who'll win the campaign because the top teams just have more firepower than the rest that's something we just have to live with... All in all, the ESL can't offer those kinds of moments...

Well it makes kind of sense from his perspective. Real is by far the most successful football club, and everyone has the biggest expectations of them. Anything else other than winning every trophy is somewhat a failure for them. Yet they have to compete against teams that spend money with no limit while they have to face many restrictions that their competitors have not. Not only that, but english teams have disgustingly lots of money. The last team of premier league gets around the same money as the champions league winner. That's obviously not fair,not only for real, but for the whole world. So Perez decided to make a new league that would increase his team's revenue to new levels. The way he tried to do to that was totally unethical and stupid, but the problem he tried to solve totally exists. I think after all that happened we really need to reconstruct football and put new restrictions for all the leagues as wells as make champions league more fair. It's unacceptable that English teams that fight for relegation every year, make more money than any team that plays in Champions League.

Honestly we need a salary cap. Of course many teams have mismanaged badly like barca did or others but teams like chelsea, PSG or city are forcing these other teams to spend money they just dont have just in order to stay competitive. PSG net spent on transfers over last 10 years is more than the other 19 clubs in the league COMBINED. This is just insane.

Hey! It is not true that Socios do not have any vote further than presidential elections. Every 10,000 socios elects 10 representatives socios and these representatives conform the Asamblea, which comes together once per year and they can reject or approve the annual budget, loans, changes in internal rules and they can even overthrow the President and the rest of the Junta and call for elections. I'd like to add and clarify some info as a lifelong Madrid fan: Perez isn't technically the owner, but he is the "de facto" owner and ruler of Real Madrid, without having to put a penny of his own money. The 15% deposit rule affects all member-owned clubs, but there's a catch. Perez made several changes to the conditions to run for presidency, to limit his competition: 1) He increased the minimum number of years of continued membership to 20. In other clubs you only need 5 or 10. 2) Most importantly the 15% cannot be in the form of 3rd party loans or investment. It needs to come directly from the personal wealth of the candidate. This basically eliminated all competition. 3) This 15% deposit needs to be provided before running, losing a percentage of it in case of defeat. It can't be collected after winning. Perez also has great influence over the national press in exchange of info. Any other candidates who say they want to run are immediately targeted. No one wants to take that risk. In Barcelona, for example, I think you only need to be a member for 10 years, and conditions 2) and 3) don't apply. Laporta wouldn't have been able to run. Real Madrid is the most prestigious and successful club in history, you think people would want to be president because of the fame and personal success it brings. And yet since he changed the rules, there have been no other candidates apart from Perez. The last election was in 2006, and he's recently been renewed until 2025 because no candidates wanted to run this year. (Please people give me likes so people can see this)

The only thing it’s missing is Florentino Perez was the one behind the statute change that required presidential candidates to be a socio for at least 20 years and be able to personally guarantee at least 15% of the turnover amount. He raised the bar and that’s why he has been able to run unopposed in the recent presidential elections.
Everything was approved by the club members in general assembly. The 15% guarantee is stated by the spanish law. Also, the 20 years of socio isn’t that much. We don’t want any rich opportunist being able to become president after 5 years of club membership to take advantage of the club.

In Argentina most of the clubs are like this, and all of these clubs end up in financial crisis, sooner or later. Also Argentinian clubs can't go bankrupt, but they still have unpayable debts. This is one of the reasons why argentinian players don't come back to they former clubs to retire (majority of the cases).
The disadvantage of this system is that the club cannot take advantage of its gain in brand value. The club owned by wealthy owners do not mind losses because they know they can make profit when they sell it another buyer.

Florentino "saved us" financially basically through the same model he proposed for the Super League - Buy the best and most comercialy valuable players in the world, put them in the Bernabeu and everyone will watch and brands will dump millions on sponsorship deals. The problem was, again same as the Super League, he forgot about the "middle class". He just bought strikers and offensive midfielders and thought no manager or defensive players were needed. That's why, amongst other things, the project though successful at first ended in failure in just a few years and that's why he resigned. In his return to Madrid he actually learned from his mistakes and while he still believes "Galacticos" are needed (and even demanded by the fans at this point) he realized they can't be spoiled and they can't win games alone. That's why in his first summer transfer window he bought Cristiano, Kaka and Benzema and also Alonso, Arbeloa and Albiol. The season after he would bring a competent manager, CL winner, Mourinho - from then the rest is history. cdd

Despite Real Madrid bringing in enormous broadcast revenues for UEFA and Spanish Federation they dont see the fruits of their efforts. Well it makes kind of sense from his perspective. Real is by far the most successful football club, and everyone has the biggest expectations of them. Anything else other than winning every trophy is somewhat a failure for them. Yet they have to compete against teams that spend money with no limit while they have to face many restrictions that their competitors have not.
Not only that, but english teams have disgustingly lots of money. The last team of premier league gets around the same money as the champions league winner. That's obviously not fair,not only for real, but for the whole world.
So Perez decided to make a new league that would increase his team's revenue to new levels.

Every 10,000 socios elects 10 representatives socios and these representatives conform the Asamblea, which comes together once per year and they can reject or approve the annual budget, loans, changes in internal rules and they can even overthrow the President and the rest of the Junta and call for elections.

I'd like to add and clarify some info as a lifelong Madrid fan:
Perez isn't technically the owner, but he is the "de facto" owner and ruler of Real Madrid, without having to put a penny of his own money.
The 15% deposit rule affects all member-owned clubs, but there's a catch.
Perez made several changes to the conditions to run for presidency, to limit his competition:
1) He increased the minimum number of years of continued membership to 20. In other clubs you only need 5 or 10.
2) Most importantly the 15% cannot be in the form of 3rd party loans or investment. It needs to come directly from the personal wealth of the candidate. This basically eliminated all competition.
3) This 15% deposit needs to be provided before running, losing a percentage of it in case of defeat. It can't be collected after winning.
Perez also has great influence over the national press in exchange of info. Any other candidates who say they want to run are immediately targeted. No one wants to take that risk.
In Barcelona, for example, I think you only need to be a member for 10 years, and conditions 2) and 3) don't apply. Laporta wouldn't have been able to run.
Real Madrid is the most prestigious and successful club in history, you think people would want to be president because of the fame and personal success it brings. And yet since he changed the rules, there have been no other candidates apart from Perez. The last election was in 2006, and he's recently been renewed until 2025 because no candidates wanted to run this year.

The Galacticos came from loans, because even though the club had won multiple Champions Leagues we were on the brink of going bankrupt. Florentino "saved us" financially basically through the same model he proposed for the Super League - Buy the best and most comercialy valuable players in the world, put them in the Bernabeu and everyone will watch and brands will dump millions on sponsorship deals. The problem was, again same as the Super League, he forgot about the "middle class". He just bought strikers and offensive midfielders and thought no manager or defensive players were needed. That's why, amongst other things, the project though successful at first ended in failure in just a few years and that's why he resigned.
In his return to Madrid he actually learned from his mistakes and while he still believes "Galacticos" are needed (and even demanded by the fans at this point) he realized they can't be spoiled and they can't win games alone. That's why in his first summer transfer window he bought Cristiano, Kaka and Benzema and also Alonso, Arbeloa and Albiol. The season after he would bring a competent manager, CL winner, Mourinho - from then the rest is history.
