    I worked at Tesla starting in July of 2017 as an Operations Analyst out of the Bethlehem, PA distribution center facility and left as a Program Manager based out of Austin, TX as of September 2021. I spent most of my time in the distribution and supply chain organizations.
    Before Tesla, I was a Director of Business Intelligence and Pricing at the largest Pet Food & Supply distributor in the US, Phillips Pet Food & Supplies based out of Easton, PA. My wife and I also owned a small business in Bethlehem, PA between 2016 and 2019.
    I have been a shareholder of Tesla since 2012 and currently own Tesla stock. Nothing I say constitutes as investment or financial advice.

      Why are the lawyers entitled to anything. The judgement was to cancel a pay package, so there is no monetary damage value. If the judgement caused a 55b payment to be enacted then I could see a fee based on that but not the cancellation of a package.

      Of course they are working together. The judge and the whole Delaware court is fully in the pocket of the Bidens and we know Biden has been getting all the agencies after Elon. Not to mention, a lot of evil people could also be influencing behind the scenes. She has repeatedly favored anyone who has to be paid excessive amounts, just not Elon in any of the cases he had. This case should never have even happened but here we are. There has to be a way to root out corruption.

    If this is approved investors should file a class action suit against the state of Delaware. Being forced to pay lawyers instead of Tesla's CEO who is still uncompensated for his unprecedented performance is criminal and devalues our investment.

      Agree! It's a real problem here! Everyone's prices go up due to excessive litigation. Doctors, hospitals, etc. have to carry millions of dollars of malpractice insurance, and that cost is part of why medical care is so expensive. Car insurance is through the roof because of ambulance chasing lawyers winning multi-million-dollar lawsuits. Basically EVERYTHING costs more because of excessive litigation!

    The judge and lawyers should be investigated for racketeering and fraud. Every business incorporated in Delaware can now offer large payouts to any stock holder in that state. What a great way to get a massive return on your stock price. Court ordered dividends.

    If Tesla votes to stick with the original package for paying Elon his $56 billion as they originally did then the lawyers should technically lose the case and be paid $0 in my mind. And life’s goes on .

    This amount makes no sense and incentivizes law firms to find a shareholder and use him/her to sue the public company being motivated by those insane amounts.
    I do not understand how the lawyers can ask for this much, it should be their billable hours, plus if they get more than their customer ask for, a reasonable bonus based on their base fee.

    I LIVE IN DELAWARE. Small state with a lot more influence than someone would think. DuPont family (once the richest family on earth) has had tremendous influence throughout this state, especially involving labor laws which eventually, like with the Elon/Tesla case must go through this corrupt court system which just happens to also be the home state of Joe Biden. Unfortunately, the last 3-years have wiped away any sense of pride I previously held in this state. Keep making great content Farzad!!

    The $6B is a percent of the 56B. But the "damages" to shareholders was only about $2.5B, even if the court is correct. Lawyer fees need to reflect the hours they worked or a percent of the actual damages. SO, a much smaller number.
    Of course, the suit was a sham by the lawyers gaming the system, because they knew about their possible payout, from a judge that already was predisposed to find against "the richest man in the world".

    I generally find it difficult that a percentage of the dispute sum goes to the lawyers. When it comes to large sums, the search is of course carried out very carefully and the lawyers try everything possible to get hold of it and win. However, the amount of time required is hardly any different to a smaller case with a much smaller amount of money.
    I don't actually know of any industry where this happens in a similar way.
    In a manufacturing company, a large order also requires more working time and volume discounts are often required here (setup costs are split).
    Even in stores, discounts are common for large orders.
    The lawyer demands his usual 10% of the amount in dispute, no matter how big the “order” is.
    It's almost ironic that the lawsuit is about "overpayment" but the lawyers want to disproportionately fill their pockets with this lawsuit
    The entire law firm no longer has to go to work, which would mean $12,000 per month for each of the 100 employees for over 400 years. (everything before tax)

    Procedurally, the fees will have a hearing, Excessive fees for a minor result will likely be dismissed. Outrageously Excessive requests will likely be denied, and has been by the 3rd circuit court.

    Why are the lawyers entitled to anything from Tesla? Shouldn’t they ask for fees associated with the work on the pay package or at the very least the difference in pay packages after it’s settled? If lawyers in another example order a stop sale order they don’t claim a portion of the value of the object being sold????
    Another example. Say you have a small business and you want to sell it to another person for $x. You have a contract but someone else a third party investor sues and says this valuation isn’t good, the lawyers don’t get 10% of the company. That’s just stupid.

    This is a very important question to be resolved. Lawyers should verify if the contract, that the Law Firm which did claim that Elon s compensation was in detriment of Tesla shareholders is void due to the fact that there was no damage since Elon did a great job reaching all the milestones whereas the lawyers now are really hurting Tesla shareholders which there fee claim. The rational of demanding is to get a compensation for a damage and not to cause a real damage paying fees. Besides that this exactly should the judge have considered when making a ruling and so the sentence should be declared null and void.

    This is a clear example of legal parasites using the courts to enrich themselves. I see this practice as a cancer in the US business that needs to be cut and stamped out. These lawyers need to be named and shamed as well as jailed for fraud. The reason is that the majority of the Tesla shareholders did not hire them only one shareholder did that shareholder in this case should pay their bill at best, for this, they also should lose their license to practice law.

    Elon's $56 billion compensation package was worth, say, 8% of Tesla's market capitalization at the time the judge ruled on the case. If the lawyers are correct in claiming that their actions benefited shareholders, then, logically, we might have expected Tesla's share price to rise by about $56 billion dollars (8%) due to the court ruling, because the company was suddenly $56 billion richer. Instead, my recollection is that the share price dropped very slightly (1% or 2% or something like that) on the news. As such, the stock market's reaction to the court ruling suggests that the lawyers did not provide $56 billion to shareholders (but possibly actually removed a small bit of value), and hence a $6 billion payment to the lawyers is not justified.

    Delaware Court of Appeals should make this go away. They should declare that the "shareholder" lacked standing to bring the suit and void the judgement OR find that the trial judge was simply WRONG in her conclusions. The first blames the "shareholder" and by extension the lawyers and goes a very long way towards making DE a better place for corporations to "stay" or incorporate while the latter slaps the judge hard and has the same effect. It depends on how clearly they want to admonish HER. In either case, the lawyers lose and the "shareholder" is still protected as his agreement for $10,000 to bring the suit is still a valid contract and the lawyers knew what they there doing when they drew it up [he's probably already gotten paid]. But both outcomes have a "chilling effect" on this type of shenanigans in DE. That would be a GOOD thing for DE. Perhaps they determine that you can't be shorting the stock, that that doesn't mean you're a "shareholder" but rather an "Anti-shareholder". In fact, it might open up the Chancery Court of DE to accept cases AGAINST short sellers who abuse their power which wouldn't be a bad thing either, at least for DE corps and by coincidence the DE Court of Chancery! This might be unpopular in DE because part of their "cottage industry" is both the Chancery Court AND the legal firms that takes cases to be heard in it. But, if corps flee DE, they lose, so they'll just want to blame the judge anyway if she's determined to "be at fault". And, of course, the lawyers cannot sue her or the courts as they are the hand that feeds them and it would NOT go well.

    I want 100 million dollar investigation to verify non of the money going to the lawyers trickled down to anyone having anything to do with the judge.
    The chance that some person 3 generations removed from this judge is making money on this is way too high. If that is true people should be going to jail.

    It's not up to the lawyers to play investor protector. The lawyers act in accordance to direction from their client. i.e. Tesla. Lawyers are just hired labour.

    The lawyers saw an opportunity, given that Tesla’s business had grown spectacularly but in an area where crazy innovation was a critical factor, and swooped down to grab a huge piece for relatively little effort. It’s simply criminal mentality on the part of the the lawyers concerned! The Italian Mafia would be so proud of them!!

    How does one put a monetary value on stock that hasn’t been bought or sold in the market yet? All this is paper gain/loss. The sp could easily go to zero today and be worthless. Lawyer’s pay should be based on the value of the paper saved when the stock was not issued to SEC.
