    Figured I'd save this for the comments...the plaintiff in this case had 9 Tesla shares. As Elon always says though, the real plaintiff is always the class action firms behind the whole operation

    The Judge is essentially saying shareholders are stupid for accepting the deal, forgetting a vast majority of shareholders are way smarter than her.

    Richard J Tornetta had 9 shares when sued Elon/Tesla. He's a thrash metal drummer and owns a parts store. Psychologically, I get the feeling he is one of those who cannot measure up in life and hates the ones succeed more than him.

    In one of your videos late last year, you mentioned a program in Texas that had some $2500 grants for people who purchased electric vehicles during a specific time. One of my brothers made such purchase of a Tesla model 3. When I heard it on your video, I immediately contacted him with this information. The next day he applied for the $2500. Today he found out his request was excepted and he will be getting the money soon. We just wanted to say thank you for information like this that you provide in your videos. Keep up the great work.

    So this Judge in Delaware improperly ruled against Elon in both the buy Twitter case and this one. At a minimum, Tesla should incorporate elsewhere.

      67% of shareholders approved of the compensation. How does someone with a handful of shares (9?) reverse it? The compensation is based on crazy stretch goals. Elon is a rare person. The heart behind Tesla, Space X and recently Neurolink implanted the first chip in a human. This isn't Frankenstein but to help the severely disable to communicate and perhaps have more mobility.

      Improperly? How so? Elon agreed to buy Twitter before doing the due diligence and had to use Tesla as a piggy bank to pay for it partially. This should concern you as a Tesla shareholder. As far as the $55B+ ruling... the compensation package was the largest in history, 2nd largest was guess who? Elon again. Elon is the face of the company no doubt, but the board of directors do their job in negotiating the compensation package which is part of their fiduciary duty to protect the shareholders. That was the heart of the argument for this case and it was abundantly clear that the BoD were biased towards Elon.

      Tesla shareholders approved the package. The Board created the package. Shareholders put the board in place. Some clown with 9 shares are not happy while million with a lot more shares are happy, Elon had to earn his options. He grew Tesla from a $40 billion to $800 billion. Any CEO that can grow 20X deserves to be paid well.@@iko3

    IMHO, they should reincorporate in Texas or Nevada and then redo the old comp package. In the process of reincorporation, they could build a different stock structure that Elon has been eluding to recently...

      I am no business lawyer, but if it was that simple, I am guessing the army of lawyers Tesla has hired would make a move like that to make sure Musk got paid.
      It sounds like this is something Delaware could have fixed, and maybe their state legislative body could make the changes would be my guess. Not sure how they view Musk, but they love being one of the most corporate friendly places in the US, maybe Canada as well.

    Lesson not learned from the first Twitter lawsuit, Elon. 1. Never incorporate your business in the state of Delaware. 2. If currently, incorporated in the state of Delaware; incorporate your business in a more business friendly state like Nevada. The only winners in this case are the lawyers.

      Fact! No other company in history of complex product manufacturing did what Tesla has done in increased production. Famous bear said that was impossible. How can the judge say it was 'not fair' compensation.

      If you mean less and less, based on them opening factories in other nations to build locally as much as possible, maybe. The expansions in Nevada and Texas means they are growing their US production. They are just willing to build anywhere that makes sense. Musk has spoken of how it is better politically and for the environment if they can build as much of the vehicle locally in each major market.
      Ford, GM, they are the ones who feel less and less American as the years go by. @@SetTheCurve

      @@hoppingrabbit9849 They build most of the parts here. They have battery factories here. They are building lithium facilities in Texas. They do what they can to source locally. Far more effort put into going local than any other manufacturers. There is a reason Tesla vehicles are listed as the most American vehicles you can buy when looking at parts and labor.
      Tesla is partnered with former Tesla employee, founder of Redwood Materials, to create a closed loop program where all battery materials will be sourced through local recycling. We will see if they meet that goal, but it another way they are becoming more American.

    I think this simply comes back to another shareholder vote, given all shareholders have had now the benefit of history and hindsight. I'm pretty confident the shareholders would vote in favour and that would eliminate the judgement completely.

      Especially knowing how much value tied to tsla stock was sunk into the twitter acquisition
      And knowing that some shareholders are not pleased with recent events (seeming lack of focus on moving Tesla forward & all but threat to grow ideas outside Tesla if not given another comp plan which this set precedent for)

      @@osaimola None of that changes anything if the shareholder has had shares since the comp plan vote in 2018 and seen the results in their portfolio value to now. It’s only short term traders and new shareholders that may have a different view. Had you been a shareholder in 2018 and now seen the results of the insanely hard comp plan play out honestly vote against it? Would you really vote for your shares to go back to $17 per share from where they are now?

    This ruling is basically saying that the next compensation plan has to be an adversarial process if Musk wants something similar to the last plan. That is, the Board has to offer less and Elon has to say he's going to leave the company unless they improve the offer. If the Board calls his bluff and takes the lower offer to a shareholder vote, and if the shareholders side with Elon and vote 'no' to the Board's plan, what happens then?

    It is disappointing the judge seem to ignore Tesla hit historical record levels of success. Few manufacturers have had the growth rate that Tesla achieved under Musk. If you looked at what "experts" were saying about Tesla at the time this comp package was created. I am sure many were laughing at the idea of Musk hitting the performance goals. Using the thinking of this judge, I believe Lucid, Rivian, and GM, need to have lawsuits filed against them. I am sure the law office who pulled this crap case into court might do the same against other companies.

    That Delaware judge, an absolute waste of space. 80% of shareholders voted for the package which had seemingly impossible goals. Delaware is going to lose a LOT of businesses.

      Ultimately, comments like this would actually support the plaintiff. He argued that the *company* knew the goals were 70% likely to be achieved, while shareholders were led to believe they were "seemingly impossible". If you wanted to support Musk, you'd have to comment that you (and shareholders) knew the early goals were likely and that the compensation for those early, "easy" goals (independently of the later goals) was fair.

    I have a 2022 MSLR and am getting the full range specified averaging 248w/mile since it was delivered. This is my 4th Tesla vehicle and they have all been excellent and getting specified ranges advertised.

    19:45 fairness under DE law is heavily influenced by what is “market.” You can override all those considerations IF you have properly informed SH approval of a comp plan negotiated by a board not controlled by the CEO. It is not that difficult, I attribute this whole issue to poor implementation of the process by Tesla’s counsel.

    TSLA is by far my biggest holding, so no fud, but when you own a company you're always "working for free". It's not about "he has enough $". I've worked for myself most of my career, and the only way I got paid was to run a profitable business.

      @@frednicholsonFidelity purchased those shares. Elon didn’t buy a share , he chose to be CEO and he chose to buy this company. Dillon misinterpreted this verdict in my opinion. This package needed to be voided and was unfair to shareholders. Who signs up to be diluted to hell by the CEO so he can fund his pet projects. He’s blaming Delaware for his shortcomings instead of himself. This verdict is good for Tesla shareholders because it sets a precedent for this CEO who wants to be a social media star. I feel no sympathy for his loss of an unfair compensation plan. The only ones arguing are his fanboys. I will be unsubscribing from this channel as misinformation is being spread.

    Somehow Toyota's Toyoda IS NOT embarrassed. How was this not possible?
    Goofed in selling it's Tesla stock? Blew it denigrating EV's? Totally screwed the pooch by relying on Hybrids ONLY? Was absolutely delusional in running off in ALL directions at once, pursuing every kind of power train short of rubber bands?
    How about launching a flagship EV where - wait for it - THE WHEELS FELL OFF!!!!
    THAT should be a tad embarrassing! People do notice, you know. Wheels are, I dunno, kind of basic to a car's function. They should stay on. Seems like a crucial minimal thing to demand, that the wheels stay on while driving. This is as basic & low-tech as it gets in automobile manufacturing.

    Dylan i think you did a great job of covering the ruling. That said, I think ruling really shows that Elon and the board messed up. I think for the most part it's worked out okay for us share holders, but the the judge is making some solid points. This wasn't really a negotiation, it was Elon deciding his unprecedented compensation.
    I think this bodes well for us on the next compensation plan. It will have to be even more ambitious than the last one. Lets just hope Elon doesn't decide to leave instead.

      No, Elon and the board didn't mess up by negotiating cooperatively. Elon offered a plan where he would grow the company by over 1000% and he asked for a 10% "commission" to be paid ONLY if the growth was achieved. Quite fair by any standard except for greedy lawyers and incompetent judges.

    In all honesty the best thing Elon can do is to walk away. I say that as as shareholder with a little bit more than 9 shares.
    From now on, regardless of what ever remuneration plan they put in some jerk with a couple of shares will challenge it. That ruling is just totally rediculous.

    At the time that the compensation plan was approved, all of the financial talking heads were laughing at the plan because they all considered the bench marks as unattainable. Elon went through "Production Hell" and he does not get paid for it?

    This now will set a precedent for all companies operating in the USA. Any one can challenge any compensation package approved by a company and its shareholders at any time. Second: Owning share in a company has no bearing on how much someone is being paid for work done. 🇨🇦

    I rarely see anyone compare real world range to Tesla's estimated range. Tesla only displays estimated range on the "Energy" screen/app. Instead everyone looks at Tesla's "Rated Range" number next to the battery icon. This is the range on the EPA test cycles, not an estimate of what you will get based on your driving, weather, and terrain. For Tesla to make the rated range closer to "real world" range, EPA will need to change their test, or drivers will have to drive closer to EPA test conditions. Driving 55 mph with low wind at 75 degrees F on level ground will get about the same range as EPA.

    I was recently at a RV show where these two Chinese was selling a product. They were very friendly, I asked them about there 5% GDP for China, they said China government over inflate there actual GDP saying it almost 1/2 of what they say. I don’t know but thinking it possible. They also said China has made some bad decision on projects, they say China hurting financially as a country. Thoughts??

      How does that devalue your investment? He literally has to give the shares back, the money is still there. You want it to be a profitable le company right? That amount of money was more than Tesla has made in profit Total. So where does it come from if otz not profit? Bilking the shareholders is where that money would come from.

    I'm wondering how the plaintiff got to the 70% likely to achieve goals value? That seems very much spitballing to see what sticks. Going from $60 bil to $650 bil does not seem like an achievable goal given the timeframe. Especially for a company in the automotive arena. I just call BS on this.

    I am confused about the Tesla Sales in Norway/Netherlands region. Aren't those areas affects by the Strike against Tesla? You know, the people that aren't unloading the ships, and servicing their shop, and delivering their good.

    I respectfully think you spent too much time justifying an unjustified judicial decision. The 2018 Tesla Proxy Statement clearly laid out in detail the package and 81% of the shareholders voted for it. Overturning this vote years later with no indication of fraud is untimely and unjustified.

      Have you read any of the actual ruling? I have just started the 200+ pages, but it seemed well reasoned to me. It seems like Tesla would be better off by not filing an appeal and actually engaging in a real negotiation that focuses on the interests of the minority shareholders. When the person who was doing most of the back and forth between the board and Elon, goes on vacations and had previously represented Elon in legal proceedings, it seems reasonable to me that he may have been biased. The board members involved had relationships with him for over a decade.

    Not gonna lie, based on your assessment of the compensation stuff--seems pretty fair to pull at least some of it. Not sure I really understand the after hours stock market reaction going down hard--theoretically it seems beneficial to shareholders to have some large sums of compensation now unawarded, as long as Elon doesn't leave. I find it hard to believe he would, for many of the points the judge raised. A very expensive lesson for Elon and the board to do better next time.

      If you read Walter Isaacson biography you know Elon has episodes where he needed others to pull him back to reality from all the impulsive stuff. This is one of those moments, except the judge is doing it rather than Kimball or Antonio gracias. I think Elon deserves a lot of the 2018 package. But the Twitter stuff and now he regrets losing too much control over Tesla and wants more votes is childlike behavior. Hope this rule, regardless of outcome of appeal, resteers him back to Tesla and his job as CEO.

      Elon does not need Tesla. SpaceX would be the winner if he leaves. With him leaving, you can kiss goodbye to the Model 2 production numbers and share price. In the end, China will be the winner, even if they will nationalization of Tesla China.

    What a waste of time, effort and money for a Delaware court has decided that a Tesla board 2018 compensation package for its CEO was "Un Fair". In my letter head I'll state that decision and place it in all of the Tesla board members personal files and call this idiotic law suit complete, and only charge them $100/hour as my legal fee.

    GM's EV sales are being hurt by their greedy dealers. Bolt sales are subject to $5K to $10K dealer markups. I think people will just boycott rather than put up with it. The line has been drawn in the sand.

    Pretty even-handed analysis on your part. Temptation is to just complain about the court decision, but the court had a tough job to do and had many valid points. It seems you added your black-screen comments after recording this to take the side of Elon a bit more, but all in all. a pretty fair interpretation I'd say. Elon lost a case he should have lost and now, he can adjust because he cares more about his mission than his money I believe.

    The recent earnings call cast a grave shadow on the timeline for cars actually produced in Mexico---the car is not designed yet, so there's obviously no prototype. The initial production will be in Austin.
    The progress cited is progress from the Mexican government. Given the history of Tesla and the complexity of the task, what, honestly is the over/under for the date of volume production in Mexico? I'd take the under if it's five years.

    The agreement was clear!
    1. Work your ass off sixteen hours a day, seven days a week, for years, and make a company grow beyond what shareholders could believe, and you will be rewarded along with every investor and worker holding Tesla shares.
    2. However, if you fail, you will receive no salary for your many years of work. (Accepting a few dollars required by law.)
    3. Shareholders voted on this and approved it! But now, years later, a judge says that Tesla's shareholders were too stupid for their vote to count. So she's taking over and canceling their vote.
    4. If this judge can prove that Tesla shareholders were misled, misinformed, or lied to, then there should be a new shareholder vote. As a shareholder, I don't believe I was misinformed or lied to, and I believe the majority feel the same and will again vote to approve!
    5. How can it be that a shareholder with nine shares, and what seems to be a biased judge, have the power to nullify a shareholder vote rather than hold a new one? I believe this threatens America's freedom, our capitalist system, and our democracy!
    Canceling votes seems to be in the 'political news' more lately and I believe it is a grave danger to our country!

    Dillon, you talked about a silver lining, but I did not see what that was. The compensation package is voided. You said the bod would have to structure a new plan with wildly ambitious goals, foregoing any milestone that is Tesla is already on a trajectory to meet. So, if I'm hearing you correctly, Elon wouldn't get one more share for many years, so where is this silver lining? The company is at $600B. We're dealing with the law of large numbers. We can't assume Tesla will reach $6T in 3 years, so now the company is vulnerable to activist shareholders. If they decide on a new compensation plan while they're still incorporated in DE, someone with 9 shares will just sue again after Elon reaches all the targets. IMO, Elon has to appeal. If he loses again, he has to walk. This is slowing Tesla down, perhaps destroying the potential, just as this anti-American administration wants. This was a political assassination. What happened to, a deal is a deal? Why is there no statute of limitations? This should have been addressed before all the milestones were achieved. And all the comments from the judge about why Maron cried, what the shareholders knew, etc. is all conjecture. Yes, mistakes were made. I think the only thing that should be clawed back is the first 3 tranches, which were achievable without Elon. What a crappy defense team Tesla has, not some A-Team like we were promised. No shareholder benefits from this decision, only the competition and short-sellers. And DE is supposed to where shareholders are protected.

      United States also has a major chip maker that being intel it’s just that chip making in general is very limited since it’s so hi tech. Look at the companies that makes the machines they use to make chips … it’s like 2 companies and it’s not in Taiwan .

    I don't think the Model Y was the *first* time an EV was #1 in global sales. Hard to say for sure, but when the internal combustion engine was invented in the 19th century most cars sold back then were electric, more than steam or ICE.

      SUVs are considered as light trucks for EPA fuel economy and CAFE (corporate average fuel economy) standards. As light trucks they only have to meet the lower truck CAFE requirements, instead of passenger car CAFE. These CAFE requirements are a major reason that US automakers discontinued most of their passenger car production in favor of SUVs.

      It's not $55 or $60B. It's the number of shares which would need to be reissued to Elon. Their current value is about $500B.

    In 2018 Tesla and Elon were mocked, because experts said he could never reach the required levels to get the compensation. Then Tesla blew through those levels, and everyone except for shorts, made tons of money. The best opportunity for value investors, is for this to go away, and for Elon to get a new, unattainable deal. Maybe something in order of getting enough shares, to own 25% (from his current position), if Tesla reaches 10 trillion dollars. I know I’ll be a huge winner if Elon reaches that goal. I suspect 99.9% of viewers of this channel would be the same.
