Follow below solutions:
1) if you are using cellular data to update watch then switch to wi-fi And make sure your wi-fi connection is strong.
2) Make sure watch app is updated in your iPhone.
3) Also connect your apple watch and iPhone to the charger while updating.

I am really sorry to hear this. Let's give it one more try.
1) Charge both of your iPhone & apple watch upto 70%. and while updating keep both of your device connected to the charger.
2) also update your watch app on phone if possible. if you haven't update your iPhone do an update. this also might be the reason that your watch isn't connecting to your iPhone.

Hi, I’ve IPhone 12 and IOS 16. When I attempt to connect my Iwatch 3series, I’m unable to connect. First the software is getting downloaded in mobile app and then it is getting downloaded for the watch. Once done, it shows preparing for installation. However, it is not connecting even after long hours. I make sure both the devices are in charge while doing this, still it is not connecting. Please can you help me how to resolve this.

Follow below solutions:
1)Hard reset apple watch > when the apple logo shows hold down the button next to the crown and hold for 30 seconds > select erase all settings and content.
2) After watch resets > power down the watch do not hard reset, move the power slider to the right you might have to put in your wrist to do that and then put it back on the charger.
3) On your iPhone sign out of iCloud completely > go to settings > general > scroll down > shut down iphone (do not hard reset)
4) Power up Watch and then your iPhone > sign into iCloud/AppleID
5) Start the pairing process > it should say your watch is now paired > select update > it will give you the update error again saying no internet but let it sit for a minute. This will be connected.
