    Matt, thank you so much for such a speedy reply!!! My forms are now completed and I will drop them in the mail tomorrow! Several months ago, I received my first approved LLC for a business that I started and now I will have my second LLC for another business within a few weeks. It has been a long-term dream for both businesses and things are looking great! Thanks to you, I was able to keep money in my pocket due to fact that I followed your instructions and was able to process the paperwork myself! I even have my EIN!     Definitely going thru your website you explained it so perfect and I am a Blind person so Pdf’s are not my friend with my screen reader for the blind so I will have my wife or daughter help me but your videos are so informative you don’t even know . Lol thanks boss

    Thanks for the video my friend.Amazing video very simple and you explained everything clearly. Going to open my first LLC once I fill these forms out. I’m a blind producer/engineer and want to open up a multimedia company. I was going to hire a register agent but sounds simple to fill out so I am doing it myself....

      For the Docketing Statement, I'd use your own address, as this will be tax mail from the PA Department of Revenue.

    Hi Matt, you may or may not know that there is an updated form (DSCB: 15-8821 - rev. 2/2017) which is now being used by the gov. The form you are using here is outdated and is no longer being accepted. Would you please explain question #6 on the new form? Thank you and I love, love, love your tutorials!     Hi! You did a good job explaining the steps. I applied for my LLC it was rejected due to not being specific enough in my business activity on the docket statement now I have to correct it with a date stamp. What date am I suppose to put on it?

    Hello, this video was very informative and helpful to me as I'm interested in starting an LLC. I wanted to know if you could start doing business before the start date that you put on the form because I'm unsure when I will start?

      The LLC can't operate before it exists. Luckily PA LLCs are approved relatively quickly, so you won't have to wait too long ;)

    Hi Matt,
    Appreciate this really well-done tutorial. When you're writing down the date that you started the company, is that the day you first started receiving money as a Sole Proprietor for the services which you will now be compensated for under the LLC?
    If someone writes you a check for services, and write it out to your name, are you still able to tax it under your company/claim it as income just as you would if they made the check out to your LLC? Would they have to make the check out to "_____ LLC" or could it just be "_____" (the name of the company without LLC)?

      Hey Cubbage, you're welcome. Thanks for the kind words! No, you can't back-date the LLC. The date will essentially be "today"... whatever day you are completing your paperwork. That income made out to isn't supposed to be claimed under the LLC, but it doesn't really matter from a monetary perspective. Meaning, since your LLC will be taxed as a Sole Proprietorship anyway, you'll have some earnings under your name and some under the name of your LLC (different schedule in your tax return). Think of it like this. You'll be paying the same amount of tax, but instead of the income being on just one schedule, it'll be on two. Regarding checks, it's best to use the full legal name. It all depends on the bank, but most banks want the full legal name of your LLC. Hope that helps!

    Matt Good job! My question is switching from a sole proprietership to an LLC with the same business name, do I need a new EIN if the business name is the same? And step #6 the effective date. I have been a sole proprieter for 3 years do I put that date in or the date of filling out form for the LLC?

      Yes, it's best to get a new EIN. Using the old EIN, although will work on the surface, can cause internal issues at the IRS.

We're trying to figure out a better way to keep things updated on youtube... but you can't edit out chunks of a video... it would need to be deleted and then a new video uploaded. We're working on improving this.

      If you applied for the EIN before the LLC approved, it depends. If you filed your LLC later, under the same name, and it was approved, then you're good. If the name is different, then you can just apply for another EIN (and deactivate the first one: www.llcuniversity.com/irs/cancel-ein/)

    Hi I wanted to set up a holding company for real estate and have operating companies llc inside it... how will I for the holding company llc ? Is it the same process of forming the operating company llc? Should I word the holding company different or from a operating agreement with specifications that that’s the holding and that’s the llc? What differentiates both entities

      Hi Fivestargen, yes, the process of LLC formation is pretty much the same except for the Operating Agreement. The Operating Agreement for the holding company has you as the Member. The Operating Agreement for the Child LLCs (subsidiaries) has the holding company LLC as the Member. If you are filing the LLC yourself, you can also sign a Statement of LLC Organizer (www.llcuniversity.com/statement-of-llc-organizer/) to make the paperwork even more clear. Hope that helps.

    On your money order can you write in the virtual/rental (Real street address)? Also for the Docket statement page section: "tax responsible Party" for the mailing address portion can you use the virtual/rental (real street address) here?

      You're very welcome! Videos take a while to produce. The quick answer is 99% of people operate their LLC on the calendar year. This means for taxes and accounting, your "year" runs from January 1st to December 31st. As comparison, a school district may run on a fiscal year of September 1st to August 31st. Hope that helps!

    I would like to know how can I create an LLC in the state of Pennsylvania (I have relative who lives there, of course!)?

      Hey Garcon, check out our course on the website as it's easier to follow (www.llcuniversity.com/pennsylvania-llc/). You can either file yourself (online or by mail) or hire a filing company (we have recommendations on our website).
      You can use your family member's address as the Registered Office or you can hire a Commercial Registered Office Provider (CROP).
      After your LLC is approved, you'll want to get an EIN from the IRS. You can get an EIN even if you don't have an SSN by following these instructions: www.llcuniversity.com/irs/how-to-apply-for-ein-without-ssn/
      And we have information for foreigners opening US LLC bank accounts here: www.llcuniversity.com/foreigners/open-us-bank-account-llc-non-resident/.

    How hard is it to change your address when you finally get a physical location and should I spend the money on a USPS box or use my address in the initial filing?? Please help!!

      Hey Dee, if you just put the address on the Certificate of Organization (for the Registered Office), it's easy to change. It's called a Change of Registered Office and it costs $5. We have info here: www.llcuniversity.com/pennsylvania-llc/change-of-address-registered-office/. But if you put that address on the Docketing Statement, that would need to get changed with the PA Dept. of Revenue (that's what the Docketing Statement is for... it sends your LLC info to Dept. of Rev.). It may be easier to figure out your address strategy before you start. We have more info on that here: www.llcuniversity.com/pennsylvania-llc/registered-agent/. Hope that helps!

    I do social media and have clients from a lot of states in the USA and some outside the USA I chose to have a domestic LLC will that hurt me should I have chosen the foreign?

      A Foreign LLC is not foreign to the US. It's foreign the original state of formation. For example, if you form an LLC in Pennsylvania, it's a domestic LLC. If you register your Pennsylvania LLC to do business in California, you file a Foreign LLC registration in California. Search our channel for "best state to form an LLC".     Hi Why Do This Say PENNSYLVANIA DEPARTMENT OF STATE BUREAU OF CORPORATIONS AND CHARITABLE ORGANIZATIONS What do it mean when it says charitable .. Because im doing this for a clothing line. should i fill this one out? and how do i get my logo stamped for approval?

      That is just the name of the department. It's the Bureau of Corporations and Charitable Organizations, which is "inside of" the PA Dept. of State. They handle all business registrations (LLCs, Corporations, etc.) as well as non-profits. I'm not sure what you mean by "logo stamped for approval". Can you explain? Do you mean your LLC approval? A trademark approval on your logo design (or word)? Or something else?

    what if you want to use a fictitious name?
    If I'm operating a food service business, could I say my services is "Customer Service"?
    I already have an EIN number because I was operating as a sole proprietor under a DBA is this okay or do I need to file for a new one?

      Hi Yakima, this video might not be the most helpful as it's about LLCs with fictitious names. Are you going to remain as a Sole Proprietorship for operation? Can you also re-phrase your last question? When you say "new one", are you talking about an EIN or a new DBA?

      Hi Yakima, honestly, I'm not 100% sure. We don't do a ton with multiple DBAs and EINs. I believe you'll just retain 1 EIN, but please check with an accountant on this one. Apologies I couldn't be of more assistance.

      That is correct. What you were originally asking though was implying that your DBA is for your Sole Proprietorship. I thought you wanted to remain operating as a Sole Proprietorship. If you want to protect your assets and form an LLC, then you'd get a new EIN after the LLC is approved. And you won't need a DBA at that point. You can just operate using the LLC name.       If you order a money order at post office, bank, 7-11, etc... most of them will print the "pay to" person's name. Hope that helps.

      Yes, you're right. However, what you're really getting in that situation is tailored/specific advice and (hopefully) a customized Operating Agreement applicable to your situation and goals. Hope thats helpful.
