Note, the confirmation page states, "It WILL take up to two weeks before your EIN becomes part of the IRS's permanent records" which means you must wait for that time period before the new number will pass the IRS taxpayer ID matching program. That means sites like Etsy cannot validate your new EIN until that occurs. Just keep that in mind if you're preparing for or in the process of setting up a new online retail store or business.

The address with the IRS is the mailing address for your LLC. It's best to use your actual address. This doesn't affect the publication requirement. Hope that helps.

Hey Guillermo, reference number 105 means that you've made too many attempts online to obtain the EIN (using the same SSN, ITIN, or EIN), each leading to an error reference/code. Solution: Wait 24 hours and try the EIN Online Application again. If you still receive an error message, then we recommend filing Form SS-4 by mail or fax.

Thanks for the video, I was able to follow through easily. Probably you could update the video to include my comment as follows. I am a Canadian and wanted to apply for EIN after the LLC was formed. Your video mentions that I will have to have a ITIN to apply for EIN. That is true when using online application, However by downloading the paper version of form SS-4, I was able to fill "Alien Individual" in place of the SSN/ITIN field and was able to Fax the application. I was advised by IRS on phone to do so.
Excellent comment! Yes, this video is outdated in that respect and this was a mistake I made then. I will pin this comment at the top for anyone else who does not have a US SSN. Use the paper Form SS-4 (www.irs.gov/pub/irs-pdf/fss4.pdf) and send it in by mail or fax (fax is much faster). On line 7b, write "Foreign".
Hi! I was just reading the Instructions for Form SS-4 and there's a Apply by telephone option, which is available to international applicants only. I'm from Brazil and just opened a LLC in Florida. I got confused because under this option it says: "If you have NO legal residence, principal place of business, or principal office or agency in the U.S. or U.S. possessions, you may call 267-941-1099 (not a toll-free number), 6:00 a.m. to 11:00 p.m. (Eastern time), Monday through Friday, to obtain an EIN". I've just spent my entire day doing research on ITIN, 16 hours literally!! I really appreciate all the information you provide for free and step by step, gently holding my hand and walking me through the process of forming my first and dearest LLC. But because of this tiny mistake I completely freaked out and lost my sh*t a couple of times while reading ITIN application process - how I need to mail my original ID with my address on it, when my ID doesn't have any address on it and they're gonna reject it, how the process will take 6-7 weeks and they will mail the ID back to me when I'm going to move to another country in a month and I don't know what address to put in the form to get the documents back, so I need to move first, settle and then apply and a number of other terrible manipulations I need to do in order to apply for the ITIN, for example to file a federal tax return, when I don't know anything about it and will have to hire a layer anyway! And just 15 minutes ago I found an article saying that I can file EIN by fax. I headed to youtube to leave a comment for others and give a link to the article and I see that you are aware about it! LOL "Video is outdated and I've made a mistake, sorry" - that is a nice attitude you know! I've lost half of my hair today and the other half has turned gray :'D A tiny note on your website right above the video, saying we don't need ITIN to file by fax, would have changed the game. All US citizens and permanent residents have a Social Security Number (SSN), which enables these individuals to apply for an EIN. If you are a foreign national with a green card, you can also use SSN.

Hi Cody, you're very welcome :) For the IRS, we recommend using your best address. The IRS doesn't really care about who/where your Registered Agent is. They just want a good mailing address. Your Registered Agent also doesn't want you using their address for all kinds of business things. It should really just be used on the LLC paperwork.

Hey Daniel, thanks! Appreciate the attention to detail ;) The Brazilian non-resident alien got it done, but it's technically not correct. That international phone line (267-941-1000; 6am-11pm US Eastern Time) is for companies that were formed OUTSIDE of the United States... not for non-US residents who formed an LLC INSDIE the US. The only method we stand behind is mailing or faxing the SS-4 (instructions here: www.llcuniversity.com/irs/how-to-apply-for-ein-without-ssn/). If you hire an attorney or other person to get an EIN for a non-US resident, they are still completing Form SS-4 and entering "Foreign" in line 7b. The only difference is they add themselves at the bottom as a Third Party Designee. There is no way to speed it up though. So anyone who claims they can get an EIN for a non-US resident in days is most likely doing something incorrect (they shouldn't be listing themselves as the EIN Responsible Party and using their SSN, for example). Either that, or there's something we don't know. However, we've worked extensively on this subject matter. I'm not saying we're 100% accurate, but we don't publish any information we can't stand behind. If I'm wrong though, do let me know. Thanks!

We don't know if there are repercussions; we can't say for certain as we're not the IRS. Again, technically that phone number is for companies formed outside of the US that want to get an EIN. So while you may get an EIN, we have no idea if the IRS representative understands what's going on and/or how they are entering your information in their system. There is a chance the EIN is issued, but the record isn't created correctly. The reason we don't publish this information, is that we can't stand behind it. And we don't know if it's a guaranteed/reliable "loophole". We only publish something if we can back it up and we know that it works for thousands of readers.
So, I've created a bit of a dilemma for myself. I created an EIN first but then found out that the business name I listed it with was taken. So I decided to send the IRS a cancellation letter like you've outlined in your website, and after nearly two months, I've heard absolutely nothing back. Now my question is: do I send a second request to take that EIN down, or just forget about it and create a new one? Does it matter in the first place? I'm hoping I can just shrug it off and make a new one (this time researching a name that isn't taken ahead of time) instead of waiting another two months for a confirmation that might never arrive.
The IRS is required to respond in writing to written requests within 60 days, so you should receive confirmation shortly of your first EIN cancellation. Don't cancel it again, but you can always call and check the status. That's the easiest thing to do. Ok! After watching your amazingly informative video on forming an LLC, I'm happy to report that my LLC has been approved and is ready to go!! However: I had planned to set up a DBA (doing business as) name under the LLC - should I do that before applying for the EIN?

First off thank you for your wonderful help. Now to my question, if I were to file my llc with the DOS in new York using the northwest registered agent, I would have to list Albany as my primary address for publication purposes. When I apply for an ein number with IRS, would I have to list the physical/primary business address as the northwest registered agent address also? I am confused because with the department of state I would have to list Albany as my place of business, but with IRS I would have to list New York city as primary business address, if I am understanding what you said in the video . I am assuming this difference wouldn’t matter much, and that I may be overthinking this, but would greatly appreciate your confirmation.
Hey Michael, you are correct. You'll use the Albany address with the DOS and you'll use your NYC address with the IRS. The two agencies will not be communicating with each other.

If you stop by our website and click on your state, you'll find instructions on how to form an LLC. After your LLC is approved, then you'll get the EIN. For the principle/physical address, if we used Northwest (Albany) as the registered agent do we put their address ? Same with the "Tell us about your LLC" page, for the county do we put Albany or the County we really reside in ?
The purpose of the IRS asking for an address is to ensure that their mail/correspondence will reach you. No one outside of the IRS should see this address (and there won’t be communication between the IRS and the NY DOS regarding this address), so you don’t have to list the temporary Albany address you used to meet the NY publication requirement. You can just list your normal/regular NY address here. Hope that helps.

Regarding the mailing address and physical location of the LLC, in say NY, would it be the owners home address or the registered agents (UPS mailbox address)?
For the LLC's EIN, there is flexibility in the address you use as it will be treated as the mailing address of the business, so any address where it's easiest for you to get the mail. The address isn't on public record either. Hope that helps.

Okay, I see. The process is not straightforward and we recommend hiring an attorney. But here is the overview. 1. Someone needs to sell/transfer some of their LLC membership interest to you. This can be done with an Assignment of LLC Membership Interest form. 2. They'll/you’ll need to amend the LLC’s Operating Agreement showing that the new Member was added and reflecting the new ownership percentages. 3. They/you may need to amend the Articles of Organization (or equivalent form) with the Secretary of State, depending on whether or not the Members are listed. What state is this LLC in? 4. Visit the bank together, show the bank your documentation, and add yourself as a signer. We recommend calling the bank ahead of time to make sure you have all the documents they need. You likely need to go to the bank with all the Members. 5. How many Members are in the LLC (before adding you)? You may need to file Form 8832 with the IRS to change the tax classification, but it depends. 6. You may need to update the account with the Department of Revenue or equivalent agency in your state.

Hi Matt. I hope you can see this comment and reply back. I send an SS-4 to the IRS a month ago via an online fax service ( got the success message of course). I waited a month exactly and yesterday I called them to get a Verification letter, as you recommend on your website. The guy could locate my LLC, but he said my application is not in the system. I dont know why this can be. He suggested I re-send the form again and write " second request" on it. By mistake I sent a normal form, instead of the writing on it. Now I'm in a pickle. what if they find the initial application I sent and reply with the number and then get the other one I sent and reply with a new number. God only knows when that's gonna happen. This is so frustrating! What do you suggest I do? He suggested I call back on August 6th. I'm really confused.
Hey there, no worries. It's not a big deal. First, the IRS is delayed right now due to covid-19. Some EIN Applications can take 45-50 (sometimes even 60 days) to process. If you get one EIN, just use that. If you get a second one, it's not a big deal. Just mail the IRS a Cancellation Letter (www.llcuniversity.com/irs/cancel-ein/) to close out the extra number. You can apply your existing EIN to your LLC by writing the IRS a letter, but it's easier to just get a new EIN for the LLC since it only takes 10-15 minutes to run through the application. Just make sure to wait until your LLC is approved before applying for a new EIN. Hope that helps.

so i just got done watching and reading information on your website and better understand domestic vs foreign llc. my concern is i currently live in texas and will do business here but i plan to move to either cali or Georgia in the near feature...what do i do with my llc i formed in texas...can i transfer it to another state...or do i close it and open one the other state.. also i am in the stage of becoming a food truck...that will travel...will my llc in texas provide protection as i sell in other states
Hi Venita, there are 3 ways to "move" an LLC. Dissolve and form a new one, register as a foreign LLC, or "domesticate/convert". It's a bit much to explain it all here, but if Texas will be somewhat of a base for you/your business, then possibly keeping the Texas LLC and having a foreign LLC registration may be the simplest. It'll keep it all under the same EIN and bank account. It's essentially 1 LLC (the TX LLC) that will be authorized to do business in all states (in addition to TX) where it is registered as a foreign LLC. Hope that helps.
Hey Crystal, if you have an EIN and it's not for an LLC, then you already have a Sole Proprietorship. There is no "filing" for a Sole Proprietorship. You just started doing business. Hello, On SS4 form, line 16, principal activity of your business, how important is to be maximum precise there? I mean, I have doubt should I put it like "transportation and warehousing" or should I put it at "other". I would be offering dispatching services so I am not sure is it going under transportation because I would not have equipment to transport anything, I would only dispatch others who will be transporting goods. So, what if I put something wrong on that line 16, can that impact my taxes in the US ? How important is that line to the IRS and can I be in a problem if I don't do it right? I should not be ETBUS, I am afraid that if I put "transporation" there, that I can be considered ETBUS then. I guess I should go with "other", but just not sure. Should I worry about this too much ? what if you listed general business when forming your LLC from your state, do you have to pick only from the options on the IRS site, or do they general business options as well?
They don't have general business. But you can use something generic if you need. I forget the exact clicks, but there is "other" section, and then you can enter something like "consulting", for example. But no, you can't enter "general purpose".

Thanks Ferro! You're not a sole proprietor, but rather, your Single-Member LLC is, by default, taxed as a Sole Proprietorship by the IRS. Subtle difference in wording, but big difference legally. We recommend getting an EIN for your LLC since the bank will likely ask for it when you open your LLC bank account. Hope that helps.

Most LLCs will just have a Schedule C as a part of their personal 1040 tax return, however, you may have additional Schedules and Forms depending on how make money. And that would be the same whether you had an EIN or just filed with your SSN. No, I never send them in. What they mean/intend with this, is that if you ever have to mail a letter to the IRS in the future, to make sure you include your LLC name, the EIN, an address, your name, and your contact information. Hope that helps.

If you file online in NY, the Articles of Organization is approved instantly. So once you pay and download your Articles of Organization (and other docs, if ordered), you're LLC is approved and officially in existence. If you file by mail, you'll need to wait until you receive back your stamped and approved Articles of Organization in the mail. Hope that helps!

There may be two numbers you're referring to here: the LLC's EIN Number (aka Federal Tax ID Number) and the LLC's NY Sales Tax Permit number. You may need to register for a Sales Tax Permit in NY. However, we don't specialize in sales tax information, just LLC formation. Hope that helps a bit though.

Note, the confirmation page states, "It WILL take up to two weeks before your EIN becomes part of the IRS's permanent records" which means you must wait for that time period before the new number will pass the IRS taxpayer ID matching program. That means sites like Etsy cannot validate your new EIN until that occurs. Just keep that in mind if you're preparing for or in the process of setting up a new online retail store or business.

What if I used a registered agent in Albany NYS
The address with the IRS is the mailing address for your LLC. It's best to use your actual address. This doesn't affect the publication requirement. Hope that helps.

Hey Guillermo, reference number 105 means that you've made too many attempts online to obtain the EIN (using the same SSN, ITIN, or EIN), each leading to an error reference/code. Solution: Wait 24 hours and try the EIN Online Application again. If you still receive an error message, then we recommend filing Form SS-4 by mail or fax.

Thanks for the video, I was able to follow through easily. Probably you could update the video to include my comment as follows. I am a Canadian and wanted to apply for EIN after the LLC was formed. Your video mentions that I will have to have a ITIN to apply for EIN. That is true when using online application, However by downloading the paper version of form SS-4, I was able to fill "Alien Individual" in place of the SSN/ITIN field and was able to Fax the application. I was advised by IRS on phone to do so.

Use the paper Form SS-4 (www.irs.gov/pub/irs-pdf/fss4.pdf) and send it in by mail or fax (fax is much faster). On line 7b, write "Foreign".

I've just spent my entire day doing research on ITIN, 16 hours literally!!
I really appreciate all the information you provide for free and step by step, gently holding my hand and walking me through the process of forming my first and dearest LLC.
But because of this tiny mistake I completely freaked out and lost my sh*t a couple of times while reading ITIN application process - how I need to mail my original ID with my address on it, when my ID doesn't have any address on it and they're gonna reject it, how the process will take 6-7 weeks and they will mail the ID back to me when I'm going to move to another country in a month and I don't know what address to put in the form to get the documents back, so I need to move first, settle and then apply and a number of other terrible manipulations I need to do in order to apply for the ITIN, for example to file a federal tax return, when I don't know anything about it and will have to hire a layer anyway!
And just 15 minutes ago I found an article saying that I can file EIN by fax. I headed to youtube to leave a comment for others and give a link to the article and I see that you are aware about it! LOL "Video is outdated and I've made a mistake, sorry" - that is a nice attitude you know! I've lost half of my hair today and the other half has turned gray :'D

All US citizens and permanent residents have a Social Security Number (SSN), which enables these individuals to apply for an EIN. If you are a foreign national with a green card, you can also use SSN.

Hi Cody, you're very welcome :) For the IRS, we recommend using your best address. The IRS doesn't really care about who/where your Registered Agent is. They just want a good mailing address. Your Registered Agent also doesn't want you using their address for all kinds of business things. It should really just be used on the LLC paperwork.

Hey Daniel, thanks! Appreciate the attention to detail ;) The Brazilian non-resident alien got it done, but it's technically not correct. That international phone line (267-941-1000; 6am-11pm US Eastern Time) is for companies that were formed OUTSIDE of the United States... not for non-US residents who formed an LLC INSDIE the US. The only method we stand behind is mailing or faxing the SS-4 (instructions here: www.llcuniversity.com/irs/how-to-apply-for-ein-without-ssn/). If you hire an attorney or other person to get an EIN for a non-US resident, they are still completing Form SS-4 and entering "Foreign" in line 7b. The only difference is they add themselves at the bottom as a Third Party Designee. There is no way to speed it up though. So anyone who claims they can get an EIN for a non-US resident in days is most likely doing something incorrect (they shouldn't be listing themselves as the EIN Responsible Party and using their SSN, for example). Either that, or there's something we don't know. However, we've worked extensively on this subject matter. I'm not saying we're 100% accurate, but we don't publish any information we can't stand behind. If I'm wrong though, do let me know. Thanks!

We don't know if there are repercussions; we can't say for certain as we're not the IRS. Again, technically that phone number is for companies formed outside of the US that want to get an EIN. So while you may get an EIN, we have no idea if the IRS representative understands what's going on and/or how they are entering your information in their system. There is a chance the EIN is issued, but the record isn't created correctly. The reason we don't publish this information, is that we can't stand behind it. And we don't know if it's a guaranteed/reliable "loophole". We only publish something if we can back it up and we know that it works for thousands of readers.

So, I've created a bit of a dilemma for myself. I created an EIN first but then found out that the business name I listed it with was taken. So I decided to send the IRS a cancellation letter like you've outlined in your website, and after nearly two months, I've heard absolutely nothing back. Now my question is: do I send a second request to take that EIN down, or just forget about it and create a new one? Does it matter in the first place? I'm hoping I can just shrug it off and make a new one (this time researching a name that isn't taken ahead of time) instead of waiting another two months for a confirmation that might never arrive.
The IRS is required to respond in writing to written requests within 60 days, so you should receive confirmation shortly of your first EIN cancellation. Don't cancel it again, but you can always call and check the status. That's the easiest thing to do. registered agent, I would have to list Albany as my primary address for

If you stop by our website and click on your state, you'll find instructions on how to form an LLC. After your LLC is approved, then you'll get the EIN. For the principle/physical address, if we used Northwest (Albany) as the registered agent do we put their address ?
Same with the "Tell us about your LLC" page, for the county do we put Albany or the County we really reside in ?
The purpose of the IRS asking for an address is to ensure that their mail/correspondence will reach you. No one outside of the IRS should see this address (and there won’t be communication between the IRS and the NY DOS regarding this address), so you don’t have to list the temporary Albany address you used to meet the NY publication requirement. You can just list your normal/regular NY address here. Hope that helps.

Regarding the mailing address and physical location of the LLC, in say NY, would it be the owners home address or the registered agents (UPS mailbox address)?
For the LLC's EIN, there is flexibility in the address you use as it will be treated as the mailing address of the business, so any address where it's easiest for you to get the mail. The address isn't on public record either. Hope that helps.

Hi Kenny, do you mean you want to own a 2nd LLC? Or are you trying to add an additional member to an already formed LLC?

Okay, I see. The process is not straightforward and we recommend hiring an attorney. But here is the overview.
1. Someone needs to sell/transfer some of their LLC membership interest to you. This can be done with an Assignment of LLC Membership Interest form.
2. They'll/you’ll need to amend the LLC’s Operating Agreement showing that the new Member was added and reflecting the new ownership percentages.
3. They/you may need to amend the Articles of Organization (or equivalent form) with the Secretary of State, depending on whether or not the Members are listed. What state is this LLC in?
4. Visit the bank together, show the bank your documentation, and add yourself as a signer. We recommend calling the bank ahead of time to make sure you have all the documents they need. You likely need to go to the bank with all the Members.
5. How many Members are in the LLC (before adding you)? You may need to file Form 8832 with the IRS to change the tax classification, but it depends.
6. You may need to update the account with the Department of Revenue or equivalent agency in your state.

I love this video! One thing I noticed when doing the steps, however, is my LLC does have a apostrophe. Yet, it wouldn't allow me to place it in the "legal LLC name" field. Is this still ok since I don't have the apostrophe?

Hi Matt. I hope you can see this comment and reply back. I send an SS-4 to the IRS a month ago via an online fax service ( got the success message of course). I waited a month exactly and yesterday I called them to get a Verification letter, as you recommend on your website. The guy could locate my LLC, but he said my application is not in the system. I dont know why this can be. He suggested I re-send the form again and write " second request" on it. By mistake I sent a normal form, instead of the writing on it. Now I'm in a pickle. what if they find the initial application I sent and reply with the number and then get the other one I sent and reply with a new number. God only knows when that's gonna happen. This is so frustrating! What do you suggest I do? He suggested I call back on August 6th. I'm really confused.
Hey there, no worries. It's not a big deal. First, the IRS is delayed right now due to covid-19. Some EIN Applications can take 45-50 (sometimes even 60 days) to process. If you get one EIN, just use that. If you get a second one, it's not a big deal. Just mail the IRS a Cancellation Letter (www.llcuniversity.com/irs/cancel-ein/) to close out the extra number. You can use a home address when applying for the EIN. You will need an address though. You can't not use an address and get an EIN.

You can apply your existing EIN to your LLC by writing the IRS a letter, but it's easier to just get a new EIN for the LLC since it only takes 10-15 minutes to run through the application. Just make sure to wait until your LLC is approved before applying for a new EIN. Hope that helps.

How do you fill out a EIN for a partnership LLC? There’s two partner. Tried filing and doesn’t give you the option to put in a second owner’s info.

so i just got done watching and reading information on your website and better understand domestic vs foreign llc. my concern is i currently live in texas and will do business here but i plan to move to either cali or Georgia in the near feature...what do i do with my llc i formed in texas...can i transfer it to another state...or do i close it and open one the other state.. also i am in the stage of becoming a food truck...that will travel...will my llc in texas provide protection as i sell in other states
Hi Venita, there are 3 ways to "move" an LLC. Dissolve and form a new one, register as a foreign LLC, or "domesticate/convert". It's a bit much to explain it all here, but if Texas will be somewhat of a base for you/your business, then possibly keeping the Texas LLC and having a foreign LLC registration may be the simplest. It'll keep it all under the same EIN and bank account. It's essentially 1 LLC (the TX LLC) that will be authorized to do business in all states (in addition to TX) where it is registered as a foreign LLC. Hope that helps.

Hey Crystal, if you have an EIN and it's not for an LLC, then you already have a Sole Proprietorship. There is no "filing" for a Sole Proprietorship. You just started doing business. Hello,
On SS4 form, line 16, principal activity of your business, how important is to be maximum precise there? I mean, I have doubt should I put it like "transportation and warehousing" or should I put it at "other". I would be offering dispatching services so I am not sure is it going under transportation because I would not have equipment to transport anything, I would only dispatch others who will be transporting goods. So, what if I put something wrong on that line 16, can that impact my taxes in the US ? How important is that line to the IRS and can I be in a problem if I don't do it right? I should not be ETBUS, I am afraid that if I put "transporation" there, that I can be considered ETBUS then. I guess I should go with "other", but just not sure.
Should I worry about this too much ?

They don't have general business. But you can use something generic if you need. I forget the exact clicks, but there is "other" section, and then you can enter something like "consulting", for example. But no, you can't enter "general purpose".

Thanks Ferro! You're not a sole proprietor, but rather, your Single-Member LLC is, by default, taxed as a Sole Proprietorship by the IRS. Subtle difference in wording, but big difference legally. We recommend getting an EIN for your LLC since the bank will likely ask for it when you open your LLC bank account. Hope that helps.

Most LLCs will just have a Schedule C as a part of their personal 1040 tax return, however, you may have additional Schedules and Forms depending on how make money. And that would be the same whether you had an EIN or just filed with your SSN. We recommend working with an accountant though once you get the LLC setup to make sure you file taxes properly. 3 levels to file for (and often, even if $0 tax is owed): federal, state, and local. Hi Lala, no. An EIN is a one-time thing. After the LLC is approved, you apply for an EIN. The EIN will be used on the LLC's bank account, filing taxes, and other government-related forms. Hope that helps.

No, I never send them in. What they mean/intend with this, is that if you ever have to mail a letter to the IRS in the future, to make sure you include your LLC name, the EIN, an address, your name, and your contact information. Hope that helps.

If your intention is to be an S corp from the beginning can you just register an S corp Ein instead of an LLC Ein. I know certain States require different filings but let's say for the state of Pennsylvania

If you file online in NY, the Articles of Organization is approved instantly. So once you pay and download your Articles of Organization (and other docs, if ordered), you're LLC is approved and officially in existence. If you file by mail, you'll need to wait until you receive back your stamped and approved Articles of Organization in the mail. Hope that helps!

There may be two numbers you're referring to here: the LLC's EIN Number (aka Federal Tax ID Number) and the LLC's NY Sales Tax Permit number. You may need to register for a Sales Tax Permit in NY. However, we don't specialize in sales tax information, just LLC formation. Hope that helps a bit though.
