I spoke with an attorney who told me that, not only would forming an LLC cost me $800 annually in California, but it would costs thousands to get properly set up, and he did not recommend doing it on my own. I'm not sure who I can trust.

So in Florida right now , it is illegal to start LLC either S or C corporation and be self proprietor, one member, one person corporation. If you are a self proprietor you only choice is Inc. corporation.

My tax preparer suggested me to choose S-corp but I don't think the first year I'll make a lot of money to the point to afford the extra cost of being a S corp like booking, meetings and other necessaries details . So, I feel that the tax money I would be saving being S corp would go other expenses and not to my pocket.

For a canadian who has his ecommerce business in the US (ebay drop shipping; lives in Canada) and wants to have tax exemption and don't want to pay double taxation. Which corporation is the best option?
I am a sole proprietor with 5 employees. Already have a DBA and EIN and I'm thinking of forming an LLC. A couple questions: My business is an on-the-road service, and the "per mile" deduction is "YUGE" so I'm not willing to give that up. I know a corporation must deduct actual vehicle expenses. What about an LLC? Will I have to "reregister" my DBA? Will I need a new EIN? Will I need new bank accounts? Will I have to "fire" my employees as a sole proprietor, then rehire them as an LLC? Will my existing agreements with merchant services, phone companies, etc still be in effect? (For example I have a sweet deal with the phone company, locked in for life. If I have to negotiate as a new entity I'll lose that.) Will I have to formally add myself to payroll, deducting taxes as I already do with other employees? (If so, doesn't that mean I'd have to file separate taxes for the LLC?)

Carol Lee In general, you will first need to create the LLC by filing Articles of Organization with the Secretary of State (or whatever agency controls business entities in your state, it may have a different name), draft any necessary internal documents for the LLC (e.g. Operating Agreement, organizational resolution, etc.) and any additional documents that your state may require, then file IRS Form 2553 to elect the S Corp tax status. Quick question, I am starting my own mens clothing business, buying wholesale products and selling them. I also design my own material as well. It is just me bringing up the business, I don't have any partners or invest in anyone either. I was going to apply for an LLC. But since I am very small and no one really knows the business at all, the chances of me getting sewed are very low. Should I go sole proprietor or would you still recommend LLC?
if i register myself and business as a sole proprietorship and then eventually want to re register as an LLC, is that an easy task? and will my name still be trademarked?
It's usually as easy as getting the paperwork going. I would highly recommend talking to a tax professional like myself or one you trust to decide what will be you best tax entity of choice.

It's sounds like LLC is the best option of the 3. Why would someone choose a C-Corp over LLC when there's the double tax?
