It's an upgrade, has better flow threw the ports and the elbow inside, the mount is thicker less prone to braking where its bolted to the oil pan. It has a port so you can mount an aftermarket sensor for pressure or temperature for a gauge and it spaces it out so you can run a larger oil filter, larger filter more oil flow and more oil capacity.
those grinding marks on the housing is how they clearance the oil cooler, non oil cooler version is not ground down
