It's more practical to build a new one. They found that the current stadium has problems with structural integrity (i.e., the decaying upper deck) that would take a pretty penny alone just to keep the place upright.
The best feature will be a couple of Super Bowl banners flying in the new stadium.

Make sense to build a dome to use year round Dallas, Minnesota, Atlanta, Las Vegas, Indianapolis all have great dome stadiums in my Opinion.

Why does the structure look rusty
It's called weathering steel. The steel is intentionally rusted to protect the structural integrity and allows for minimal maintenance
