Each state/Province has their own laws and requirements. Get the advice of your attorney and/or CPA when setting up your entity.
Is your bookkeepers salary part of overhead?
Is it a direct job cost?

Tom is my salesmans 10% commission part of overhead or the part to produce the job?
You can make the case either way. I put it in OH. That way field production stands on its own to hit GP goals.
