This is so helpful thank you! If we're moving out of the state, do you have any breakdowns on changing information for LLC and DBA?
Generally with a DBA you start over with a new one in the new state, and with an LLC you can either file as foreign LLC or do a merger/domestication/conversion proceeding

Fantastic video! Made it much easier. If you change your mailing address to a PO Box, is that what will show up upon a search? Don't want physical address displayed publicly.
LLCs and Corporations have to list a physical street address in the listing. PO Boxes won't work there. Also the registered agent needs to be a physical location street address, too. Some RAs let you use their address for the business street address.

If I go through bizfile online and file my statement of information to change my address does that mean I do not have to fill out a form with the CSLB-state license board? Or would I file with the CSLB after the fact to notify them of the change in address?

The mistake I made was registering my home location as a mailing and physical address to my LLC. This information really guided me to know where to began! Also, I need to update the physical address for my Sellers Permit. Where can I go for that? (CDTFA?)
Right if you log in at onlineservices.cdtfa.ca.gov/_/ you should be able to updated your address
hi, what if we have 2 different share holders on company and want to update different adress for both, can we do that?
and what if we are changing name, will they send some paperwork to other person to sign before changing name?
If you are changing the business name then you'd file an amendment to the LLC or Corporation. There's a place where you can send the documents for people to sign, if you are not authorized to sign it. If you are just updating the address for LLC members, LLC managers, or Corporation officers, you can do that in the statement of information.

Hm on bizfile look in "my work queue" to see if there is some message about what went wrong, maybe there need additional information or there was an error. Otherwise, I'd call them at (916) 657-5448 to ask what happened

Hello Elizabeth, if we'd like to use a new mailing address, which will likely be our new business address but not the actual physical location of the company, where should we pay our local taxes? do we use the location of the mailing address? Assuming everything will sitll be in California, just different cities. I am getting confused about the necessity of getting business address services vs just changing it every time we change our physical location. Thanks!
Every city in CA has its own rule but usually you do business license / business tax certificate where you are actually operating

I love your videos! very easy to follow and understand! if a ecommerce business in california that set up llc and dba intially with home address but now switching to a virtual address for privacy reasons, is a new dba filing required with the virtual address even though still working from home (in the first address?)
So if you are still actually located at your home address, you would not redo the DBA because the actual location is the same

I want to file my LLC with a PMB because I'll be working from home (online retail business) and I rent and anticipate moving soon/frequently, so I won't have a permanent business address. I want the permanent address of the PMB because of this and I also want the added privacy of having the PMB on public record with the state, but on what essential documents should I use the PMB address vs my home business address? Should I use the PMB address for my EIN because it will be permanent?
Is it possible to write off home business deductions if I use the PMB address for the EIN?
Additionally, I understand that banks and credit card issuers are more selective when it comes to considering PMBs as PO Boxes and won't approve applications because of this. Can I use my home business address for these instead of the PMB address?
Maybe I'm overthinking this or don't understand the mechanics of having an additional business address/location, but I don't want to border on doing anything fraudulent like using my home business address somewhere when it should have been the one that I have on file with the state and IRS.

Well really the PMB is your mailing address, vs your “street” or “physical” address. In many places you need to list both (like with a bank).

All of the addresses are public, so you'd need to use a different address for all of them if you want to keep your home address private

So you'll need a registered agent because your virtual address can be used for mailing, but not the RA. I recommend northwestregisteredagent.com

In CA I don't amend to change the address (but you do that in other states)
This might be a dumb question, but when refiling my FBN, what date do I put as the "began business" date? The date the business began originally, or the the effective date of the address change?
My interpretation is that it is the date originally

Well when the FBN is filed, the original document that was recorded has the address so it is in the county somewhere but it might just be on paper. In some counties that can be pulled up via an online database, but not every county in CA has that set up.

You put the business EIN (4b) because that's the number to identify the business. But if the responsible person (8 & 9) is the same as before, you leave that blank

Hiii! I came across your video in the search for some help on changing my CA LLC mailing address. I recently used incfile to form my llc and they got my physical address correct but my mailing address is incorrect on all my paperwork. I would like to just handle the change myself considering incfile charges a fee. In addition to filing a statement of info & updating my mailing address + changing it with the IRS, do I also have to file an amendment? Thanks in advance!
No the amendment would be to change the name or management structure.

After that can i change all of the addresses to my virtual business address? Including my office address to that one? (I dont have any office and my job is online).

Most addresses yes can be changed. There are some that cannot because the govt agency looks up the location (in a post office database or literally on google maps) and if they see it is a virtual mailbox place, they refuse. Two agencies that do that is the USPTO (trademarks) and the CDTFA (california seller's permit)

Well you'd look at whatever you filed to set it up (DBA, EIN, business license, etc.) and you'd change the addresses on those things, if you want to use it going forward
A random llc is using my home address as their mailing address. I filed police report, informed secretary of state, informed uspis, checked credit record but i can't find info on petitioning the court to have my address removed. I called law library and the courts and they have no clue what forms are needed. Do you have any info on this?
Hm so I'd approach this as a type of identity theft. It may be helpful to go to the police and get a police report about the "address fraud" identity theft. I'm also not sure about a court proceeding about it -- typically identity theft is handled via affidavits, proving up who you are, and a copy of the police report. Have you asked the secretary of state's office (916) 657-5448 what paperwork they need from you to remove that address from the account?

Hm you can try calling them but it is difficult to get through. Usually when you submit an address change the IRS sends a letter to both the old and the new address
what about the articles of organization?
Not sure about your question, but the articles of organization are what you file to create an LLC. When you file an updated SOI, it updates your address on file with CA.
So it's best to get a virtual business address first then set up the LLC?
Yeah you probably want the address(es) set up before you set up the LLC, so you don't have to change it later

You can always just change the address, but that is something different than moving the LLC to the other state, legally. If you want to have it be legally moved to the new state, you need to do a formal conversion/domestication process. If you don't want to do that, you can change the address (but you may need to register as a "foreign LLC" in the new state).

Hey so I’ve been trying to change my address I did my llc through legal zoom so they filed my new statement of information however everytime I go to the Secretary of State website it’s still my old address and I called my Secretary of State and asked her why that is and she said you can never change your address on your llc once it was formed?? That didn’t sound right at all to me please let me know
Hm well the SOI should change the address that shows up in bizfile but it will not change the PDF of what you originally filed. When you look in bizfile, can you see the SOI that was filed by legalzoom?

Hm that is strange, I'd probably file the SOI again on bizfile - it usually goes through immediately and the computer changes it all automatically (maybe legalzoom filed it via paper so some person at the state office has to type it in, and it takes a while)
Hi Elizabeth, speaking of business in CA. If I am running an e-commerce business, do I have to get a state permit for every state? For the purpose of state sales tax?
So if you have "nexus" with a state, you need a sales tax permit there. Nexus can be physical (warehouse, inventory, storefront, employees, etc.) or it can be economic (a certain amount of sales). Check out www.taxjar.com/ - they have a bunch of info about it
@@ElizabethPW Okay, thank you. If Amazon distributes my items to different warehouses in other states, how does that work? They still collect sales tax but not sure if I’m the one responsible for having those state permits…
It really depends on the law in each state. For example, in California, my understanding is that if you *only* have sales on a merchant like Amazon, then you don't have to get a sales permit (but if you do your own sales too, you do need it, and you may also want one so you can have a reseller's permit).
