1 - yes it's not too hard, you file an amendment and also update your Operating Agreement, 2/3 - You can use a virtual address for your mailing address, and for your location some registered agents let you use their address for state filings, for your biz address, 4 - either an amendment or a new Statement of Information filing, 5 - I usually recommend www.northwestregisteredagent.com/ - mostly they are just there to be on record for you, and typically they will give you reminders of filing deadlines.

So I just filed a LLC earlier this month, and one thing I have not seen covered in your videos if you’re a soloprenuer and don’t want your home addy out there publicly. When I filed, I used my Registered Agent’s addy as the biz addy and my PO Box as my mailing address. From other videos I watched, it seemed like this is ok. Your videos make the assumption that the person filing for a LLC is a brick and mortar. What about those of us working from our home and want confidentiality?
Some registered agents let you use their RA address as the physical location address and then yes you'd use whatever other address like a PO Box for your mailing address. Sometimes it can be an issue if you need a DBA/FBN or for business licenses, since those would be done in your actual county/city (and the RA address is probably in Sacramento). That's the goal... hoping these are SO FAR the correct steps in proper order. So far: -Entity Name Reservation (APPROVED) - S.O.S LLC filing (now waiting for review & approval) -then run Entitiy name in newspaper for 4 weeks & pay fees -then contact the IRS for the S.corp forms for my LLC ..... Then I'm ASSUMING the HOLDINGS COMPANY FORMATION will start AFTER these first few steps in the BEGINNING, and the LLC(S.corp) has AT LEAST made a profit or minimum income of 50K or more per year. This is Information that I've researched so far... just want some affirmation/confirmation that I'm on the CORRECT PATH.

Hi - right you do *not* need to publish an LLC in California. There are some places you need to do that (New York state, for example), so that's probably why you've heard about it.

It made it simple for me to successfully form my 1st LLC😊 A few questions came up: 1) I misunderstood about the mailing address needing to be different than the physical address- is the physical address public info? 2) If the physical address is not public info & I need to change it- how to? 3) Is the LLC itself considered an article of organization or is it necessary to complete more paperwork?
1/2 - you change the addresses by filing your Statement of Information. Both addresses are public. 3 - Yes what you filed online is the articles of organization. You should though also create an Operating Agreement (which is not filed anywhere - it is for you).

In California, you don't list the members in the initial formation documents. You will list all of them in the Statement of Information (which you file after the initial docs are accepted).
If the trade/marketing name you use for your business is different than the LLC legal name, in most places you will need a DBA/FBN/trade name registration
You're welcome! I will be doing a video soon on how to have your LLC taxed as an S Corp, but the short answer is that you file with the IRS to change the tax status - Form 8832 to change it to a corporation tax status and Form 2553 to have it be taxed as an S Corp.
Hello Elizabeth, I created my LLC in May 2023 thinking that I was going to be exempt from the $800 fee for being the first year. But when I showed up to my income tax person she said that I don't qualify as my business made a profit (without taking the expenses into account as that was a loss) and it operated almost the entire year. She showed me a paper that says that "A business entity is not subject to the $800 annual/minimum tax if the entity both: did not conduct business in the state during the taxable year and the taxable year was 15 days or less." Is this correct? I do need to pay the $800 fee?
There was a special rule for that year "For tax years beginning on or after January 1, 2021, and before January 1, 2024, LLCs that organize, register, or file with the Secretary of State to do business in California are not subject to the annual tax of $800 for their first tax year." www.ftb.ca.gov/file/business/types/limited-liability-company/index.html#Annual-Tax
Thank you so much for the video! Just a quick question, if you decide not to continue with the business the following year.. do you still have to follow through with the $800 franchise fee? Can the franchise fee be made in payments?
Under current law (for 2023) you don't pay the $800 franchise fee for the first tax year (usually a calendar year). But yes after that you'd pay the fee even if the business does not make a profit or does not operate in that year. Hm if the payment is late I would imagine you can negotiate payments, but that's done on an individual basis and they'd likely expect interest/penalties to be paid also.

you might be aware of this but as of 03/08/2023 they are not charging the $100 filing fee. BTW thank you for the instructions. I hesitated this afternoon on giving my card to a private company to file for $800 lol.

Yes here's a basic list: - Statement of Information - EIN from the IRS - LLC Operating Agreement - DBAs if you are using a different biz name than the LLC, that's with the county - business license & permits (local city or county)

Eh most people can file the LLC themselves with the state. You may need advice about certain aspects (like member-managed vs manager-managed). A CPA is great for advice about financial/tax stuff, like should you elect the LLC to be taxed as an S Corp. A lawyer is good for other steps like setting up a custom Operating Agreement (and any legal documents that are not forms).

I haven't made a video like that -- it is hard because the law is in multiple places, and there are so many different professions. My recommendation is to ask the agency who gives you the license about it
If it just had a standing problem (like taxes were not filed or paid) so it was suspended, then you'd fix the back filing/tax problem and the LLC is no longer suspended. But if an LLC is terminated then really you'd just start over with a new LLC.
The record will show the person who signed the document (who may or may not be the submitter) and it will show the "filed by" email address (of the account of the person who submitted it).
So helpful! One question -- where do you legally establish your (or anyone else's) ownership in the LLC? I'm going to be the sole member/owner of the LLC I'm starting in California, but the California Articles of Organization don't seem to explicitly establish my ownership in the LLC. Is this conferral of ownership done elsewhere (maybe in the operating agreement)?
Right in your operating agreement you’ll specify the members (owners) and it will be in your statement of information (unless you have managers instead of members).

Great information, i just have one question though. Should I set my structure as all LLC members or More than one manager instead of one manager? I'm married and if something where to happen such as being hospitalized, i would like my wife to be able to take over the day to day, but It seems like I cant add a member very easily unless its already setup to do so.
Hm if you want to be the only owner, yes one way to make sure that your wife could easily manage the LLC if you were incapacitated is to add her as a manager (so then it would be "more than one manager").

If you want to keep your personal address off, then you'd want a virtual mailbox for your business mail and you also need a "physical location" street address too -- you could use Northwest for your registered agent, and they let you use their address for your street address on your LLC filing.
You can get your LLC tomorrow for a 1/2/23 effective date, and then you can go on the IRS website & get your EIN also tomorrow (you just tell the IRS that you are starting the LLC as of Jan 2023)
Question: If I file my pa LLC as a Foreign to CA is it true that my business will NOT be protected in California, I won’t have full protection only from my other state? A representative told me this from calling customer service…I have until tomorrow to do this and I’m unsure if I should just get a CA LLC so I’ll be fully protected in CA or do it Foreign? Hm well if you have an LLC then it is always an LLC and has limited liability wherever it us used, unless you don't do your annual filings or you do something to "pierce the corporate veil." Maybe what they meant is that if you are required to file as a "foreign LLC" and you don't do it, then the LLC loses its protection in that state

The submitter is the person who literally types stuff in and hits submit, while the organizer is the official person who was responsible for the input. Like the submitter could be the organizer's assistant. They are both human people and can be the same person. The submitter's contact info is not public. The registered agent individual must also be a human person (but you can hire an outside company to be a corporate RA). Generally for the company street address, it needs to be a physical street location (some RAs let you use their address), but the other addresses can be virtual or PO Boxes. You don't list the owner of the LLC anywhere on the initial formation documents -- that goes in the Statement of Information (filed later).

So CA wants you to pay it via estimated payments this year, but many people just file it "late" with their tax return (there's a late fee of maybe $40 or something like that)
If your profession isn't mentioned/covered in the BPC section of the code, it looks like you're not considered a professional service and can use an LLC? Actuaries are self regulated through their own organizations, rather than state licensing.
I just filed a pending initial filing LLC via bizfile on a standard service today. Is it possible to cancel this request before it's reviewed (approved)? If so, how do you do this?
Hi, I am currently starting a body sculpting business and currently have business license for my ecomm store. I also have a bank account set up with the business license for the ecomm store. Can I convert that business license/EIN for my new LLC or do I have to create everything new including opening another bank account? Also, your videos are extremely helpful! thank you
When you convert from a sole prop to an LLC you'll need a new bank account and new EIN. In some places you can transfer the business license to the new "ownership" but in some places you have to get a new business license.

I filled the form Name reservation request, after i got the letter saying tha it was filled I try to do the articles of organization but when i place the business name it tells me that the name is already taken. does it means that even do the Reserved Name Sate send me the letter with the 60 days of reserved name I can not use it? Hm maybe you are not signed in or the name reservation is not hooked up to your account. In the 4th screen of the LLC Articles of Organization ("Limited Liability Company Name") it asks if you have a name reservation on file - when you click yes there should then be a pull down menu where you can select the name you reserved.
I just file my LLC but at the end it didn’t asked me for a payment I did asked for a copy for the $5 and it still didn’t asked for the payment it just send me back to the home page could you explain what that means please 🙏🏻
Do you have any California Registered Agent you recommend. The ones I see online try to do the whole thing for you for a lot more. I'd rather follow your method then use them only for the address

Hi I have a Question can I use My visa card for payment to state of My country as I am a non - US person? Or can i use payoneer card? Or which card do they accept.
Generally they accept Visa or MasterCard for online filings. I don't know if they allow foreign cards or not. If they do not, you can mail your filing with a check.

If you are going to do both in the short term, getting the LLC first is helpful so it can be the trademark owner and you don't have to switch later, especially if you are filing an intent-to-use trademark application (which makes doing an assignment more awkward)

Still waiting for my LLC submission to go thru. Is there a way to transfer my name reservation to my new LLC? Or do I have to scrap the new LLC and start over with reserved name. Hm I have not had to do that before -- legally yes it should be but I don't know if the system is set up that way. You may need to call the state and ask how to do it logistically (916) 657-5448

Hi - so if there are multiple "organizers" then you have to send for signatures (so each person can e-sign). But if there is one organizer and it is you, then you can just e-sign it. Hopefully that is the issue.

Although I have an option to File Statement of Information which is 30$ and then I have another paper to fill out its Amendment of Articles of Organizations. Ah yes they waived the fee so right, you don't have to pay the $70. :). Once you get it approved, get your EIN from the IRS and then file your Statement of Information on bizfile.
Hello Elizabeth, Thank you for your videos. It is truly appreciated. I completed my application for the LLC and submitted it. I also paid the fee. However, when I looked at my receipt it only charged me $5 for the certified copy. I clicked the cart before the document submitted completely. When I tried to redo the application it reflects red with "Sorry, this name is already taken. Please provide a different name to continue. " This name was available before I submitted the payment for $5 and my Work Queue does show the LLC name that I chose. What will happen next? Will they just email me with a new bill to pay for the initial filing of the LLC? Thank You
Great question! The state passed a law this summer waiving the $70 fee for a bit, to stimulate the economy or some such thing. So the $5 certified copy is all you needed to pay. :)
Hi Elizabeth, With the new changes to the bizfile process (more in depth profiles attatched to the LLC's) is it still a good idea to use a service like North West Registerd Agency to file a LLC in California completely on your behalf or is it better to just hire them as a agent and you file on your own for more control over the bizfile profile? Welcome! Hm my thought is that you want to make sure you have online access to your LLC. I don't know if the filing companies are being easy about giving access (they should, but it hasn't been long enough yet to have data either way). For some people, they are so overwhelmed by creating the LLC it is better to just hire a service; for others, they are okay with doing the bizfile system filing.

1 - yes it's not too hard, you file an amendment and also update your Operating Agreement, 2/3 - You can use a virtual address for your mailing address, and for your location some registered agents let you use their address for state filings, for your biz address, 4 - either an amendment or a new Statement of Information filing, 5 - I usually recommend www.northwestregisteredagent.com/ - mostly they are just there to be on record for you, and typically they will give you reminders of filing deadlines.

So I just filed a LLC earlier this month, and one thing I have not seen covered in your videos if you’re a soloprenuer and don’t want your home addy out there publicly. When I filed, I used my Registered Agent’s addy as the biz addy and my PO Box as my mailing address. From other videos I watched, it seemed like this is ok. Your videos make the assumption that the person filing for a LLC is a brick and mortar. What about those of us working from our home and want confidentiality?
Some registered agents let you use their RA address as the physical location address and then yes you'd use whatever other address like a PO Box for your mailing address. Sometimes it can be an issue if you need a DBA/FBN or for business licenses, since those would be done in your actual county/city (and the RA address is probably in Sacramento). At what stage can I make my LLC (S.corp taxed) a HOLDINGS COMPANY?
That's the goal... hoping these are SO FAR the correct steps in proper order.
So far:
-Entity Name Reservation (APPROVED)
- S.O.S LLC filing (now waiting for review & approval)
-then run Entitiy name in newspaper for 4 weeks & pay fees
-then contact the IRS for the S.corp forms for my LLC
.....
Then I'm ASSUMING the HOLDINGS COMPANY FORMATION will start AFTER these first few steps in the BEGINNING, and the LLC(S.corp) has AT LEAST made a profit or minimum income of 50K or more per year.
This is Information that I've researched so far... just want some affirmation/confirmation that I'm on the CORRECT PATH.

Hi - right you do *not* need to publish an LLC in California. There are some places you need to do that (New York state, for example), so that's probably why you've heard about it.

Yes, when you form a multi-member LLC it is the same process. You'll add the member's names in another form later, the statement of information.

1/2 - you change the addresses by filing your Statement of Information. Both addresses are public. 3 - Yes what you filed online is the articles of organization. You should though also create an Operating Agreement (which is not filed anywhere - it is for you).

You add the partner (member) when you file an updated statement of information.

You can trademark first or file the llc first (if you trademark first then you’d need to “assign” it to the llc once the llc is formed).

In California, you don't list the members in the initial formation documents. You will list all of them in the Statement of Information (which you file after the initial docs are accepted).

Hello Elizabeth, I created my LLC in May 2023 thinking that I was going to be exempt from the $800 fee for being the first year. But when I showed up to my income tax person she said that I don't qualify as my business made a profit (without taking the expenses into account as that was a loss) and it operated almost the entire year. She showed me a paper that says that "A business entity is not subject to the $800 annual/minimum tax if the entity both: did not conduct business in the state during the taxable year and the taxable year was 15 days or less." Is this correct? I do need to pay the $800 fee?
There was a special rule for that year "For tax years beginning on or after January 1, 2021, and before January 1, 2024, LLCs that organize, register, or file with the Secretary of State to do business in California are not subject to the annual tax of $800 for their first tax year." www.ftb.ca.gov/file/business/types/limited-liability-company/index.html#Annual-Tax
Thank you so much for the video! Just a quick question, if you decide not to continue with the business the following year.. do you still have to follow through with the $800 franchise fee? Can the franchise fee be made in payments?
Under current law (for 2023) you don't pay the $800 franchise fee for the first tax year (usually a calendar year). But yes after that you'd pay the fee even if the business does not make a profit or does not operate in that year. Hm if the payment is late I would imagine you can negotiate payments, but that's done on an individual basis and they'd likely expect interest/penalties to be paid also.

Yep right now there are not charging formation fees, but they will charge them again later this year, the last I saw, unless they change it again

- Statement of Information
- EIN from the IRS

- DBAs if you are using a different biz name than the LLC, that's with the county

Eh most people can file the LLC themselves with the state. You may need advice about certain aspects (like member-managed vs manager-managed). A CPA is great for advice about financial/tax stuff, like should you elect the LLC to be taxed as an S Corp. A lawyer is good for other steps like setting up a custom Operating Agreement (and any legal documents that are not forms).

I haven't made a video like that -- it is hard because the law is in multiple places, and there are so many different professions. My recommendation is to ask the agency who gives you the license about it

If it just had a standing problem (like taxes were not filed or paid) so it was suspended, then you'd fix the back filing/tax problem and the LLC is no longer suspended. But if an LLC is terminated then really you'd just start over with a new LLC.

The record will show the person who signed the document (who may or may not be the submitter) and it will show the "filed by" email address (of the account of the person who submitted it).

Right in your operating agreement you’ll specify the members (owners) and it will be in your statement of information (unless you have managers instead of members).

Great information, i just have one question though. Should I set my structure as all LLC members or More than one manager instead of one manager? I'm married and if something where to happen such as being hospitalized, i would like my wife to be able to take over the day to day, but It seems like I cant add a member very easily unless its already setup to do so.
Hm if you want to be the only owner, yes one way to make sure that your wife could easily manage the LLC if you were incapacitated is to add her as a manager (so then it would be "more than one manager").

If you want to keep your personal address off, then you'd want a virtual mailbox for your business mail and you also need a "physical location" street address too -- you could use Northwest for your registered agent, and they let you use their address for your street address on your LLC filing.

You can get your LLC tomorrow for a 1/2/23 effective date, and then you can go on the IRS website & get your EIN also tomorrow (you just tell the IRS that you are starting the LLC as of Jan 2023)

Hm well if you have an LLC then it is always an LLC and has limited liability wherever it us used, unless you don't do your annual filings or you do something to "pierce the corporate veil." Maybe what they meant is that if you are required to file as a "foreign LLC" and you don't do it, then the LLC loses its protection in that state

1- what is difference between submitter and organizer?
2-email address, phone, .... of submitter would be public? name of organizer would be public?
3-can i put the name of my company as "submitter", "Agent for Service of Process - individual" and organizer, so then I will not put my first and last name in any box.
4-also I got a virtual street address, I want to put that address for submitter, individual, company address, and mail address, I would be fine if I do so?

The submitter is the person who literally types stuff in and hits submit, while the organizer is the official person who was responsible for the input. Like the submitter could be the organizer's assistant. They are both human people and can be the same person. The submitter's contact info is not public. The registered agent individual must also be a human person (but you can hire an outside company to be a corporate RA). Generally for the company street address, it needs to be a physical street location (some RAs let you use their address), but the other addresses can be virtual or PO Boxes. You don't list the owner of the LLC anywhere on the initial formation documents -- that goes in the Statement of Information (filed later).

So CA wants you to pay it via estimated payments this year, but many people just file it "late" with their tax return (there's a late fee of maybe $40 or something like that)

If your profession isn't mentioned/covered in the BPC section of the code, it looks like you're not considered a professional service and can use an LLC? Actuaries are self regulated through their own organizations, rather than state licensing.
Right they are more referring to state licensing organizations and ones that re on the list in the code

When you convert from a sole prop to an LLC you'll need a new bank account and new EIN. In some places you can transfer the business license to the new "ownership" but in some places you have to get a new business license.

I filled the form Name reservation request, after i got the letter saying tha it was filled I try to do the articles of organization but when i place the business name it tells me that the name is already taken. does it means that even do the Reserved Name Sate send me the letter with the 60 days of reserved name I can not use it? Hm maybe you are not signed in or the name reservation is not hooked up to your account. In the 4th screen of the LLC Articles of Organization ("Limited Liability Company Name") it asks if you have a name reservation on file - when you click yes there should then be a pull down menu where you can select the name you reserved.

Generally they accept Visa or MasterCard for online filings. I don't know if they allow foreign cards or not. If they do not, you can mail your filing with a check.

If you are going to do both in the short term, getting the LLC first is helpful so it can be the trademark owner and you don't have to switch later, especially if you are filing an intent-to-use trademark application (which makes doing an assignment more awkward)

Hi - so if there are multiple "organizers" then you have to send for signatures (so each person can e-sign). But if there is one organizer and it is you, then you can just e-sign it. Hopefully that is the issue.

Ah yes they waived the fee so right, you don't have to pay the $70. :). Once you get it approved, get your EIN from the IRS and then file your Statement of Information on bizfile.

Thank you for your videos. It is truly appreciated. I completed my application for the LLC and submitted it. I also paid the fee. However, when I looked at my receipt it only charged me $5 for the certified copy. I clicked the cart before the document submitted completely. When I tried to redo the application it reflects red with "Sorry, this name is already taken. Please provide a different name to continue. " This name was available before I submitted the payment for $5 and my Work Queue does show the LLC name that I chose. What will happen next? Will they just email me with a new bill to pay for the initial filing of the LLC?

Great question! The state passed a law this summer waiving the $70 fee for a bit, to stimulate the economy or some such thing. So the $5 certified copy is all you needed to pay. :)

Welcome! Hm my thought is that you want to make sure you have online access to your LLC. I don't know if the filing companies are being easy about giving access (they should, but it hasn't been long enough yet to have data either way). For some people, they are so overwhelmed by creating the LLC it is better to just hire a service; for others, they are okay with doing the bizfile system filing.
