    Giga-chad lawyer telling her to ghost them. He probably did the math and realized that it would cost them more in travel, retaining a US-based lawyer, and court fees than they would be able to "recover" from her in the form of damages

      He may not have even been a Giga-Chad , or even a Chad, just an actual everyday run of the mill competent lawyer. In order to even start attempting to collect any money from her, they’d have to sue her in the US, and the suit would have been thrown out of the court the second any US judge took a look at the contract. It was 100% unenforceable and void as a matter of law.
      LegalMindset’s stream on it went into detail on everything unenforceable under US law, which amounted to the entire contract. Just because it’s written down in a contract doesn’t mean it’s legally binding if the contract stipulations are in and of themselves illegal, and the entire contract was full of illegalities under US law, so much so that no judge would enforce any clause in it.
      Good thing to come out of all of this was I discovered AlienMixture from this whole mess, and she’s a great streamer.

      "Quintuple damages" alone will get you laughed out of court. Treble is the most for event the most egregiously punitive damages.
      They didn't hit the tobacco companies with quintuples, they didn't hit the thalidomide companies with quints either. McDonald's didn't get hit with even triples after getting exposed for conspiring to jury tamper on the spilled coffee case by tainting public perception (which is what largely sunk their defense).
      Quintuple damages is COMPLETELY unreasonable even if she literally flew to South Korea and shot the CEO in the head.

      A company that would put this stuff in a contract can't be trusted. I wouldn't put it past them to add something like that in after. I also think they breached the contract by not paying her unless they somehow negotiated not paying her. So they aren't entitled to any compensation even according to their insane contract

      remind me of Phase Connect (another vtuber company, lead by h2oSakana a.k.a fishman) FORCE their potential talents to have a lawyer go through the contract BEFORE SIGNING. if they cant do that then fishman would go as far as but not limited to introduce lawyers to the potential talents if they dont know any, or lend money for the lawyers fee if they cant afford (which honestly not much but impressive that they did offer it).

    I first heard of her on one of her ads so I checked her channel, subbed, one day her profile pic was gone, realized she's terminated and found out what her agency did to her. As bad as they were, not even nijisanji pulled a stunt this outrageous as far I know. It really sucks.

    I worked for a company that tried me to sign a non-compete and an NDA when they laid me off after working there for two months. The non-compete was so badly written you couldn't even work as a receptionist for the competition, and the NDA was ridiculous for someone who had only seen welcome power points. Apparently V&U hired the same Fiverr lawyer.

      I've experienced some truly outrageous contract attempts just working as a software engineer. I can't imagine how much worse it must be in fields where the company at times tries to specifically select people who are vulnerable to being exploited/not reading their contract.
      One time where I was working for a company that (ironically) was a RUclips MCN, (mainly working on the software that interfaced with RUclips to handle things like revenue and analytics), I had made an offhand comment about our pay to some of the other programmers (along the lines of "I'm paid X and that's not enough to put up with Y"). A few hours later the CEO of the company walked into our room where we did the programming and just straight up said "none of you are allowed to discuss salaries with each other".
      I turned to my supervisor and told him "I'm going to go take a 2 hour lunch while I think about whether I want to keep working here or would rather report the CEO to the National Labor Relations Board and the California Labor Board. If I come back from lunch, I decided to keep working here."
      When I came back from lunch, the CEO pulled me into a meeting and flat out begged me to not quit.
      Companies do more and more illegal stuff until they find out what people will actually push back on.

      years and years ago I had worked at a walmart as just a part time gig to pick up some extra money in winter time, worked in their garage changing oil, they basically fired a guy but had him sign a paper first an he did without looking an basically was a paper saying he quit so he couldn't get unemployment, they tried to do the same thing to me but I kept refusing to sign it I said if your going to fire me then fire me but im not quitting or signing anything an they legit sat there for a half hour trying to get me to sign this thing an the guy stood up in my face like he was gonna get physical which was the store gm eventually they told me to get out when time came for unemployment they were so bad at lying including about trying to trick me into signing that thing that the person monitoring the conversation on the phone laughed at them an gave me the unemployment an that gm was fired a year later for millions missing. All this was over helping a customer get a piece of metal that was stuck in his brake pad which we weren't suppose to be working on. They also were mad that we were doing oil changes to fast because their policy is to make customers wait 45mins for oil 2 hrs for anything else even if it takes 10 mins because they wanted you to walk around the store an spend more money. We had to sign a nda and weren't allowed to speak to any press or anyone.

      ​@@Fishman465the usual thing is that you become a trainee as a teen, while learning to be an idol you gather dept cuz company pays for your training. Then when you debut the standard is a 7-year contract. For a good while most of the money you make goes to paying off the dept. If you try to leave before the contract expires it is very hard, cuz usually they are written inna predatory way. If you violate the contract you might get kicked out of the company and even blacklisted. Music industry is fcked up as a whole, but Korean seems to be next level tbh. The amount of stuff we learn when some idols sue their companies or leave the industry is crazy. But also how much money the idols earn depends heavily on the company, cuz some might not even be predatory, but simply all the money the idol earns need to be reinvested in order to keep them afloat. Crazy stuff tbh

This is like working at McD's and then when you quit they want you to give them back all the money they paid you while you were working because they consider those to be their damages. Even though that is what they paid you in exchange for you working for them and making them money during that time period.

    Funny you mention Niji since there're a lot of paralleles to Zaion's termination. The smear attempt, the extortion (niji's talent must pay their own model but everything from the theme to the quality is decided by the compagny) and the "sisters" going for the throat on her.
    Since everything is much smaller, it didn't get as messy as Niji and ended much faster.
    One thing I want to add is the fact that V&U invested a lot in their talents after Solstice : 3D chibi, full 3D MV, short in the same vein of hologra voice by the talents. With Niji outed as keeping all the money for themselves, it was a good sign ! How blind we were ! And yet, for the OGs, the sign were here since their first talents expressing distress over the stress, the lack of merch and other things.
    Another real problem here : most of the talent in the first, second and third gen are south Korean and live in South Korea. The contract is enforceable for them, as ridiculous as it seems.

    There's too much abuse and corruption in Vtuber contracts
    The crazy thing is this could be life ruining. Not just career ruining.
    This is playing with the lives of people and could put someone in crippling debt.
    Withholding 2 months and extra of payment is also illegal

      sadly it was the meteoric rise of vtubrs' popularity in the past few years, people wanted the ideal job of working as a content creator from home and getting paid bank for it, which isn't the case unless you have a massive channel, and so many companies saw a way to exploit those people who they knew would skim over their contracts and sign on the dotted line no questions asked.
      All the company had to do was dangle some shiny things in front of them and wait for the people to bite. The acting/music/modeling industry does the same thing.

      @satanm8c40 modeling is definitely the worst of the bunch. At least a vtubr doesn't have the pressure to look a certian way and be forced to maintain it.
      Yeah, the fault lies 75% with the shady agency 25% with the impulsive and dumb person. The average liver is usually college-aged, so they don't have the real-world experience to know when someone is taking them for a ride. All they see is "I'm gonna be the next Ironmouse," and the agency will gladly let them believe it to get a signature on that paper.

      Being Naive and compulsive is bad but it doesn't warrant abuse and doesn't dissolve any of the fault of the agencies themselves. If it did you could also go as far as to claim a murder victim holds some fault for being out at night in an alleyway. It's dumb but doesn't dissolve the murderer of his fault.

      @satanm8c40 A bit different than being a victim of a crime. Being a victim isn't a choice. Signing an employment contract is.
      Anyone signing a contract is under the obligation to understand its terms. In this case, the contract wasn't properly written and had terms that wouldn't be considered legally binding. Any lawyer could have told Serafi that after a few minutes of reading it. Hell, after seeing that shit show of a contract, I could have told her it was ludacris and she should run for the hills and I run a restaurant.
      However, if it had been written properly and still exploited the worker, then they would be in for a very long battle in court to fight it.
      The music industry has tons of examples of that happening. Look at what happened to Kesha. Her contract was insane but written so that it was legal. She was told she would be rich and famous if she signed, and the reality was she was signing away everything to the label.

    I follow three Vtuber agencies. V&U, Vreverie, and Phase Connect. All three have had some level of drama but by far the worst has come from V&U with Vreverie coming in a close second. Yes losing over 60% of your talents due to mismanagement in a few months looks terrible but I think what V&U has done is worse.

    15:45 Just a clarification on the non-compete clause legality. The ruling is not retroacive and won't go into effect until September 4th so there's still plenty of time to sign those abusive contracts.

      @@lewax00 my understanding is that it cannot be retroactive (retroactively applicable laws cause a LOT of problems of the sort that most funcitonal governments put significant efforts into avoiding), in the sense that no one can get in trouble for anything done before the law came into effect, but it can absolutely apply, as of that date, to contracts made before that point, funcitonally causing all non-compete clauses (well, those it applies to, seems there are some limited exceptions?) to terminate at that point.

    Its like, the Name and the Avatar is worth more then the Person behind it....Which is just not true and wouldn't work alone.

      You can broadly break the Vtuber agencies into three catagories: the good ones, the bad ones, and the ones we don't yet know enough about to say.
      The good ones? They're basically exactly what they look like... so long as you remember that the talents are absolutely working regular 9-5+ hours, 5+ days a week to achieve that because there is a LOT of behind the scenes work that has to get done on top of the streams, videos, live appearances, concerts etc. that you actually See (well, less for the smaller outfits that don't go as insanely all out, but still a significant amount of work). They get compensation, holidays, opportunities, and working conditions that absolutely make it worth it though.
      The bad ones? Well, often it's the worst of the black company part of the idol industry merged with scammy tech bro garbage, and often more of a get rich quick scheme than an actual business. (sometimes it's more a matter of incompitence and then a mad scramble to keep things afloat that ultimately doesn't pan out, but those tend to follow a rather different pattern of failure.)

    I don't even think it's legal to tell someone to pay back their salary to their employer if the employee already successfully completed all requirements of their contract. You can't undo someone's time and effort and energy they expended doing the work, and all work needs to be compensated.

      Contract lawyers make a lot of money looking over contracts with you. Every city has at least one.

    16:25 Somebody probably already pointed it out, but the contract said that arbitration will take place in Seoul, South Korea. (Of course a corporation is using an arbitration clause 🤢, it's like night and day, really.)
    Which is completely unenforceable according to LegalMindset since the work is being conducted within the U.S., not in Korea.

    The V tubers from America should propably just sign the contract ending their signature with V.C. idk if it works in American law but in Dutch law it basically means they forced you to sign this and that you are not entirely (or completely) in accordance with the terms of said contract

      Yup. Where I live that's called "Firma en disconformidad", and means exactly the same. Is really useful in labor disputes. Removing benefits? "I read it, but I disagree". Hired as full remote during the pandemic and now being forced to go to the office? Excuse me, let me talk to my lawyer real quick. (Runs to update their résumé)
