Our company was a privately held, family owned business with an ESOP retirement Plan. The family said “we are not for sale”. Over the years, they turned down offers from several bigger corporations. All of this changed when they got an offer they could not refuse. The potential buyer was looking at our company to gain our Brand dominate market share in the industry. And a lot of room to expand. They offered “us” double our share price at the time. The buyout doubled my 401k. They invested a lot in our company and we are producing more than ever. There was a lot of moaning and groaning, but the family owned 72% of the shares. Having 25 years with the company and two years til retirement, it was a very positive acquisition for me.

What I found interesting is that Mac Baren (through April) was larger than STG, STG being ~75% the size of Mac Baren revenue wise, and purchased them for ~6.3 times EBITDA based on the same period. Not being in the tobacco industry, but working with M&A often in my career, at that multiple it may have been close to an offer they couldn’t refuse. I’m surprised there wasn’t a monopolistic consideration from European governments to be honest. STG’s annual revenue is ~$75mm and bought Mac Baren for the same amount, which means they are counting on Mac Baren’s revenue to remain strong to be able to cover their new debt service (assuming it was financed), all of which means I’d be surprised if the quality were to suffer. In other words, they need the Sutliff/Mac Baren name to remain strong. Just my $0.02, haha. Great video and conversation! Cheers, Alex
I was surprised that the 5lbs of ODF RR fit in those 3 jars! I agree take overs seldom benefit the consumers. But as they say in Mexico the big fish eats the little fish.
Keep it cool, i had some old dark fired in a mason jar for years and a bunch of other blends and lots of them lost most of their flavor after 5-10yrs. The moisture and light exposure and air tightness were all good so i think it was a matter of temperature not being maintained properly over the years. Anyways it turned into good nasal snuff mixed with some lane 1-Q and some other stuff.

Maybe it was too moist idk. But temperature was definitely not well regulated in places like AZ and NM with no ac sometimes.
