    I've been trying to understand the C-corp on the internet, and it's very easy, except for a few points which no one is expanding on. 1) When starting up a C-corp you determine how much stock to issue and set a price so you have the funds to get the business running and hire all down through the organization, hire a law firm, CPA, etc. If the business model attracts investors, I have the $$ to hire who I need and the investors become part owners as to the amount of shares they own. How do you keep them from interceding in day to day decisions? 2) As the sole owner, on day one can I give myself X amount of unissued stock shares so I hold a 51% majority? 3) Since this is a private company and the shares aren't traded in the stock market, is the value of the outstanding shares the number of shares divided into the cash on the books? 4) If the investors want to sell their shares and get out, how does that work without a market? 5) If once the business is running and I want to woo a high value person away from another company, how do I fund that with stock.

    Setting it up was fairly easy. However, paying is impossible. Everytime I click on "file now", I am taken to a status saying "overdue" with empty drop down menus. It's setup not to be payable, so they can add overdue penalties. E-TIDES was much easier. I don't make enough anyway from hobby renting to justify this level of aggravation. I would rather work a little more shift work.

    Thanks for the video, but it's completely counter to what the "professionals" at PA Gov told me to do; after finally reaching someone after days of trying to call. Neither suggestion works. MyPath picks and chooses what it will allow as information, usually giving an error message. Also, what if we don't have Revenue ID? Because no form of ID information will get past this horrible site's error messages. Everyone that I've spoken to that used the old system (PA100) said it was pretty simple. This is horrible! The site is garbage and, if you can actually get someone of the phone from the state, they seem to have no idea what's going on. The form on My Path that I was directed to seemed like it was the wrong one as I was filling it out, then it vanished and I don't have access to it any longer. So now I'm resorting to posting a god damned comment on youtube to get a god damned sales permit! Thanks for letting me vent! I'd leave this stupid state tomorrow if I could.

    (I'm Sch.C sole proprietor) What if I give money to an individual's GoFundMe (not a qualified charitable organization) with the purpose of advertising? I would give them money and in return they would promote my business. And ... What if I give cash to that GoFundMe as a business gift? Meaning I'll use the $25 limit GIFT RULE .       Bonuses are taxed at ordinary income tax rates (which go up as your income increases). But be careful because when a bonus is run through payroll, they only withhold a flat 22% for federal payroll taxes, regardless of what your W4 says. So often, high-income earners end up having too little withheld and will owe more money at tax time. That's the reason that bonuses have a stigma of being taxed higher. It's just a timing difference. Dividends, on the other hand are taxed at 0%, 15% or 20% depending on your income, which is lower than most people's ordinary income tax rate.

      If you're taking money out of the business that isn't through payroll (with taxes withheld), that's a dividend. You'll pay tax on those dividends taken when you file your 1040 income tax return. The federal income tax rate for dividends is 15-20% depending on your total household income for that year.

      Yes, regardless of whether its your main source of income or just a side gig, if the service or products you're providing are subject to sales tax, you should register, collect and remit that sales tax. Otherwise, the state could come after you and require YOU to pay the sales tax that your client should have paid at the time of the sale.
