Easy to say when we don't know what actually happens in real life, remember this is an entertainment show so not everything is factually correct, even for just US law.
we studied contract law and promissory estoppel in business law in undergrad accounting minor classes. And finding a way around things to enforce or make new contracts. And verbal agreements are fine as long as there are witnesses (like Mark zuckerberg and his college roommates for helping zuck in exchange for stock)

She learnt it the hard way that day. Interesting to note that she had the new deal written up before she went into Jessica's cabin, this is the clue.
I like to think that Louis knew the firm wouldn’t cover it and was going to pay for it himself. And Rachel was too angry to just be upfront and ask Louis when he got back.
I think Louis was betting that she would never get in.

Rachel never once went and directly asked Louis to hold up his end of the bargain. She read into what he was saying and applying it to her situation. Had she reminded him, he would've upheld his end.
A great showing of taking a step back and thinking critically about a situation erupting with emotion. Not only can you possibly solve the problem, but you also learn some new truths and become a stronger presence among your peers and superiors.

He was backup.
She should have asked Luis to confirm the deal in writing rather than talk hypothetically about someone else. Luis may have just confirmed that is what he promised. Then the "new deal" wouldn't have been necessary.
If he didn't speak with Jessica about it earlier, it might be difficult for him to do that now and incur such a debt for the company for what they already have

They just write off under training/tax anyway. Here a company has to spend a percentage of their payroll on training.

Did you guys feel like Louis knew what she was talking about the whole time and was just playing ignorant? The first time I watched it, I thought for sure it was what happened. But he never actually mentions the deal later. It seemed like a weird thing for him to have forgotten.
No, Louis likely forgot about it and at the time probably planned to pay for her law school himself. But she was also far too naive and should have got the terms in writing.

We all can see how much Harvey enjoys just being an exhibit and observe an argument that has nothing to do with him nor initiated by him, in Jessica's presence loll
So there's a lot of laymen lawyers in the comments so settle some things.
1) Verbal contracts are just as legit as written ones.
2) HOWEVER, if a contract falls under one of Statute of Frauds categories, it needs to be written down (Marriage, Year, Land, Executor, Goods, and Surety). In this scene, you see Lewis asking how long it and Rachel answers three years. That falls under one of the categories (Year), as contracts lasting over a year must be written
3) there are exceptions to these rules. One exception is if a person detrimentally relies on the contract and meets the criteria of promissory estoppel (i.e., reasonably relied on that promise to their own detriment) That's why Rachel responds to Lewis by saying she made major decisions on that promise.
And Lewis is right about winning. At the end of the day, Rachel should've known better. A court takes that into account. If she were to go to trial, the cost of litigation would be more than what she could afford.

I would have wrote that storyline as, Rachel forgot about her Tuition fee and she thought it was being paid. When Rachel challenges why her fee was never paid, the firm tells her it was not paid because she was fired which in in the clause, but when Rachel goes over her contract she finds that in the case of being wrongfully fired the fee should still be paid, however, the firm challenges that clause and interprets it slightly different, but over time human resources (or whatever it is) agrees to pay, she just needs to chase them up for the payments or reimbursements.

A counter argument react in a specific moment, not when you need it but it trigger himself at some point of the discussion, which involved harvey the factual argument, not the friend. And Jessica like this aspect of doing things. They knows her too well. Just the game of power at his best

Weil it happened to me the same, just that the one that promised me to pay my tuition was my dad, and at the age I entered to University I was 17 years old. I ended up paying everything. Sadly I didn’t have any witness. I keep asking to my self if could have done anything in my case :/
Your dad reneged on a gift. It wasn’t a contract or a settlement. Here, Rachel was wrongfully accused, terminated, and could have sued. The raise and tuition agreement were compensation.
