Investor interest in unlisted shares or pre-IPO shares is on the rise and in this video, we shall explore the concept, benefits, risks, the process and regulatory aspects associated with investing in them. Unlisted shares offer the opportunity to invest in promising startups or well-established companies before they go public via an IPO. This allows investors in these private equity shares to potentially capitalize on the company's growth and increase their investment value significantly.
Unlisted shares are typically traded in the grey market or through private transactions. These are OTC (over-the-counter) transactions and there are some risks and challenges associated with it that we'll examine in this video. Moreover, the valuation of unlisted shares can be subjective and I'll explain three different methods of valuation. We'll also look into the safety aspect and shed light on the role of regulatory authorities like the Securities and Exchange Board of India (SEBI) in monitoring and regulating the unlisted share market
The video will also list out the 7 steps that's essential when investing in unlisted shares and also some of the most commonly asked questions when investing in ESOPs and pre-IPO shares. Taxation is another topic of discussion as it will help investors navigate the tax landscape effectively. Hope you like this video!

It's my pleasure. Glad you liked it
I think your channel is one of the most useful financial channel giving all of us differentiated content
Thank you Irfan. Glad to know you are liking the spread of topics. As I research these, my own skill and recognition of pattern is improving and now I am able to apply 2 or 3 key points from one video to another thereby improving the output. Look at it this way. Someone spent an year researching and building a concept, I took 4 days to curate it and you are able to watch it in a 15 minute capsule video
I just got a proposal to invest in an unlisted share. The presentation did not have all financial statements like balance sheet or cash flow statement. The presentation did miss several crucial pieces of information and I have asked for the same. Also the firm showed a PE of 5541(I am also not sure if there is a typo) and RoCE of 92%. This video really helped to understand this body of knowledge in a reasonable manner.
Glad you found it useful. Thanks for your kind appreciation
Thank you for sharing such valuable insights on stocks and finance. Your knowledge and efforts are truly appreciated!

So nice of you. Thank you very much for your kind appreciation, Hemant ji. I like to research and put information in a compact. It really helps that the viewers my channel attracts are knowledgeable folks who are curious to learn more and like data-backed notions
Trading in unlisted shares is way too risky for my investing appetite, nevertheless the information I received from your video was quite valuable. Thanks for sharing.

How to transfer unlisted share to dmate ac after ipo
Hi Shankar, i purchased Ixigo shares pre-ipo / unlisted space. This company listed in share market , but In holdings it showing as "Inactive" , You told those can be sold after "Waiting or Lock-In Period" . Whom i need to contact to know its period. pls reply on it.
Hi. Pls contact the broker from whom you bought those shares. Or else, connect with an aggregator platform that deals in this space - sharescart.com, precize.in etc.
Thanks for this. I have a couple of questions:
1. Where do I find the number of shares of an Unlisted company?
2. Let's take an example: XYZ company has 10,000 exiting shares (unlisted) and each share costing around Rs. 100 in the unlisted market. Now company is issuing fresh shares of quantity 1,000 shares and now total share will be 11,000 (1k increased from 10k). How does this impact the unlisted market price of each share? Do I have to take loss here if I have the unlisted shares?
1. Check the MCA website for documents related to shareholding
2. It depends on the price at which the new shares have been offloaded. If it's a 200 rupees a share, then the existing shareholders also profit. Afterall, market price is market valuation of the company divided by the number of shares.
🎉as usual Superbbbbbbb.... Any companies you can recommend to start investing. Regards.
Thank you Arvind ji. I don't recommend companies as the objective of my channel is educating investors. I am there to give people a push, the rest is upto them .. and I sincerely believe with a little hardwork, anyone can become a good investor.
Hi Mr. Shankar,
Really appreciate this video, it helps in gaining an understanding of the unlisted/delisted shares market in India. Can you make a video on the websites mentioned by you at 6:26? It will help in understanding which websites are reliable and can be used by retail investors. Thanks
Most welcome Ashmait ji, glad you found the video informative. And thanks for the suggestion, I'll try.
@@shankarnath actually I have delisted shares of 2 companies, I get emails regularly from different individuals/ firms for purchase of those shares but I don't understand whom to trust and how to determine the price. The price offered by them is way less than what is mentioned on the websites shared by you. Thanks in advance
@@ashmait Yeah, price is nothing but negotiation here. If the website says it can negotiate a higher price for you, then you can explore that option.
@@shankarnath actually seems like some websites/ brokers buy the shares themselves and some act as an exchange/ medium for sale and purchase
@@ashmait Thats true
Very good video👍
Thank you! Cheers!
Sir please make a video on international investment Like I want to buy Tesla shares then which are authorized brokers and platforms?

Shankar sir, with so many opportunities already available in listed market, keeping in mind the complexity and risk involved, should we plan to buy unlisted shares? Retailer point of view :)
Hello Piyush ji - I wont worry about the slight complexity because the same logic can be put between buying a share (we have to research, time the purchase, time the sale, open a demat etc.) and investing in a savings account (super simple; just deposit the money). In my view, it's a simple toss up between risk and return. There are many private companies that are doing extremely and they have a long runway in front of them. If the potential returns are 100 times, then why not invest in them -- that's how I would look at such situations.
@@shankarnath The crux is what your rightly mentioned " Toss up between risk and return" & I might be more risk averse than many other investors :)

Hi Shankar, the video suggests that all interest is taxable if contribution is more than 2.5L. I understand the interest on the excess contribution (over and above 2.5L) is only taxable. Is that right?
Hi. Yes, it's above 2.5 lakhs. Apologies if this was not clear in the video.
