    Partnerships in business can be the best thing that ever happened to a company, but without knowing how to organize the partnership and how to manage it… it WILL fail. No matter how good it was at the start.
    Several of the fastest growing, most fulfilling companies I’ve ever started, have been with partners. Not always a 50/50 partner, but no matter how much stock they owned, I always treated them like an equal partner because when you have two or more minds working together towards the same goal you can achieve amazingly fast results.
    So if you’re in a partnership it’s your job to set up some basic rules that keep that partnership strong.
    With that said, there have been 2 companies I used to own with partners that ended up being very costly lessons for me. Lessons that I’ve never repeated again, but lessons that I don’t want you to learn the hard way.
    It’s faster and easier to learn business lessons from someone who’s been there, done that, then it is to pay the price yourself!

    Great unbiased video. I’m currently experiencing a courier service deal going sour with a business partner because the terms of responsibility on each part is becoming loose and liabilities began fluctuating drastically over night. Your experience allowed me to think about my situation from a different approach. Much better than calling people discuss relaying numbers to emotions. My end of business is logistics.. not sales. And it feels like every conversation is a sale to explain my end of the expense report.

      Sorry to hear you're in that situation. Partnerships can be a pain the ass or amazing, and the difference has a lot to do with how well you crafted the partnership/operating agreement BEFORE starting the business. Learn from this experience (IE: make a template partnership agreement to use in your next company NOW while you're in the heat of it) so future partnerships can be rock solid! That exercise will also help you navigate the issue you're currently going through.

    Totally related to the values conflict Family/Status of at least one of my former partners. At times I felt like I was help raising his kids and support his trophy wife. Great insights here. TY

      That's really a scary thing actually am in this partnership with a friend that has a track record of changing women like he does fit. So it puts me in a position where I feel I hv to make an agreement making me top decision maker

    I don't like partnerships because it's like a marriage. Conflicts will arise. With a marriage at least it's worth the efforts in the long term.

    Do you believe in 50/50 partnership?
    I have this business partner, she wants a 50/50 split, but I'm doing most of the work, and most of the money, the equipments are all on mine. She wants a 50/50 split because she will be contributing 50% on the ingredients. Pls enlighten me. 😫😫 I'm a newbie in the world of business.

      First, this is a great question for your attorney. If you truly are a ‘newbie’, then a good business attorney is your best investment because a poor decision like bringing on a 50/50 partner who is not contributing 50% of the full value of the company (now and in the future), is a mistake you only need to make once before it kills a good business. With that said, if I had a potential partner contributing 50% of the ‘ingredients’ and not contributing 50% to the overall business, I might offer them an “equity partnership” (a partnership in the NET revenue generated from just the few products that use the ingredients she contributes)… or I might offer to create a new business with her (50/50) and that business would only own the ingredients (your current business can lease those ingredients for a fair monthly value), and that new business can also lease those ingredients out to other business so it has an income from more than just your current business. In short, there’s a lot of different ‘partnerships’ you can create in business, but the thing to keep in mind is that you have a fiduciary responsibility to NOT take any action that’s going to hurt your business (including, but not limited to, giving too much stock to someone who might not be a good long term fit for you as a partner).

    I hate being dependent on a Business Partner, because most you just can't trust. The one side is just too lazy putting work and cheap to invest. the other side may be the opposite but they probably will disappear with your 50%'s

      The only partnerships that work out are those that begin with a clear set of actions that each partner agrees to own, and consequences if they stop delivering on those actions.

    Hello Chris,
    Here s a scenario
    Company X
    Partner 1 will invest his full time in the company
    Partner 2 Owns another company but wants to come join company X as he doesn't see his company making good money. He will not invest his full time in the company.
    Partner 3 has a regular job and won't be a full time as well.
    So how do you suggest, partnership %, profit and operation expenses % to be shared would work.
    Idea of the company was of only Partner 1.
    Partner 2 and 3 says they will only join company full-time when there is enough profit and won't join until then and when they see profit and join they would want additional share.
    Could you provide a breakup on how to take it forward?

      1. What's your name?
      2. Here's a general reply, but this is a big and loaded question as there's a lot of ways to work this, and a lot of risks you need to mitigate - also I'm not giving you any legal or accounting advice, you need to consult with competent legal and accounting counsel anytime you're dealing with a partnership.
      In short - you're telling me you have several people who want to be partners with you but they're not going to put their focus into the company until it's profitable - that's a crappy deal. Personally, unless someone is investing a lot of money, I would never give a percentage of ownership unless they were bringing a ton of experience, contacts and/or sweat equity (and their "A game" from day one).
      One option to run by your attorney might be to allow them to earn equity, starting with equity in the revenue they help generate and eventually (possibly) allowing them to earn stock equity. A good attorney can help you draft an equity arrangement based on their value to the business. One that only compensates them as the company can afford to.

    My business is having great challenges. I am loosing control over the staffs. I gave some room to allow them do some side hustling, because their pays are very little compare to the skill they offer. Today, their focus and mind is more on their personal business.
    I brought a plan for 2022, but they rather settle settle with d old model where they have time for their side hustle.
    Please what can I do...if I let them go, I can't do it myself, and having same talented and skillful staff seem like not possible.

      Hey Teddy - I'm not a fan of the decision you made to let people have side-hustles. If they want to build something of their own - that's wonderful, but that will always be their prime focus (as opposed to growing your business). There's several options at this point... I'll share three with you to get your mind set straight...
      1. Pay them more (which it doesn't seem like you have the ability to do 'yet').
      2. Hire more people (employees always strive harder when they see fresh blood being introduced to the team - because they want to show off, plus they fear losing their job to the 'new guy/gal').
      3. Set bonuses for them to achieve. But only bonus people for achieving things that move the needle in your company, so your team brings in far more money then you need to pay out in bonuses.

    Question for you. I want to form a partnership to do active stock trading in which I’m the general partner who does the trading with the other person’s capital. I’m trying to think of a way to avoid self employment tax while also having a practically guaranteed compensation. What I had in mind was to have a profit sharing structure where I get paid a percentage (lets say half) of the gains on any profitable trades until a certain limit for the year is reached (such as $20k for example) and I would call that unearned income. This just applies to individual trades even if there’s a loss relative to the beginning of the year. What are your thoughts on that?

      Hey Kevin - that sounds like a great questions for a qualified CPA and tax attorney. But you should know, there's no "practically guaranteed compensation" unless you're an employee. In business, the goal is to structure a win-win partnership where both sides are compensated based on the risk they carry as well as the benefit they bring to the table.

If you're paying the price now for a bad partnership, just know that many great entrepreneurs have been exactly where you are... but if you learn something valuable from this bad partnership, then that momentum will drive you to be more successful in all your future ventures.
