I was talking to the owner of the company that I work at, asking him about how he started his business and what he's done to make it successful. This is a multi-million dollar business. He said that he is not an s-corp, just an llc. I was wondering if there's a good reason for this to be the case or if his accountant is not competent enough. I'm wondering if the accountant isn't fully aware of the tax implications of being an llc v.s. being an s-corp or if there's nothing wrong with staying an llc.
Nothing wrong with it. Plus LLCs don't have the audit target on their back like an S corp But yes, as an Owner, he's probably accepting more tax than necessary by sticking with an LLC
Another benefit of an LLC is that you do not have considered shareholder basis when taking losses. A shareholder is limited in losses to his basis and any shareholder loan he/she has taken.
I asked a similar question that Mark's Tax and Legal 360 event in July. The KKOS attorney presenting said that the IRS has rules against transactions that appear to skirt around rules, for which your example perfectly outlines.
