James Caan's offer would have given him enough control over the business where he would have a conflict of interest in "spiking the ball" on the early financial target years so that he'd never have to part with his initial 50 percent. Accordingly, his conditional refund of 15% is worth zero. Duncan's offer was not only better, but also more honest. Shame on you, James!
