You just have to attack him when he's resurrecting. It will interrupt the Special and he will not recover his life bar entirely, making the battle a lot easier.

I just beat arcade mode in 3rd Strike Online Edition yesterday (at the lowest difficulty, don't ask), and holy shit, that Gill was one of the hardest bosses i ever fought in a fighting game ! O_O (even worse than Seth in the SFIV series...)
