I didn't either, but luckily I had a little over $1K in Cardano which I flipped for BTC, so I paid them in BTC. The Cardano I had, I'd only paid $300 for anyway. But Aptera seems to be growing faster right now, so I basically flipped that crypto for Aptera.

Rich - On the circular I'm seeing there will be 54 million Class A common stock shares outstanding after the offering and 11 million class B outstanding after the offering for a combined 65 million outstanding shares. If they are selling them for $8.80 per share does that mean they are valuing the company at $573 million?
I don't have any comments on the Class A shares... I could not find pricing associated their issuance. Class A and Class B shares may not have the same valuation basis, so just multiplying those by the most recent Class B offering price of $8.80 is likely inappropriate. As an example, preferred shares in a company are not priced the same as common shares. On a still private company, understanding valuation is tricky. I have some thoughts on it, but I have not done an exhaustive analysis on it.

Great to hear that the next round is at $8.80 for an increase of 131% I realize that the gain is still only a paper gain but at some point I do hope to see great gains for all share holders that decided to go in early to get Aptera road ready, so to speak

I don't understand two things and was hoping for your feedback: a) I don't understand how Aptera could choose to not issue the full amount offered in the first offering (13157894 shares @ 3.8$/share) unless they could not find enough investors. Did they cut the investment period short somehow? 2) Why is it a smart strategy to keep increasing the price before IPO? Thanks! Vlad
Vlad - Thank you for the questions. By not issuing all the shares and raising all the funds in one fell swoop, you leave open the possibility you don’t need all the money and the associated dilution of ownership with the issuing new shares. On the share price increase, as long as there’s demand it is quite wise to build a capitalization table with increasing share price at each round. This demonstrates the demand at a higher valuation (valuation is equal to share price times number of shares). Before an IPO you would like to have a fairly good valuation, sufficient to draw interest by an investment banker to issue into the public market.
