I think the judge’s decision has been bad for Tesla and I despite never voting in proxy elections I did vote for Elons pay the second time - the only time I ever voted as a shareholder in any company for anything - but I do think that Tesla bulls have come to the conclusion that all shareholder derivative lawsuits are bad no matter the question at hand - and also that a decision by the judge being bad for Tesla automatically means the judge misinterpreted the law or us corrupt - and I don’t agree with that at all.

The basis of business is intent, not the wording of some statue. The Judge substituted her judgement for the Board's judgement (shareholders not informed) but when her judgement was found to be incorrect (the reformation vote), she should have reconsidered her decision. The bad data in her decision, it did not come from any factual data presented in the case. If a judge makes a factual mistake, they are legally bond to correct that mistake.

A board director has a fiduciary responsibility to the stock/stake holders. A founder usually has and keeps a majority stake after going public, but not always. When board members are selected it is not just because of their business acuity it’s also because it is perceived their interests are going to align with the majority stake holders. In fact business management texts teach this. So the plaintiff’s argument is flawed from the get go. So of course selected directors will be bias toward the people who put them there. I'm seeing people confident on both sides, success or failure, and I'm really only watching the pro-Tesla crowd on this because the haters have too much bias to take seriously.
