    I live in Delaware and I know that over 60% of the Fortunate 500 businesses are incorporated in Delaware. Also Trump has over 300 of his 500+ legal businesses incorporated in Biden’s “home state” of Delaware. One last thing, Hillary Clinton and Donald Trump both have businesses that share the same exact business address in Wilmington, Delaware. Almost forgot, Delaware also has four (4) art ports which are basically considered international neutral zones like in Geneva, Switzerland and these art ports allow owners of priceless art to forgo paying certain taxes on their works of art. Did I mention Delaware also has no sales taxes? Well, we don’t. Delaware is truly business friendly, folks.

And as such, these corporations (which incidentally, have been endowed with our very same human rights) create and establish policies with built-in, self serving loopholes. Biden is simply a corporate democrat who replaced another ‘former’ corporate democrat turned corporate republican, trump.

    Once the LLC is open and active, can it be re-registered in those states?

      Yes but you won’t have total anonymity because the state you had filed your LLC most likely wasn’t Delaware, Wyoming, Nevada etc. and so there will be a record of your name on past filings even if your new setup is now in Delaware. Like you name won’t immediately come up when you search the Delaware Corporate search but your name can be found under past files on the same screen (ie see filings). It would show that you were registered in another state and mention your name under than filing.

      Not tryin’ to be a hater, but chancery has a long “a” as in and not a short “a” as in apology. ( unless you’re British or Australian, of course) Every superior court in the nation has an chancery division, which deals with matters of equity, as opposed to matters of money as in the law division.

    For Amazon business - do we need any reseller cert if LLC registered in Delaware? Delaware does not have any sales tax laws. I guess they use 'gross receipts' method?

    Karlin, if your home address was used to receive your tax documents, does that destroy the anonymity?

      It might but I'm not sure. You can pay for a virtual address where all your business mail is forwarded to you physically and online. That virtual address would be your businesses address on everything. Can't be a P.O box I've heard. The forwarding company would be the middle man, keeping your home address off of business documents. I'm not 100% sure for this specific scenario though

      Is a holding company anything like a shell corporation?

      The real reason why you are getting anonymity is because those specific States don't require you to upload your operation agreement. The operation agreement is what would show your name, address, ownership percentages etc. It is recommended to create an operation agreement regardless, just to keep with you but no upload required.
      You also must not be the one creating the holding company, because you will then have to be on the public records. You hire a registered agent/attorney to file with the Secretary of State and their address and name/ company will be on the state documents. At a yearly or monthly fee ofc. (The IRS and Banks still need to know who you are because of tax filings and bank account opening) but those aren't public information anyway. The banks and tax attorney will need to see the operation agreement so that they have proof of ownership. There's no such thing as 100% complete anonymity but the protection is there if you play your cards right. (Or authorize someone else to sign these) (Or make them sign an exclusivity document) Lol I'm no attorney, just info for entertainment purposes. Call an attorney
      The holding company would have to be listed as the managing member of the subsidiary LLC. That's where the protection of your anonymity comes in. Because the LLC in that "other '' state owned by the DE holding company might be a state that requires an operation agreement to be uploaded and because on paper, you don't own the subsidiary, the holding company does, you'd be safe. But, you'd be on the holding company's operation agreement as the direct owner but again because you chose a state with anonymity benefits, the operation agreement isn't required to be uploaded.
      I'm no attorney or tax person, or accountant, this info is for entertainment purposes coming from me lol. Definitely make some calls to some business attorneys that "support" those states and understand the anonymity concept, and have a list of questions. You'd also want to call a business CPA that understands the structure so they can help you out.
      When it's finally time to file, hopefully you've saved up some for the fees and service charges. Anonymity is worth it if done correctly but at a price of course.

    How do you establish your llc in whatever state, if you don't have an office there.
    If you do get an office there, LLCs are flow through, so then the income will still get taxed in the state you reside in.
    I agree that when you deal make millions then you might need to cover your ass and take your name off lol

      A holding company created for holding and ownership of assets isn't considered, "doing business" in some states. You technically will have an office in that separate state because you'd have to hire a registered agent that resides there that would file your state documents and accepted/receive them for you. The subsidiaries would be paying the holding company dividends either yearly or quarterly or monthly (whatever you decided on). Because the holding company owns them. If you haven't already, look up "pass through entity", it might help you understand the taxing concept of a holding company structure in certain states. I'm no expert attorney, cpa or anything, just some friendly advice. I tried lol but do your research and make some phone calls to attorneys and cpa's
