CIPC Completed Registration Documents Explained

    Congratulations! Your brand new company is registered. You have received a bunch of new documents so let me explain what they are and what you should do next.
    The first attachment is the CoR 14.3 This is the company registration certificate which includes your company’s pertinent information such as the company name, registration number, registered address and directors’ information. We would have love this document to be in colour, however CIPC produces it as black and white image and dispatches it nationally in this format.
    The second attachment comprises of a number of documents, the first is the CoR 14.1 which is the notice of incorporation where each incorporator gives his or her consent to be appointed as a director of the company.
    This is followed by the Cor 15.1 A (For PTY’s) and in the case of NPC’s the Cor 15.1 C, D or E. These documents are the Memorandum of Incorporation or MOI for short, of your company. We used the standard MOI as drafted by CIPC which is compliant with the Companies Act. The MOI set outs the rules of how the directors should manage the company and in the case of Pty’s also the rights of the shareholders. For Ptys it is important to take note of, is the number of Authorised shares issued, has been defaulted to 1200. This can be found on the third line of the first page of the 15.1 A. I must emphasise that the number of authorised shares has nothing to do with the value of your company. Remember NPC’s do not have shareholders and therefore have no authorised share capital.
    Next, we have drafted the inaugural minutes for your company, please sign it and keep it in a safe place for your own record keeping.
    Finally, we have the share certificates. This is arguably the most important of all the documents. You will need to print them out and get all the directors to sign them for authentication. Once signed, they become the original share certificate and can’t be duplicated. CIPC does not keep shareholder information nor copies of shareholder certificates, so please keep it in a safe place as it is the proof of the ownership of the company.
    The South African banks require all of these documents in order to open a business bank account. So, you are now all set to open your new business bank account which is the next logical step on the process.
    We often get the question, where are the original documents? This can be confusing as there are no physical original company documents as the documents are digital and emailed to us. The authentication and verification of the company happens via the CIPC call centre. The share certificates are a different matter as the signed share certificate is the original share certificate and may not be duplicated.
    A final point to be aware of, is that next year, on the anniversary of the registration date of your company you will be required to file annual returns to CIPC in order to keep your company active. This should not be confused with SARS income tax returns. We will notify you when your annual returns are due to ensure that your company remains active and is not deregistered by CIPC.

    Oh my word!! Thank you so much for this video! I was using the COR15 documents and didn't even realize all this had to be done on the COR14 documents. We haven't opened a business bank account just yet, but now I at least know what is needed.
    My biggest hurdle now is finding a public officer? Is this the same thing as an auditor?

    Please create a video where you show us how to submit proof of payment should you have incorrectly referenced the payment to CIPC. If video already exists, please provide a link.

      Hi there, thank you for your recommendation, I will consider it, however it it quite a specific request so there may not be a large enough audience to warrant the cost. I suggest you lodge a ticket with CIPC and attach both deposits showing the same reference was used twice.

    Thank you for this. What does it mean when both the MOI (COR 15.1 A) and the Notice of Incorporation (COR 14.1) are unsigned?

      Hi there, not to worry, CIPC returns the document unsigned. We just include a copy of the signed documents for our clients because some banks used to insist on it..

    How do I obtain a share certificate for my company? I registered it myself in 2019 and I do not know how to go about getting. they never sent it with the docs I received.

      Hi Bontle we do get the question from time to time. It is important to remember that CIPC does not capture shareholder information nor does it issue share certificates.     Hi there, my fiance recently registered a company, as he is wanting to start his own small business. It's non operational at the moment as he's taking baby steps, but we received the SARS registration notice and not sure what to make of it. Do you have a video explaining this?

      Hi Amy, not to worry, all companies are automatically registered with SARS , so yes he should receive the SARS registration notice. Remember he will need to complete the companies tax returns even if it has done no business. It simply is a nil return and no tax gets paid.     Hi, please help me here. I am trying to get my company registration certificate reissued. How do I go about doing this. I'm on the back foot here as I am unable to open a business account with the Cor 14.3 form not available.

      Hi Mzo If we (SwiftReg) registered your company for you, we will be able to resend the document to you free of charge. If you registered it via another Agent of directly with CIPC, then the only option is to download a full disclosure certificates from CIPC. We charge R60 for this service. Fortunately, the bank will accept the full disclosure certificate so you should be good to go. If you get stuck, please contact our call center on 021-5954433 and they will gladly assist you.

    Hi. Please help, SARS is asking for COR14.1 and CK documents duly signed and dated. not sure which documents to send and how to get them

      Hi Mahlatse, The Cor 14.1 is the notice of incorporation which was sent to CIPC. If we registered the company for you, it is part of the post registration pack you received from us. However if not you will need to lodge a ticket with CIPC to get them to resend it to you. I hope this helps.

    How does one register a company with a passport without a SA ID?

      Hi there I assume you are not a South African resident and do not have an South African ID. As a foreigner you can register a company providing the following requirements are fulfilled;
      1. You will need a valid South African street address which will be used as your registered company address; post box addresses will be rejected. (We are unable to assist with supplying this registered addresses, however there are companies that offer virtual offices)
      2. All Directors need a current and valid passport as CIPC (The South African Company Registrar) does not accept Refugee Status nor Asylum Seekers.
      3. The Directors need to be present in South African to open a bank account to comply with FICA requirements, which require a proof of address. (We are unable to offer this service)
      Should you have the above requirements, we recommend you use our website www.swiftreg.co.za to register your company as the process is very user-friendly.
      The cost is from R490 (Aprox $35) for the first director and shareholder thereafter R100 per shareholder and R100 per director. The service includes all the supporting documentation which will enable you to open a bank account in your new company’s name. The company tax registration with SARS is automatically included.
      The processing time depends on CIPC (currently CIPC is taking 5 working days). I would recommend having a scanner and a printer available as the registration process requires documents to be printed signed and emailed back to us.
      Due to the South African foreign exchange controls and the high banking costs charged to us we do not accept EFTs from foreign banks (this includes transfers from Namibia). All foreign payments must be via the Master Card or VISA credit card facility on the site.

      Hi Tricia, the CoR 9.4 is the approved company name. It is the first part of the registration process, there is a second part of the registration process which is the CoR 14.3. Did you complete this section on the CIPC website yourself or did another company assist you?

      Hi there, a the CK number refers to a Close Corporation. This is outdated because since the introduction of the New Companies Act in 2011 no more new Close Corporations can be registered in South Africa. Only new Pty Ltd's and their registration certificates are referred to as Cor 14.3
