    The 51% was actually recommended to me by my business advisor to avoid stalemates between 50/50 partners, even in a married couple. When two partners are EXACTLY 50/50 partners, conflicts can be hard to resolve. Impossible, even. Whereas in a worst case scenario, the 51% controlling interest can at least overrule and ensure business continues. It's not about making 1% more money. Especially as a married couple, since as Linus put it, it doesn't matter at all.
    It's about the best interest of the company and ensuring business continues even in light of a serious disagreement among the owning partnership.

      As a business owner of 12 years, with a 50/50 split of shares, I disagree. It has helped shape ways of negotiating and reaching consensus that would never have been shaped if one of us could just overrule. Having a 50/50 split means that any decision that we disagree on gets a really good amount of scrutiny and exploration and we always end up picking the better option as a result.

    • @mackmcd
      @mackmcd Год назад +16

      @@RoxFlame I'm happy for you, but you're the exception that proves the rule. And merely incredibly lucky. (so far.) But for the grace of god you haven't run into a scenario that was simultaneously time sensitive, critical, and non-negotiable from both partners. Believe me, these situations happen, and they can destroy a business.

    • @RoxFlame
      @RoxFlame Год назад +23

      @@mackmcd We run into those scenarios all the time. If we can't come to an agreement we defer to our policies, and if policy can't decide it we defer to the director with the most subject matter expertise for that issue given (predefined) core responsibilities.
      Then, we create policy for making decisions of the nature that caused conflict so that next time it's a no-brainer.
      It's not that we're lucky to have not hit an impasse, it's that we have hit so many of them that we've strengthened our decision making processes. I'm personally convinced our company would not have survived so long without this (although I'm also aware that I'm speaking with survivorship bias).

    Favourite part of WAN show are the asides where they just go off reminiscing about stuff. You get a momentary glimpse into the behind the scenes stuff that got them all to where they are now. And it does shine a glimmer of light on how everyone else makes LMG work, not just the faces that show up in the videos all the time.
    People can be immensely bright and bubbly personalities but the moment you point a camera at them they lock up. Those people still do vital work to make the company keep ticking over, but might never be seen in the content itself. I like that the direction seems to be finding a way to make the company feel more about the entire staff than just the man with his name on the door, as funny as name on the door jokes can be, just ask Denny Crane.
    Also great to see how human they all are. They all have foibles that aren't just covered up all the time so we only see the persona. Some are a bit egotistical. Some are a bit shy. Some are super knowledgeable but not super performers. Some are the opposite. It's a team of human beings that makes LMG great and keep excellent content worth watching coming out. No one is perfect, but from what we get to see, they seem to have found the balance point where most people can be kept happy a lot of the time so that life and work continue to run smoothly for everyone involved.

    Linus, Another reason to have 51% is that you can be the final decider if you both ever came to any major impasse. If that is a good thing or a bad thing, it at least sets up a place where you can "pull rank" to make something happen. Now the marital consequences are your problem post pulling rank.

    • @abyxis

    Company valuations are not just based on ebidta and a multiple based on the ebidta. If you have the ability to show how the said explosive growth is going to affect your business, have a substantial line of credit or working capital then your valuation will go up. The only question is are you willing to let go of the profit just as you might start making a lot more money.

    Wow being a relationship manager for large corporates for an international European bank I can tell that you thought in the right direction in terms of group financing. Getting your legal and org structure right makes financing so much easier. From the data I know (number of staff, revenues, product range) I would assume that fixed term loans in combination with a good working capital facility would be the right way to go. Don’t think that IPO, Sam loans or bonds makes any sense here yet. Also additional equity could be an option.
