    This seems to be another typical Boeing bean counter approach:
    1) Deflect attention from the real problem;
    2) Somehow suggest that Spirit is the reason for the problem;
    3) Pretend to solve the problem with money (buy a company) vs engineering;
    4) Screw up the whole deal as usual.

      There are plenty of companies here in the UK who supply Boeing and Airbus. The difference is Airbus apply their own engineering and quality control!

      It all depends on supervision; if the customer keeps rejecting anything below par, then either they go elsewhere or change happens.
      However, keep an eye on Congress. If Airbus want to keep US airline orders, that means US content/jobs... things could get complicated.
      Leahy's legacy at Airbus is vital, look out for a counter offer.
      Or... maybe Boeing have worked out what they are good at, and this is a deliberately provocative move to divert attention. Note: nothing to do with building aeroplanes.

      Airbus tried to do something similar to Boeing's selling off Boeing-Wichita, creating Spirit. But Airbus, to their good fortune, could not find a buyer.

      A company utilising a subcontractor has a responibility to Cover the sub contractors quality sytem. It is not sufficient to allow sub standards parts into a manufacturing process. The Onus is on Boeing and AirBus both to ensure the quality of their bought in Spirit products. Spirit might have faults but the responsibility for passengers safety remains with The Air Lines. They have a fundamental Duty of Care.

      They are now, but this wasn't always the case. Spirit used to be integrated with Boeing for the longest time, and were only sold off in 2005 because financial accounting metrics. There will certainly be cultural problems, but the integration might actually go somewhat smoother than most. Some people might even still be there who were former Boeing employees, and that will probably make things a bit easier.

      Spirt was Boeing. Boeing had presence in Wichita going back to World War 2.
      Spinning off the part of your company that made major and key components was a mistake of previous management, more than likely to raise capital.
      Spirit, as an independent company, was driven to deliver earnings per share to shareholders by selling to Boeing who in turn faced the same pressure from Wall Street.
      Remember Wall Street is every person with a 401k, IRA or a pension with funds invested to grow.

      Boeing needed to outsource its management NOT its manufacturing. Manufacturing was not broken so they broke it. Management/Board was broken so they rewarded it. Q. Which Consultancy advised Boeing?

      Having one of the two major manufacturers of large commercial airliners as an incompetent basket case is not good for the world. As good as Airbus has been so far, and they have had their own disasters, they are incapable of meeting the demand of all the airlines of the world.
      And once they have no competition, they will have no incentive to keep costs in line and quality as job 1. We need Boeing to straighten out.
      But yes. Back when the 787 was first having problems after launch, Boeing talked a good game about learning lessons about over-outsourcing. Unfortunately, they did not do anything to remedy it. And they couldn't even keep their own house in order.

    The thing that rings out loud and clear is the fact... as stated here, “in 2020 Sprit laid off 6800 experienced workers - and many seasoned workers retired or never returned ”. Boeing will have a difficult time finding solutions to their problems under these conditions... anytime soon.

      In Germany we have a thing called "Kurzarbeit" or "short time work" where a company in time of unexpected, temporary crisis, instead of letting people go, can keep them on the payroll, while the government pays their wages. The company only needs to continue pay their normal share to social insurance, while they can reduce their working hours down to zero. The workers take a cut, too, but it is just about 5-25% after taxes.
      This has obvious benefits to all parties: The workers still get paid and keep their jobs, the company can quickly resume or raise production when the situation improves, and it is cheaper for the social security system than to pay the 70% unemployment benefits, so it is a win-win-win situation.
      Problem is, you need a decent mandatory unemployment insurance system for it to work, something that seems a bit foreign to Americans. However, when things like Covid or some crisis happens, the burden is shared and the crisis is shortened. Probably not a solution for the US, where people are not that big on solidarity.

    It was a bad idea for boeing to get rid of its manufacturing abilities and they need to get it back. It was short sighted planning that resulted in short term gains for long term pain, now the reverse has to happen.

    I am very happy. I dumped Boeing from my portfolio. I had a gut feeling the first Max crash was the tip of the iceberg. I trust my gut and as usual it was right. Boeing can do as it chooses. I no longer have skin in the game. I don't trust the company anymore than I trust the product they build. I wont fly on a Max. Not now, not ever. I fly enough, I know how to avoid things I don't like.

      Over the same period, Boeing's had dropped by over 30%.

    I remember the 787 program’s problems when they were trying to get airplanes to customers. Absorbing this fuselage plant will be very expensive and drifts into Boeing’s main competitor, Airbus. This will be very interesting to watch.

    Boeing Wichita was known locally as the Lazy B Ranch. It was terribly inefficient. In the late ‘90s I had a Vendor Pass and it was not unusual to find some guy in the shop sleeping.
    The company was sold to Spirit as an ‘asset sale’. Spirit did not buy the company they bought the assets. The assets did not include the union contract. All employees had to reapply for their jobs…quite a bit of deadwood was shed…a new union was formed…a new contract negotiated.
    I don’t know why things deteriorated, there are probably many people to blame but mostly management.

      I worked at Boeing Wichita on the 737 Classic wing flaps during the timeframe you mentioned, and there was nothing inefficient or "lazy" in our area. On the contrary, the area I worked in was consistently overly efficient as we met or exceeded every schedule management threw at us with minimal effort. Upper management treated the shop personnel courteously and respectfully, and I enjoyed coming to work and didn't mind working overtime (within reason) when asked. If anyone was nodding off on the clock, which I never witnessed, they had already completed their barline for the day.
      The inefficiency you write about was introduced after the parasitic hack managers from McDonnell Douglas showed up in 1998 with their poisonous mission statement of unrealistic cost-cutting and quantity over quality and proceeded to "fix" everything that wasn't broken. Only then did the well-oiled machine start falling apart, and everything started going downhill.
      By no coincidence, that's when morale started tanking and never recovered. Legacy Boeing management at the time knew this tactic was intentional and used as an excuse to offload the facility for the primary reason of getting from under the union contracts and benefits and paying wages commensurate with skills, and they were right. Now it's coming back to bite them in the backside.

      That is how the British Car Industry collapsed. In mid 1970s I visited British Leyland Truck & Bus and saw a long queue of people at 10.20. am. I asked what they were doing, waiting for 11.00 break for Tea and Cakes. Night Shift brought sleeping bags. Difference Workers destroyed British Cars, Management destroyed Boeing BUT BOTH COLLAPSES WERE DRIVEN BY GREED.

    It's an interesting business strategy - deliver poor quality product to your major customer, and then use that as leverage to extract an above market price when your major customer wants to buy you to sort out the quality issues.

    Boeing's SC plant where the 787 is made was originally a contractor that made Dreamliner parts. Boeing purchased the company.

    If there was the slightest risk of Spirit being subsumed into Boeing then Airbus would make one demand: Devolve the factories making Airbus parts to Airbus (or Spirit Mk II owned by Airbus) or lose the business. There is no way Airbus will allow itself to be at the mercy of Boeing's poor quality culture or worse at the risk of deliberate 'mis-manufacture' of key parts. Airbus has a 100% record on quality and safety and will need to be a very long way away from the ongoing failures at Boeing.
    Remember every Airbus wing is made in the UK either at Airbus in Broughton and Bristol or at Spirit in Belfast with the Belfast plant being sold to Spirit by Bombardier before Bombardier was taken over by Airbus. That autonomy of Belfast has kept it clear of the dramas at Spirit in the USA. Different culture and better quality.
    Of the two companies I know which one has the financial muscle to make a move that benefits itself. And it ain't Boeing.

    What about an independent Sprite with major customers owning a large portion of the stock? Major Production facilities would be dedicated to that customer and using their quality control systems!
    Common parts could be manufactured at Sprit quality-controlled facilities.

    To me this is just noise. It is the appearance of fixing the problem. The problem: It doesn't matter the name on the building. Either there is quality work or there isn't. This comes down to the employees making the components being treated with dignity and respect (or not). It involves team building ... doing weekly give-aways, having pizza lunches, showing genuine support when an employee's family has a death and celebrating when there is the birth of a child. To me this feels like the "which cup has the sponge ball on it" side show. Boeing gets a fail from me this.

    As a McDonnell Douglas Corporation/Boeing Company Retiree, (I worked for MDC from 1989 until 1997 when the two entities merged and became a larger Boeing Company) I must add, what I call “outsourcing” madness became an issue of contention with employees across the enterprise as “cost cutting” measures began to affect the quality of products even then. The lessons learned from too much “outsourcing” deficiencies in supplier management, and the emergence of “schedule driven quality” due to shareholder pressure and management establishing unrealistic demands on the workforce seem to have been lost yet again. The knowledge and experience lost through attrition seems not to be properly captured, shared, and treated as valuable resources.

    If Boeing higher management doesn't fix the mentality of the line workers it makes little difference if these workers are paid by Spirit or Boeing.. Boeing leadership will need to show by actions that they want to become the leader in quality and engineering instead of being the leader in short term quarterly financial results only....

      It's not a problem with the workers mentality. They were punished for reporting any quality issues or risks and punished for taking the time to do quality work. It's outrageous to blame the workers. Management not creating these problems is an important step in fixing this.

    In a sense this all goes back to the reforms of Thatcher and Regan. Which had the effect of moving as much as possible away from in house manufacture to subcontract manufacture. Which weakened labour power and reduced costs but made controlling quality much harder. Now we seem to be seeing the pendulum swing the other way. Perhaps in future people may be valued a little more, paid a little more and things won't fall off aeroplanes. We can only hope

    Boeing would get sued for anti-trust if they bought Spirit and then refused to sell to Airbus.
    But buying Spirit won't fix anything while they continue to put profit ahead of safety.

    People blame Stonecipher and McDonnell managers for the culture changes that brought Boeing to its knees. What I don't understand is how could McDonnell managers have such great influence in the joint company? As far as I remember, at the time of the merger, Boeing was going strong while McDonnell was struggling. How did the MD management come out on top of this situation? Any thoughts?

    The current issues at The Boeing Company were ALL AVOIDABLE. Whenever sales and production schedules become MORE important than building and MAINTAINING quality at EVERY step of the manufacturing process, its only a matter of time before the entire operation suffers catastrophic outcomes. The Boeing Company had a reputation of engineering excellence, and a strong and loyal customer base; I strongly agree with Maximus Aviation’s earlier assertion (I’m paraphrasing) if this current culture isn’t corrected very soon, there will be NO Boeing Company commercial aviation business!

    Gotta wonder if Airbus has better quality control than Boeing for products/components/subsystems from Spirit. What is Airbus doing differently than Boeing? Competent experienced workers? More inspections? Tighter participation in Spirit’s manufacturing?

    The original Spirit deal was a great plan until it wasn’t. I’m not sure having Boeing undo what they did is going to right the ship. Boeing, by some accounts, has a cultural problem. Changing leadership and/or ownership at Spirit won’t affect Boeing culture.
    Maybe they will benefit from taking over Spirit. It remains to be seen. I thought it wasn’t a great idea to put so much of your fate into a third party’s hands in the first place.
    Not everything that makes good share value makes good manufacturing. You have to make some hard decisions on what is most important. If you decide wrong, you can destroy your reputation for manufacturing and your share value all at once.

    Don’t think that Airbus and Lockheed agree to this since Spirit makes parts for them and they compete against Boeing.
    It has to be approved by attorneys both in the US and EU since they have manufacturing plants there, probably other government has to say yes also. If not approved, then Boeing can be locked out of the market where the merger is not approved.

      @@balazslengyel6950 the agreement must probably be approved by competition attorneys in all the markets that Boeing sells its products, or else Boeing would be locked out of the markets
      Its many cases that either the governing bodies in either the US or EU has said NO to takeovers like this

    Spirit appears to be doing poor work on the 737 so getting control back should improve that. But BA has plenty of issues itself so it's not likely to get it back up to proper spec.

    That will not solve the quality issues at Boeing.
    While the reason for the plug door to be removed on the Alaska Airlines 737 MAX-9 was rivet issues from Spirit, the problem about not installing the 4 bolts, castle nuts and cotter pins was purely Boeing. They even took pictures of the plug door before fitting back the insulation and cabin cover panels without even discovering the bolts were missing.
    Buying Spirit will not change the problems at Boeing.
    At the end of the day, the problem both at Boeing and Spirit is the typical American business culture of purely focusing on shareholders and profits instead of first focusing on quality and a company culture of no mistakes no matter what.
    Maybe, Boeing would be better served trying to find out why Airbus don't seem to suffer from the same quality issues even when Airbus actually produce more airplanes than Boeing these days.
    What do Airbus do better that Boeing?
    Is the difference the business culture or the quality of the employees at Airbus?
    What is the difference between the two companies and how the produce airplanes?

      @@RLTtizME Boeing are losing money hand over fist let alone funding the civil lawsuits. They lose some $20 Mn on every 787 delivered for a start. 737MAX are a liability and not being delivered so no cash on delivery and the 777X is beached in a sea of regulatory refusals.
      Boeing posted a net loss of $30 Mn, or 4 cents a share in fourth quarter of 2023, narrowing from a $663 million loss, or $1.06 a share, a year earlier. Boeing has lost money every year since 2018 as it struggles with problems in aircraft and defense programmes.

    Instead of spending billions buying Spirit, Boeing should pay a much smaller amount on the salaries of some extra quality control inspectors and its staff training. Let the engineers build the planes, not the bloody accountants.

    I do not see this as a positive thing at all. Boeing has the biggest problem as their quality control is well below par. They have already proven they are (so far) not able to fix this so why would it be any different if they buy Spirit? Airbus does not suffer from this problem so the problem lies for the biggest part with Boeing. And second I would not expect them to find the funds to make the deal, also not by selling more shares. It would surprise me if they will be able to sell them in big numbers. Who would want to invest a lot of money into this company that will not be able to repay this for many, many years to come (if at all).

    Recovering the manufacturing divisions spun off in the early 2000s will NOT increase the "bottom line" of Boeing. They basically starved Spirit by hardballing them into price cuts in order to save short term money. (I mean.... come on. If Wichita was not profitable while it was a division of Boeing, how was Spirit going to be profitable if Boeing forces it into cheaper prices selling the manufactured fuselages .... without cuts to engineering staff and quality?)
    This might be a SLIGHT bit of goods news that Boeing as done a "come to Jesus" on how badly they have fallen. They must know that recovering Spirit will be a money loser. But it will allow them to bring QA under their complete control. If the FAA forces them to improve their own QA, this could do a lot to right the ship.
    That is unless the GOP takes total control of government, decides to do away with all the "onerous" regulations and regulatory bodies. If that happens, we are all screwed and on the way to becoming another failure like China. China has impossible air pollution, 90% of their groundwater is unfit for any purpose due to more pollution, consumer products are riddled with toxins, apartments are built with "tofu concrete", Battery packs catch fire every day and kill apartment dwellers, and so many other disasters too numerous to enumerate.
    Do we want to become China? Cut independent government oversight and we'll see.

    Airbus cant afford to lose Boeing as a competitor. Spirit cant afford to have Boeing as its sole purchaser of Aircraft products. So a buy back is in both companies interest if it can separate its product streams.
    But that will not make safer Boeing Aircraft.
    As the issue is not at the plant level one but in its the isolation from management by being focused in Detroit. But Boeing and Detroit arrangement is a sticking point that only the shareholders Coup can fix because the Board doesn't want to.

    If Spirit is as rubbish as claimed, how come it's only Boeing - not Airbus - planes that are having troubles ?
    Is it just the Wichita plant that has problems ?
    Maybe the Belfast (A320) plant is OK. Just speculating - not trying to make a point.

    Fad of buying back shares, in the past, has not ended well for those corporations. How can doing same thing buying shares be different this time?? Why it never works, corporations waste all retained earning "savings account", no capital for new products development. All capital has to be borrowed, corporations at mercie of lending institutions (LIBDOR plus rating) interest on loan!!
