When a shark says "you can counter" it pretty much indicates that the deal is really, really lopsided.

Non-dilutable shares are a far worse deal than 10% that gets diluted with everyone else if it´s obvious he´ll need to raise further capital. Not that companies should see their value in what they can raise of course.

Can someone explain the dilution to me? How does that happen and how is he able to prevent that? (Yes, i know Google is free, but please)
working with small, but equivalent numbers, if you put in $5 for 5% then that's saying the company has a value of $100. If at some later point the company is valued at $200 with no additional investors your 5% now means you have $10 of that value. However let's say the $200 is all from additional investors. Well your $5 is now just 2.5% of $200. Now lets say it grows to $300 with no additional investors that means you have $7.50 of that value. How to prevent that? Simple you just declare that's part of the deal. You always remain at 5% without having to add any additional money. In practical terms any additional investors would know some of their money is going directly to the non-dilution partner. (if this was a publicly traded company then we'd be talking in stock terms but the principle is the same).
And I’m sure they’ve made their money back and exponentially more.

Kevin can be slithery. He is just trading a loan of $500k at bank rates (or WORSE than bank rates) for 10% equity. That's just pure insanity and sheer stupidity. Who in their right mind would take this?
