  • Good faith is an implied term in all contracts, but what does it mean to ask in good faith? Is it the same as acting without bad faith, or something more? This lesson provides some context to this murky issue, without trying too hard to define the inherently indefinable.

    It would benefit the general population more to focus on what the available remedies are when a goliath breaches that implied covenant of good faith and fair dealing. It's probably often the only cause of action someone can rely upon to attempt to pursue justice.

    Acting fairly is not imposing impossible terms such as :
    "Return the bottom portion of this loan statement with your payment.. by this due date*, but not delivering the loan statement until 90 days past the due date stipulated.

    I'm being petty but at 11:10 he meant UCC 1-201 (19) he meant. Not 20.

      Thanks for pointing this out! I am referring to the definition of "good faith." The Legal Information Institute has this listed as subsection 20. See www.law.cornell.edu/ucc/1/1-201. But other sources list this as subsection 19. See, e.g., www.uslawbooks.com/ajs/ucc1.pdf. This is a good reminder that the UCC is a model law which may come in variants, but the key thing is to identify how it has been adopted into statute by state legislature. States might also have minor variations on UCC language and numbering, although the general principles should still hold firm. Thanks again for your thoughtful and helpful comment!

    Considering every employee of these private foreign insolvent corporations(CITY OF, STATE OF, UNITED STATES OF) operate within a colorable jurisdiction and within their private corporate capacity and not their de jure government capacity.
