The software that runs on the device isn't public knowledge, therefore it cannot be audited to tell if Ledger suddenly makes any suspicious changes to the software or device. It's not likely, but if the company ever goes belly up, it's a possibility.
Generally, when it comes to security, open source has a few advantages: 1. If there's anything malicious in the code, backdoors or anything, the community will find it. 2. If there are bugs in the software, they tend to be found quicker for the same reason. More people looking at the code, simple as that. 3. Often the person who found the flaw sends a fix and the company only needs to verify the fix, test it, and if it's ok, they add it to the codebase. Compare it to closed source alternative, where - if the flaw is found at all - it is the responsibility of the employed software developers to fix it, and they usually have other work as well, so non-critical bugs may have low priority. 4. There is the counter argument that open source code is more vulnerable, because it's also easier for malicious people to find and use security flaws, but - hackers worth their salt simply use decompilers to 'open' closed source firmware. So, by keeping source closed you only make it a little harder for the bad guys, while also discouraging most of the good guys from helping. HOWEVER, it should be noted that: 1. The difference is, the auditors would require permission to access the source code, and would likely have to sign some NDA.
There are also many known cases (not Ledger, just some random companies) where some well-intentioned user (often a legitimate security expert) finds a security flaw in the company's product or system, informs the company about it, and they either ignore it, or sue the user for messing with their code. This is why many people, including security experts, prefer to stay away from closed, proprietary software.

There are also many known cases (not Ledger, just some random companies) where some well-intentioned user (often a legitimate security expert) finds a security flaw in the company's product or system, informs the company about it, and they either ignore it, or sue the user for messing with their code.
This is literally unheard of in open source projects, since this is the encouraged behavior.
This is why many people, including security experts, prefer to stay away from closed, proprietary software.
