    Warren said 20% out.???? How many shares we talking about. I have 5,088 shares and I am sticking with Elon all the way 100%. He deserve what he deserve and a deal is a deal. I am Chinese and most Chinese might fight over a price but once the deal is made My people always stick to the deal

    Warren is waiting for the crash so he can buy up cheap. i still think there's some short term pain ahead. I am currently holding north of $200k in a savings account waiting to take advantage of a huge opportunity. How do i avoid a crunch and maximize this?

      Don't be in a hurry to get in. The market needs several days of strong performance to signal that the downturn might be over; i think It's a time to be largely, if not entirely, in cash

      The truth is that this is really not as difficult as many people presume it to be. It requires a certain level of diligence, no doubt, which is something ordinary investors lack, and so a financial advisor often comes in very handy.     Ive worked for corporate jobs my whole life and rarely are the CEO’s present in the office . Even with all the companies Elon manages, he is still more present at Tesla than any other CEO of any corporation is present at their single job.

    I really can't believe shareholders would backstab Elon and vote against the pay package... this was already a done deal... Kathaleen McCormick should be stripped of her license and be criminally charged for stock manipulation.

      Perhaps shareholders are not satisfied with how Elon has performed as a CEO since aquifer Twitter. The stock has plummeted, along with global public opinion for both Elon and Tesla.

    I am Warrens age and am all in Tesla however I also liquidated 33% of my hold at 216$
    Why
    Because I am 62 and have been here before. 33% allowed me to remove about $120k which was twice my initial investment because stuff can go wrong
    China could invade Taiwan for instance then what? .. saying it wont happen is being certain of world events and no one can be sure
    Again I am 62 I have lived to see things I was certain of not happen, and things I knew would not happen happened understanding you can be wrong allows you to adjust future risk
    NOW if Tesla succeeds I get 2/3 rds the gains if it mucks up or the world shifts I have $120k to support myself.

      Risk of China invasion of Taiwan is huge. Taiwan may blow up 3 gouges dam and bring a catastrophic flood. Maybe gigamexico will be online by then.

    Herbert, This is a question of who controls the company.
    Anyone can die at any moment. I accept this. This vote is a referendum on who should control the company, not an act of fate.
    So the key-man hypothesis is not relevant.
    If this vote does not go through on the item of EM's compensation package. Then that is evidence the company is in the control of short term speculators. Tesla is not built for that kind of thinking or lack of it.
    I have taken every opportunity to vote in favor of EM's compensation package.
    I suggest everyone hunt down every available account you have and vote your shares accordingly.

    I just voted yesterday. I gave Elon his compensation back and agreed the move to Texas. This pay package was approved in 2018, and hopefully get approved again. Please vote now. It's easy, just look for the Tesla e-mail your broker sent you and press 'VOTE NOW'. Comment here if you already voted or planning to vote.

    Way to judge… why are people reading Warren’s mind? Characterizing Warren’s decision as an emotional one isn’t in evidence. People are having an emotional reaction to his selling… evidenced by the judging.

    I am concerned of this Voting thingi 😢. For my understanding, If Elon leave, Tesla’s future will turn vague. I am share holder since 2019. Kept buying whenever I have cash on my checking account. And tbh this is the first time I have this scared feeling since the first Tesla share I bought .

    Hi Herbert
    First let me say that I watch your channel often and especially watch when Herbert has one or more of my 3 to 4 favorite guests on - I've learned a lot from them. In fact, one of those favorites is actually on this panel today.
    That said, I did not 'get brighter' watching this particular podcast. I did, however, get considerably 'duller' listening to a group of people who are either genuinely confused about EM and Tesla, or at the very least, gleefully whistling past the graveyard of a stunted technical future for us all.
    ============================
    Please consider the following points:
    1) WR was misquoted and misunderstood countless times, by some in this panel. WR never said that EM would definitely leave Tesla, he simply raised the questions as to why he would stay if he was treated so poorly by his own investors, what would be the possible outcome of the EM leaving, and what that outcome affecting the current stock price. To me, WR clearly raised areas-of-thought that should have been discussed by this panel. Instead of accurately discussing the many, many points that WR actually made, this panel appears to whistle past them as if they have no bearing on our collective, technical future.
    2) EM is not your normal person. He has accomplished feats in the last 25/30 years that few beings in history have rivaled, and I include Edison and Newton in that rivalry. I worked with a man, also from South Africa, when I first started my career in Electrical Engineering. Just by walking into the lab, this man could raise the level of your talent in ways you couldn't have imagined. I owe a large part of my career and future maturity to that man. Why am I telling you this - because many times when I see or hear EM, I think of that man I worked with - they are both, peas in a pod.
    3) If you want to know the (real) impact of EM musk on the Tesla company, go watch (or rewatch) the Lex Freidman podcast with Jim Keller. Jim says it all, in ways that only someone as brilliant as Jim can, from his ground-zero perspective. If you think you can merely get some 'super' CEO to replace EM (at this point in the Tesla 'stream crossing') you [do not] have a grasp of what EM brings to Tesla, and arguably the world.
    4) If EM had been taken out of Tesla in 2016, I believe that Tesla would not have survived, regardless of the CEO that would have replaced him at the time - he was the 'heart and lungs' of Tesla back then, and IMO, still is today. There would be no EV's today, except for China's, without EM existing on planet earth. Would we have a bot, FSD, the cyber truck? No - and Tim Cook couldn't have ever conceived of these things. This panel tries convincing itself that the Tesla 'bench' is deep enough to carry on the Tesla mission, and that anyone who thinks otherwise is likely wrong - as if you're already making excuses as to why EM is no longer relevant to Tesla.
    5) Yes FSD, the Bot, Robo taxi, etc. could roll out (at this point) without EM but at what speed, what effectiveness, and at what relative future - I would rather not find out, because unlike this panel, I think, I believe, the EM is a catalyzing force like few others in world history. If you think a 'Tim Cook' like CEO is going to magically pick up the baton, then I say [you] are likely wrong.
    ============================
    To summarize:
    TSLA is a substantial part of my stock portfolio. I am not going to sell my shares before the vote, and it is solely based on the hope that whatever happens over the summer will result in EM being happy and motivated. Did you hear that - EM being happy and motivated? Listening to this panel, you would not have heard arguments in support of this. In fact, some actual backhanded, shade.
    I get that some of you may believe that EM is no longer as relevant being the 'powerhouse' that he once was - as if to say that the Tesla 'cake' has been baked and we should all just sit down and eat. That cake is far from baked, and I think that the chef has many more tricks up his sleeve, so I for one, don't want him to bring his talents to another bakery.
    I have already voted all my shares in the affirmation of the board suggestions. Rather that hearing from the panel how the vote either doesn't matter (EM will stay regardless) or of course the votes will pass(nonsense), it would have been instructive for those of who care about Tesla the mission, EM the human being, about how this vote underscores both of those - rather than hear about your 'clever' views and prognostications on the future stock price of TSLA.
    I get that many people throw shade on EM out of their own fear, their own jealousy, the blistering Mainstreet Medias drumbeat of FUD, and mostly, by the ignorance that comes from not knowing that you don't know something. Time may prove me wrong, but I heard a considerable amount of that particular ignorance in this particular podcast.

    I think many miss the point of the fact that other companies ''get the Humanoid Bot'' that Tesla galvanised.If no one else was doing it they would be saying it's not important.Immitation is the best form of flattery.Many companies immitate but there is only one Tesla.

    I listened to Warren's explanation and am very thankful he sold 20% and then gave this response to his haters. He lists a number of very important reasons for his position and I'm hoping a lot of people listen to that video. If they did they should realize how important voting their shares with the Board truly is. Thank you Warren!

    I'm at 1:14 so I don't know if my thoughts are covered.
    I am quite sure of the following...
    We all need to remember that Elon plays chess in 4 dimensions. He thinks far ahead. He envisions scenarios of the future and their probabilities. He founded X-Ai to develop AGi with the intention of licencing it to Tesla (definitely) and others (probably). This method capitalizes on the inherent personal control he has of X-Ai + the manufacturing might and resources of Tesla.
    I think he will pursue this path regardless of whether his compensation plan is ratified. The other thing we forgot is that Elon is able to manage SEVERAL companies concurrently so developing AGi at X-Ai AND CyberCab and Optimus at Tesla in addition to Neuralink et al is nothing novel to him.
    Tesla will be X-Ai's most valuable customer.

    Remember Elon said Tesla and Space X are his children when these companies went through a hard time and facing bankruptcy. He said that he would not let his children die.... so I believe Elon will remain with Tesla and Space X for a long time.

    To say I was surprised at WARREN's 💪❤ 20% sale is a gross -understatement... Personally, I see now as the worst time to liquidate ANY $TSLA stock as IMO it will or might "moon" soon... BUT we are all entitled to our own comfort levels... And, it was only 20%... I truly believe one has to not even look at $TSLA stock until mid-2025 at the earliest...

    Am I correct in understanding that a non-vote on this issue (Elon's compensation package) is counted as a "No" vote? Because if that's the case, my concern is that the vast majority of retail shareholders won't bother to vote. And if most of the institutional shareholders are voting "No," then. . . I'm not optimistic about the chances of the package passing.
    I'm definitely concerned about this.

    I appreciate Warren's concerns and his outlook. I agree that NOT voting for Elon and the move to TX is a bad message. HOWEVER! I also know that Elon is the ultimate problem solver!! He has a vision and he will find a way. I and all my friends and family have voted with the board😁

    You guys act like you don’t understand how we got here. But you ignore a very important point. Just ask yourself, “what if Elon had not bought Twitter and not opened his big mouth about social and political issues?” Would the stock price been so low? Elon punches public opinion in the throat and then you guys talk about FSD and RoboTaxi. The company is the best in the world, obviously, so look to other external factors and the loss of confidence in the owner.
    (Yes🙄he has the right. But that doesn’t mean he has to use it. He has a megaphone that NONE of us do)

    Omar at 56 minutes - good points. But IF the vote goes against Elon how will he feel about that rejection by his company? I would be pretty pissed myself (where I elon). Everybody here seems so sure the vote will pass - but there are a lot of shareholders who didn't hold in 2018. A yes vote will dilute their stock, while a no vote eliminates the dilution which was already priced in from 2018. So I am not that positive that the vote will pass (myself). I hope it passes, but am just looking at what happens to the stock price if it doesn't.

      I should add that I already voted all my shares for the Board Recommendations. So I voted YES for the comp. package renewal and the move to Texas. I am just a bit worried the MSM press coverage will scare the voters and the pay package will not succeed. If my baby rejected me it would hurt pretty badly and I might leave. Just one person's opinion.

    If Elon is a person who quit, he would have quit long time ago. There are so many occasions he could have quit yet he didn’t.
    Imagine this man who never quit on all impossible task yet quit on failing vote? I doubt that will be the case… I could be wrong but somehow it’s unimaginable he quits so easily

    My 1700 shares voted yes with all board recommendations. It's a fairly small amount in the grand scheme, but my vote will be counted in favor of Elons pay package. He already earned it ffs.

    My biggest concern with the votes is that it requires basically full institutional approval plus some retail on top, and many retail investors wont even know this is happening - or know how to, or care to take part in, the vote. Let alone understand the implications to a point to decide one way or the other. Many wont even be able to vote, due to their brokerage or from which country they're investing from, it'll be a tough proposition. 70%? Here's hoping.

    1 thing I have not heard anyone talk about is is the 2018 package is not reapproved a new one is likely to be approved and it could be accepted by Elon.

    Sawyer says video has hints (around 52 minutes). I agree. But doesn't that indicate they are trying to pump the vote? They know where the vote stands now and if they feel the need to advertise or pump the vote, doesn't that indicate it is negative so far?

    Tesla might lose Optimus but FSD is that close I think, Tesla will implement FSD and get the financial rewards from that. Kathy notes that Autonomy is the main case for their valuation.

    There are many pro’s to Elon leaving Tesla. I’d 1000% like Elon to stay, the company has much more longterm potential to Elon staying, but I’m not selling my position if Elon leaves. I absolutely believe Tesla can 10x on Level 4 or 5 autonomy alone.

    The successor to Elon doesn’t have to be a genius with the vision, the foresight or the inventiveness as Elon to be very successful and 10x the stock. The successor only needs to execute the existing game plan for Tesla Energy (Megapacks), FSD, the CyberCab, and the Tesla Bot (not to mention Tesla’s EV sales business). A very good hard-nose executor is all that is needed at this point in Tesla’s maturity. There may not be a Tesla VTOC, or heat exchanger for houses and businesses, or super AGI, but the existing plateful that Tesla currently had is enough, if executed judiciously, will 10x Tesla in the next 5 years or less.

    Let's not forget that much of Tesla's technology is deliberately Open Source. Many have observed that this might help Tesla defend itself against accusations of monopolistic behavior. Has anyone pointed out this might also enable Elon to build his own AI and robotics company separate from Tesla? Not what we shareholders want to see, but Elon must keep in mind the corporate experience of Steve Jobs.

    Lots can be said about this but the most important is this. I’ll bet 90% of retail votes for the two proposals, which would get us to like 40% already. So only a relatively small percent of funds need to also, and many already said they are.
    The big take from this is, these fund managers aren’t stupid. If they vote no to both and Elon gets fed up and quits (I don’t think he would even if both fail) this would cause a mass fear and exodus from retail, which owns 40ish percent of the stock. The fund managers would be shooting themselves in the foot by voting no as it would almost certainly tank the stock for at least a few months if not longer.
    Fund managers are here to make money, not play politics.

      idk about fund managers performance, like you said, id just invest in SP500 if not tesla. but everyone knows tesla has mass retail holders and the holders love elon in general despite what all the bad press tries to force upon us. maybe a lot of people dislike elon outside of investors (im skeptical too) but those who actually have money in tesla generally like him even if they dont love everything he says

    I wounder why people who bought shares after the deal was voted for, have a say in something they were not connected to. The deal was set in place then. So shares bought after the deal don't count.
    That should be looked at by the legal team. We want Ealon to get his just deserve.

    I agree that this vote will not result in Elon leaving. I do, however, think Tesla needs to address Elon’s concern over ownership/control within Tesla. If this is not addressed, Elon’s involvement at Tesla will diminish. This vote (2018 Comp & TX move) is related to his future involvement… less Elon is bad news for Tesla’s long term growth.

    It's only partly true that Swedish Tesla stock holders can now vote. The bigger stockholders hold their shares via an insurance company in Endowment insurances or Pension insurances and they do not get to vote as of right now. The problem is not solved yet.

    Tesla has a huge total addressable market and strong competitive advantages. The issue is a CEO who firstly does not understand marketing and secondly, compulsively antagonises large swaths of the target population. The key man risk is that he may flame out because he is so unstable. And these are the reasons why Tesla is looking less and less like a high conviction investment for an investor with a really long term horizon.

    I have Musk re-arrangement syndrome. My model is that the stock will drop by the percent proportional to the shares that vote against Musk pay package. So I would guess the lower edge of the trading band is now going to flirt with the 4/22 low of 142... I wish the board had split the difference and offered MUSK a reduced payment, with the reduced part repackaged as a future benefit.
    I think there is a good chance Tesla would do well without Musk as CEO.
    My problem is that Musk's overlapping control of companies creates potential conflicts of interest.
    Another problem is that Musk may be right about fsd for the first step, but is quite possible he's not going to appreciate the
    next big improvement in visual learning if its not his own idea.

    I don’t think Elon will do anything to damage Tesla in a dramatic way. If he does he would damage every other company he owns or will own in the future because he would be known as someone you can’t trust and I don’t think that is what Elon wants his legacy to be.

    One word: MARS.
    Elon's primary goal is held in that word. He can't get there without Tesla's Optimus, real world autonomos navigation, autonomous electric vehicles, solar energy, and mineral processing. He also needs autonomous mining and subsurface factory and living quarters construction (The Boring Company) and transportation and Mars wide communication (SpaceX). His major missing component is energy. Atomics would give him the power he needs to run operations including boring, refining, processing fuel, water, and air, and a nuclear rocket engine to cut transport time to and from Mars by over 50% (AtomicX). First launches will be one way, Optimus manned, and every once of mass delivered will be consumed. Subsequent trips will be completed in 3 loops: 1) Earth to orbit to Earth, 2) Earth orbit to Mars orbit to Earth orbit, and 3) Mars orbit to Mars to Mars orbit.
    Elon needs Tesla too much to let it become just a car company. Soon Tesla will be locked onto pathways to deliver his needs without his direct supervision.
    PS: Space elevators?

    People panicking over nothing . Elon will not decimate his own wealth which is Tesla. His SpaceX stake is big but SpaceX PE is eye watering high vs current income coming in . Amazing potential with Starlink but that has to IPO first .

    I also think that Tesla can offer Elon another Comp package for the next 10 years in a similar structure but targeting getting the company to $6tn from the current $600bn and if he hits targets Musk gets $4-500bn of share options. With that target shareholders will support it and Tesla would need to get more independent BOD give shareholders all relevant info. Basically address the issues raised by this rather biased judge. She said it was not fair but then could not define what was fair.
