    A rival company of US Steel wants to acquire it cheaply, so they are obstructing the process. They claim it’s due to national security concerns, but Japan has been a longstanding, reliable ally that plays by the rules. Despite being dragged down economically in the past through unfair agreements like the Plaza Accord and the US-Japan Semiconductor Agreement, Japan has remained committed to the alliance. Yet, the US government still hasn’t provided clear evidence to justify its stance.

    As a Japanese, it doesn't matter whether Nippon Steel can or not acquire US Steel, but I don't understand why Japanese companies pay penalties due to Biden's interference. Shouldn't the penalty be paid by the U.S. national budget if it was the president's decision?

    Everyone slamming this acquisition by Nippon doesn't understand the deal. Japan is our ally after all. If they can revive a dying US company and keep the manufacturing in the USA...seems OK to me. They need to explain the acquisition better to the American public as they will in this lawsuit.

      I think it’s the nostalgia of US Steel playing into it, was started by Andrew Carnegie, bought out by JP Morgan and became the first billion dollar corporation in 1901 and was a major force in the US industry and giant in the steel industry too. So I guess to many people against the deal they feel like it being sold to a Japanese company and being owned by anyone else besides US Steel feels wrong. I don’t recall a lot of people against when Cleveland Cliffs offered to buyout USS lol as a small stockholder of USS I wouldn’t mind the profit from the sale for sure and would be glad to see it survive since I’ve followed its legacy for a long time, but on the other end I’m kind of against it cause once it becomes private and a subsidiary of another company I lose that connection saying “well I own part of it” so it’ll be that loss of a connection to it that I’ll miss

      Japanese here. I hate to say this but Japan has been a loyal puppet of US since WW2 ended, and most Japanese acknowledge the fact that Japan is literally the 51st state of US. So Japan is more than an ally. This deal should be a win-win situation.

    U.S. and Japanese steel manufacturers are not major players in the global market anymore. Nippon steel turned their business from making everything to only higher profit products and became one of the high profit companies among steel manufacturers successfully. US steel has been struggling for a long enough time and seeking support, but None of US companies or governments were willing to help them. This deal is not only about U.S. market, but rather survival of the fittest for both of Japan and U.S. steel industry in the global market against other global major players.

    If this acquisition falls through, cheap and poorly made Chinese steel will flood the U.S. market.
    China will seize dominance over the global steel industry.
    By working with Japan, the U.S. could have maintained its domestic factories to efficiently produce high-quality steel.
    This would have not only countered China but also lowered steel prices in the inflation-ridden U.S. market.
    It was the only viable strategy to stand up to China, but the U.S., in an effort to save face, foolishly rejected this opportunity.
    To protect American jobs, impose high tariffs on Chinese steel products now!

    Why not let them? JBS, America's largest beef processor is owned by Brazilians, Smithfield Pork, America's largest pork processor is owned by China. Our largest oil refinery in Port Arthur Texas is owned by Saudi Arabia. Numerous foreign country's own hundreds of thousands of acres of crop and forest land throughout the US. Our government has been selling us off for years. I'm sure there is many more situations like the ones I listed, that we don't even know about.

      Compare US steel plants to Japanese steel plants - Nippon would have modernized the plant and provide jobs for decades. US Steel was consumed by poor management and greedy union leaders. Perhaps a sale to Nippon would allow the plant to get a fresh start.

      it would violate antitrust law against usa population to allow japan to buy it. so the lawsuit against usa govt has no actual legal merit. it was good economic decision to block this sale, its illegal in usa to do mergers and sales in big business that may result in harmful monopolies and antitrust. this would reduce competition in usa harming economy.
      lawsuit against usa has no merit. usa should counter sue the union for antitrust attempt.

    It is understandable that the United States prohibits acquisitions for national security reasons, as the steel industry is a vital sector for any country.
    However, if the deal falls through, Nippon Steel will have to pay approximately $600 million to U.S. Steel. Considering that U.S. Steel is fully supportive of the transaction, the sudden intervention by the U.S. government to say “No” should render this penalty invalid.
    From 2019 to 2023, Japan has been the largest source of direct investment in the U.S. for five consecutive years.
    I hope that the trust between Japan and the U.S., built over the years, will not be undermined for the sake of a single company.

    I am a Japanese person who loves the United States, but this time, I am deeply disappointed.
    Despite the fact that the United States is Japan's most important ally, rejecting Nippon Steel's acquisition proposal for U.S. Steel in favor of prioritizing the upcoming domestic elections cannot be considered a rational decision.
    What makes this even more disappointing is that not only President Biden but also former President Trump share the same stance.
    Japan and the United States have a security treaty, under which Japan has renounced its military power. However, this decision raises serious concerns about whether the United States would prioritize its own interests and abandon Japan in the event of a security crisis in the future.

    I doubt the U.S. can achieve this, even with tariffs and government assistance. The country no longer dominates manufacturing as it did in the 1960s and 1970s, when it was the only one that knew how to manufacture and had the capacity to do so. Over time, other countries have caught up by offering cheaper labor, causing the U.S. to lose much of its manufacturing edge. To compete and reclaim its position, the most practical solution would be to lower production costs, which could mean reducing wages. However, the real question is whether Americans are willing to compromise their salaries and standard of living to make this possible. im not talking about the US steel alone but the entire economy as a whole

    Therefore, if the Japanese company is blocked by the U.S. government from proceeding with the acquisition, Japan will have no choice but to pay the penalty, which is a significant loss for the Japanese side.
    So, in court, how about Japan agreeing not to pay the penalty to the U.S. in exchange for abandoning the acquisition of U.S. Steel?
    Then, U.S. Steel can be acquired by another American company!
    I understand that writing this may not make much of a difference, but I believe it is a very important suggestion.
    Japan and the United States must not have a falling out! With tensions rising among Eastern countries, why should Western countries fight among themselves?

    It’s good that the deal didn’t go through. I mean Americans keep complaining that their manufacturing industry is not growing but at the same time let foreign competitors take over their manufacturing companies, why?? There should be control over unrequired mergers and acquisitions. A lot of times such deals lead to the demise of the company, loss of jobs, and massive harassment of employees. Who won from Elon Musk’s acquisition of Twitter?? The company is performing worse than ever and a lot of employees lost their jobs.

That kind of made sense. I'm just wondering why there isn't a domestic investor that could fix the company vs selling off, and as another suggested, replace the poor leadership within USS.

    Don't sell it just close it as the union demands. When you can't compete what else do you do. Now if the union was really interested in jobs they would invest and be an owner and get the huge bonuses that way they claim stockholders do. Be aware that many companies are that now and worker got a big eye opener and most of the companies worked thru the rough times and things turned out to benefit all.
