There are two O2 sensors that one might consider replacing (which I did.), as they could effect the longevity of the new cat. Run without a cat and it's O2 sensor's the engine will drop to a fall back mode. Those O2 sensors are a part of the engine management system that controls the air/fuel mixture. Just as anyone who wishes to do a engine build to get better HP|torque will wait until they have all the required parts to do it properly as the engine management system needs to be changed mechanically or electronically. Feel free to read about how the weights in an old style distributor works, while some vehicles lack a distributor. Yes, a person can change the injectors to get a better spray pattern, but the computer will still provide so much fuel to air as programmed for our ZJ's. Yes, the deer and elk can hear me coming a bit farther down the road due to the fact I have a Magnaflow cat and 50 series Flowmaster muffler. But I still have the same horsepower and torque prior to installing them.

You are partially correct. The upstream sensor does indeed control fuel trims, the downstream is simply telling the pcm if the cat is working or not. When the downstream o2 sensor is failing, it simply thinks the catalytic converter isn't operating properly. The cat burns off pollutants in the exhaust, which causes a reduction in oxygen after the cat. The downstream o2 sensor reads this as a lower oxygen reading and often is comparing what it reads against the upstream sensor. If it reads similarly, then the cat is not operating, which is bad solely from an emissions standpoint and won't impact drivability or fuel economy.

other than a broken honeycomb innard due to you hitting an object or going off road, Catalytic converters usually just don't go bad.
an engine that misfires will cause the Cat to overheat.
a blown head gasket will cause the Cat to come into contact with coolant and contaminate the honeycomb substrate.
using leaded fuel will also kill your Catalytic converter.
if you start your cat up and it sounds like pop rocks in your exhaust, then your Cat is Shot!
you can also use an OBD 2 scanner with live data to check .
