      @@badpuppy3 How exactly do you "cook the books" on a company that is traded publicly and sells physical goods? You don't just say you sold 5 million cars since this deal was voted on by us. The most popular car in the world by volume is the Tesla Model Y, and the margins are over 17% on that.

Not only didn't Musk lie about anything he pulled this off early and even delivered Model Y earlier than predicted. If only we had a deal like this for Cybertruck...
      I made lots of money, he deserves to be paid. You don't like him for some political BS reason which is why all you can do is lie.

      Yes. I mean sure, everyone knows the board of Tesla is friends with Elon but hey, shareholders are not everyone. They are children that don't know what's best for them. 10x stock price increase is not what's best for them. A new CEO that will bring the joys of diversity inclusion and equity is what is best for them.
      The magnanimous judge has spoken. The jewish parasite ambulance chasers that brought this unexpected gift for the dumb children will be rewarded with 20 billion dollars. I mean sure, Elon did not deserve 55 billion. But the jew lawyers certainly do. Inequality is a blight on human kind that needs to be rooted out but not in the case of the chosen people.     Don't forget that Elon's pay package came in tranches that each had BOTH a market-cap requirement, and a company revenue requirement. These requirements were so high at the time, most people did not think it was possible. Most C-suite pay packages are NOT like this. Sundar Pichai, for example, gets paid in 3-year increments his $225M per year regardless of whether the company does well or not. Yes that's way less than Elon's $55B but at least Elon was only going to get paid because TSLA exceeded $650B in market cap & the revenue requirement that came with it. His comp was actually tied to shareholder value, which is how it should be.

Nothing in this package was a lie, and I'm convinced you don't even know what this case was about. I'm also pretty sure you don't own shares in TSLA with a response like that. I made over 10x returns and Elon got paid. Not only was it fair, but while he was 10X-ing the company GM investors made basically less money than investing in bonds over the same period. Their CEO's get a cushy salary and regular bonuses for literally nothing. Elon just got nothing for pulling off a miracle.

      Explain how retroactively invalidating this make his case weaker. Musk's success in pulling off a nearly impossible goal in an unthinkable time frame is proof he deserves what I voted for. He 10x my investments and now we may have to pay 7 billion dollars to a team of lawyers thanks to a Judge who just so happened to Force Musk to pay full price for twitter after he discovered twitter was defrauding advertisers and the SEC with fake engagement. Her argument then was just because you were not informed of this doesn't invalidate your previous agreement.
      This would be like saying you'll buy a ring at a jewelry store that says "diamond" then seeing its glass and a judge determines you weren't scammed.

    I really appreciate Sorkin not taking what this professor asserts at face value; especially in light of her advocacy of having a judge cavalierly veto the Board and the shareholder vote. This decision was a raw, unfettered act of judicial power that should not be countenanced. The Board was too influenced by Elon? Since when was a superstar CEO's board not heavily influenced by its CEO? The professor could not be more wrong here.

      @wineattorneys Sorkin got to the heart of the issue and the professor didn't have credible responses in my book.
      What the judge didn't say in her decision, is how important any omissions would have made on the shareholders view of the package, would they really think differently if the board had a different composition? There is a saying that no deal is perfectly written, and that omissions have to be material, to cancel a contract. In other words, if the board wasn't Elon's friends and/or associates, would the shareholders have voted differently. Let's also note that this issue has been brought up in other trials before in Delaware as the Judge noted and they didn't see the problems this judge did. More importantly, if you read the decision, the Judge is quite personal and to a certain degree inappropriate in her position she really does insert herself into this conflict.

Everyone knew what was in the package, because it was a public document, so how as the package misleading?? Elon will get his $55 Billion package, you heard it hear first, either on appeal or another shareholder vote. I feel sorry for those shareholders that are not able to read and understand compensation documents... maybe they shouldn't be shareholders.
      Even if you were misled and I'm highly skeptical of that..... Elon's leadership returned a 1200% return on investment...so even if you were misled, there are no damages... not in the slightest. This ruling will cost Tesla shareholders a lot more than what Elon is paid.... that is for sure.

    I’m a Tesla shareholder. Are the courts telling us how to judge companies now? We get votes based on how invested we are in the company. It’s our job to know how a company is run and that includes the pay of the top executives. This judge thinks she is some superhero based on some of the excerpts in her ruling. Wacko

      Judge knows more about business than you. He'd be running a Fortune 500 company if he wanted, just doesn't want to. People are dumb, he is smart. We can't have companies and shareholders making decisions without random government employees having veto power. Having a judge overturn your decision is like the the United Nations overturning an American election for whatever American citizens may have voted for. This is damn disconcerting.     The shareholders only have to prove that the judges ruling affected the stock price in a very negative way causing financial losses to them and they have a good case. You cant invalidate or assume that the majority of shareholders did not know what they voted for regarding the pay package....based on 1 person with 9 shares. I mean for any good lawyer this is a slam dunk case in favor of the company and shareholders against this judge and the state of Delaware.

    No one in this debate knows the board situation. It is just speculation. What is not speculation is that Tesla is by far the most profitable auto business, and the only one capable of competing with the Chinese. Its strategy was laid out in the 2000s by Musk and has been implemented assiduously despite ridicule and doubt from commentators Now you are asking me to believe that this astonishing achievment has been delivered within a decade by a drug riddled CEO and an incompetent board. So I am calling you for BS. This is a formidable business delivering on its growth goals. Extraordinary results achieved against an epically challenging rewards package. I don't believe any seasoned share holders are complaining. We just want more!! Could it be that this bizzare stream of bile and state complicity is driven by Musks purchase of Twitter and the subsequent revealations of state inteference and censorship. The rise of opposition has been palpable from the moment Musk offered on Twitter. Coincidence... i think not!!

      Tesla was number 11 by revenue so not quite the most profitable yet. If you are a Tesla share holder then the ruling in your best interests as it prevents the dilution of outstanding stock preserving your share of the company. If you believe this would risk Musk leaving the company and that would destroy it then Tesla was either a house of cards assembled by one man only or the product and brand are sound and you have nothing to fear, as Microsoft with and without Bill Gates.

    The judge doesn’t question the fairness of the boards decision until it finds a breach of fiduciary duty. If the board had done its job the court would have blessed this.

      @@badpuppy3 The judge is interpreting the law here. Clearly shareholders were in favor of the compensation package as Elon doesn’t get paid unless the company’s total capitalization exceeds 600 billion. When this package was originally put together exceeding 600 billion seemed unlikely. But if he could somehow do it, he should be appropriately rewarded.
      There a lot of shareholders who would like to have an executive with this kind of performance and would be happy to pay him for such.

    She should have said Board and share holders. Share holders knew what they were doing at that time. Fast forward 6 years, and three law firms got together and found one tesla share holder with 9 tesla shares, and paid him $10k to bring on a class action lawsuit over Musk’s pay package. Yes, a class action lawsuit of 1 share holder. I thought a class action lawsuits involved more than one plaintiff. So these law firms will make billions in fees. Something smells fishy here. 😂

    The Delaware judge put Tesla, Elon, and the shareholders in an impossible situation.
    That should be obvious to everyone.
    We now don't know 8f Elon can be compensated for what he accomplished. We don't know if a new compensation package can hold, or if some judge will null it.
    We don't know if Elon can stay at Tesla, or get paid.
    The judge seem to think he should stay there without compensation.
    I don't th8nk he will, even if he would like to!
    The Delaware judge was an idiot, but I guess that ruling will be reversed, after having done much damage.

    Elon Musk's denial of his Tesla proposal may seem like a just punishment for the wealthy. However, Musk is known for using his excess funds to expand his empire and create thousands of jobs. In essence, this court ruling could potentially deprive thousands of individuals of employment opportunities.

    It is incredibly to have to listen to that kind of reasoning and counterbalancing, those of an infant or uneducated people. Even after studying for so long to supposedly understand the system. To void a decision such as the one taken by the board, even if there had been reasons to understand someone acted without sufficient basis, should have required identifying wrongdoers and the those damaged by these actions. No system was thought to void actions ex post and even less to create uncertainty and value destruction towards good faith actors. All of it in a context where a situation is artificially created bt the badly applicated wrong rules of a system that seems to favor the ruling and not the ruled ones.

    I don't see how moving to Texas is really to benefit of shareholders. Delaware courts are still most business friendly and Texas is untested. Jury trials for disputes will add a lot more uncertainty and lengthy delays to normal lawsuits. This will create a lot more problems then it will solve. The simpler answer is to get a more independent board.

      No one in this debate knows the board situation. It is just speculation. What is not speculation is that Tesla is by far the most profitable auto business, and the only one capable of competing with the Chinese. Its strategy was laid out in the 2000s by Musk and has been implemented assiduously despite ridicule and doubt from commentators Now you are asking me to believe that this astonishing achievment has been delivered within a decade by a drug riddled CEO and an incompetent board. So I am calling you for BS. This is a formidable business delivering on its growth goals. Extraordinary results achieved against an epically challenging rewards package. I don't believe any seasoned share holders are complaining. We just want more!!

      Tesla now has to pay billions in fines to the corrupt court of Delaware due to an activist judge.
      Shareholder's rights and privileges are not being observed by the court of Delaware. An untested state is likely more advantageous to the business.

      @@markthomas7279 It's not BS. I don't doubt Musk is capable and FWIW I am a shareholder. That said there are a lot of concerns in particular how Musk is splitting is his time among multiple companies and how he is creating more noise in non work activities then he needs too. My preference would be either for Musk to focus more time on Tesla or change current governance a bit. Tesla needs to focus as BYD is being more competitive and X/Y have lost some luster to other high end EVs. I also am disappointed how Tesla is not competing enough with BYD in emerging markets in particular Latin America.

      We knew every detail about ever aspect of the business. 1/3 of Tesla shareholders own a Tesla and almost half have visited the factories.
      We are objectively the most informed group on any stock in history. And yes I voted in favor of this package which 10x'd my share value.

    Chief Judge McCormick took $56 billion away from Musk! Simple as that! Wonder what the Plaintiff’s law firm award will be since Delaware law, they can get 1/3 of the award or up to $19 billion for 5 day hearing.😂

      @HW2800 Law Professors are not Judges, they are professors, there is a difference. There is also a saying in Law, that a ruling should have the appearance of justice, as well as be just. I'm not sure this ruling has either. The professor in this case, only highlighted the Judge's ruling not argue the facts. Judges do make mistakes and that is why they can and have been overturned. One of the things the Law Professors didn't note is that this is a contract between the shareholders (Tesla) and Elon, there has to be a fundamental flaw in the contract, for it to be overturned. How big a factor is the Board's involvement in the shareholder's decision.
