The following steps are necessary if a public company become a private company:
1. Conduct Board Meeting: The Board meeting shall be convene to pass the special
resolution for conversion of public company into private company to consider
reason for conversion and to adopt the new set of article of association and
memorandum of association subject to approval of shareholder.
2. Copy of special resolution: Within 30 days of passing special resolution, copy of
it must be filled with the Registrar of Companies, in Form No.MGT-14, along with
the certified true copy of special resolution and altered copy of AOA.
3. Delisting of listed company: For conversion, the company will have to be
delisted for which the provisions of SEBI Delisting Regulations, 2009, have to be
compiled with.
4. Central Government’s approval: Company shall file the application for
conversion in the prescribed e form with Regional Director within 60 days of
passing special resolution along with the following documents:
a) Draft copy of altered MOA and AOA of the Company and copy of minutes of
general meeting of shareholders in which the conversion was approved by the
Shareholders;
b) Copy of board resolution giving approval to file such an application with RD;
c) Prescribed declarations from Directors /Key Managerial Personnel (KMP )of the
company with respect to restriction of total number of members to 200, nonacceptance of deposits in violation of the law and various other matters as
elucidated under the relevant Section of the Act;
d) List of Creditors drawn not older than 30 days from the date of filing Application
supported by an Affidavit duly verifying the said lis

Section 2 (68) ―private company‖ means a company having a minimum paid-up share capital 1
*** as may be
prescribed, and which by its articles,-
(i) restricts the right to transfer its shares;
(ii) except in case of One Person Company, limits the number of its members to two hundred:
Provided that where two or more persons hold one or more shares in a company jointly, they shall, for
the purposes of this clause, be treated as a single member:
1. The words ―of one lakh rupees or such higher paid-up share capital‖ omitted by Act 21 of 2015, s. 2 (w.e.f. 29-5-2015).
