    No, the 2027 bond that converted was at 0%. The bond converted to MSTR equity at 7.0234 shares per $1000 of the principal on the bond for a conversion price of $142.38. The 2028 bond is the next one due and does have a .625% coupon. I agree, not worried and am long MSTR.

      See my question above. Does this mean the bond holder pays the difference between 142.38 and todays price and then has the option of holding the shares and or selling them capturing the profit between the bond price and the 142.38?

      @@therebellion6911 No, the bond holder gets 7,374,570 shares of MSTR as the bond converts to MSTR equity in lieu of repayment. That is what 7.0234 shares per $1000 of the principal works out to. So the bond holder lent MSTR 1.05b in 2021 and will receive shares of MSTR that are worth 2.61b as of the Friday's close. THAT is why people are willing to lend MSTR money at a 0% coupon and why every bond offering MSTR has done has been oversubscribed.

      I agree it's kind of confusing; but, ultimately it's simple: The last thing Saylor wants to do is liquidate BTC to pay off debt. The 2nd to last thing he wants to do is have to borrow new money just to pay off old debt. He wants these bond holders to convert to MSTR shares instead. Right now, the MSTR price is such that the bond holders would be crazy not to convert. By Saylor announcing he's going to redeem the debt, he's forcing the hand of the bond holders to convert sooner rather than later... because who knows what the MSTR price will be later?

    I agree: Saylor knows what he's doing. This is the playbook.
    However, the debt holders would be stupid not to take their option to convert to shares worth at least $300-$400 each (depending on the day) at a cost of $142.38 per share to the debt holder. Since they are not stupid, this is of course what they will do. They are also not real Bitcoiners, so they are likely to immediately cash in on their big gain - resulting in about $2-3 billion or so in sell pressure on MSTR. It may be that anticipation of this explains why MSTR hasn't been performing quite as well as BTC lately.

      It’s a significant drop in performance relative to the value of their underlying treasury, perhaps worse than the performance in August. There is a growing trend of tradfi funds attacking the stock, as well as coordinated hit pieces.

    Good time to buy. The raw price is no big deal to me if it oscillates up and down, I want the dividend, which I reinvest into MSTY to buy more. Bitcoin maybe become some type of currency to stabilize our worth since they can not print more of it like the fiat dollar. I see paying off ones debt as a very good thing!

    How can ppl NOT k ow the cause of the MSTR price annihilation of the last 2.5 months. MSTR is selling a bunch of stock to buy BTC. In the short term it’s horrible for the stock price. In the long term? I guess we’ll find out.

    Finally someone that actually explains the convertible bond. Only one detail Im unclear on if you or someone can explain. Lets say the price was at 80.00 when bond was issued and they convert to stock at say a price of 120.00 or something like that that which is what I heard happened does the bond holder that is getting shares pay the difference from the 130.00 to todays price? Or a bond was sold today for 350.00 and in 2029 and it can be converted to say 650.00 but the price is 950.00 do they pay the difference of 300.00?

      Example: If MSTR was $80 when the convertible bond was issued (at $1 billion) & the conversion price was $120. Now, 2 years later, MSTR stock is $350 when they call the bond. The bondholder has the option to either receive their initial cash back ($1 billion) or get $1 billion in MSTR stock priced at $120. Since MSTR current stock price is higher than $120 I would assume they want the stocks (or the difference in $$).

      @@kevinpoi3424 But it was up until the stock price hit 143 I think. I believe they sold the bonds at 80.00 with a conversion at 143.00. They bought 80.00 worth of bitcoin and then sold stock to them for 143 dollars . Thats 63.00 dollars worth of accretion off of 80.00. Now there was no accretion since the stock hit 143.00 so they are paying off that debt by issuing shares so they dont have to sell bitcoin. That dilutes the stock but they can go buy 63.00 worth of bitcoin with that sell for the accretion and sell more bonds since they retired debt.. What he did back then just bought us 63.00 worth for each share he sold . Yes the one holder got a hell of a deal but they didnt know it was going up that much and loaned a billion dollars with no interest if it didnt go up. Now they will be lining up for coverable bonds. That if bitcoin doesnt go up have zero interest but if it does there is huge blocks that you can cash in later for accretion. The risk is if it goes down in six yrs and you have to start selling bitcoin.

I believe the price for the BTC was around $40,000....now worth around 2.625 times as much and the bond is now paid off, but the BTC will remain on the books and continue to increase in value.

    Well the charts showed that it could drop to around $280 long before it dd. Much of the trading in the stock is technical. It possibly goes up Monday, however volatility will continue until it breaks out one way or the other, then consolidation…

    Appreciate the video but IMHO, MSTR have overexhausted on their ATMs when they could've opted for the convertible bond route. Shareholders have a limited patience to see the value of their existing holdings being wiped out every time their hit the ATM button. It's enough!

    Saylor needs to use the Manhattan's land to yield something. Like a parking lot or lease it out and get yield! That yield will have PE multiples. If he is scared of exchange risk then insure it but get some kinda yield that will make mstr shoot up and these attackers of mstr stocks will melt. No one thinks btc appreciation is earnings. But if btc yields money that's earnings. Earnings that will have multiples and shoot the stock up and then we can issue more shares to buy more btc. ETFs can't do this.

      Not financial advice, When I look at it, I assess my volatility appetite...I like volatility...MSTR has about a 90 vol, BTC 60, S N P 5000 15 VOL...this gives you an idea of how volatile...but I want the 2 and 3 and 4 x upside, but it also comes with a downside as well...So study both, and decide..I own both...I also got into MSTR when it was much lower price....So If I believed it was going to $600 or $800 or more I would still buy MSTR now..I do believe it will

On 2 January 2025, the Chief Financial Officers of Coinbase and Microstrategy have submitted a 15 page joint letter to the Treasury department and IRS , highlighting the unjust and unintended consequences of the said tax, seeking the Treasury department approval to grant relief or exemption from the 15 percent tax on unrealised capital gain on holding crypto assets . Hopefully the Treasury department and IRS under the new Trump administration can assist. The PDF version of the letter has been posted on the internet. 😮😮😅

      IBIT doesn't buy bitcoin with their profits. Whatever IBIT you buy is what you own (on paper anyway).
      MSTR buys more bitcoin with their profits, thereby growing the company and enlarging your share of the bitcoin.

    If you buy 104k of MSTR , you wont get a whole bitcoin. You'll get roughly 45% of a bitcoin worth of stock. Since Saylor buys bitcoin every time you pick up your phone, in 10 years that 45% could become 6-8 bitcoin! I believe in bitcoin. I understand its value and utility. That knowledge is the reason i hold in the draw downs.
    1. Buy btc or MSTR
    2. NEVER SELL.
    3. Learn all you can about bitcoin.
    Youll sleep very well and your great grandchildren will thank you. Posthumously, of course😂

    Fact is share price dropped , not good at qll for share holders , if you bought share at 450 and above ...then it is a disaster...you feel good because your account still has profit , if not , what is your true feeling ....

    The drop is due to the early redemption of the 2027 bonds. I suspect the bond holder requested the early redemption for whatever reasons. Market responded with a sell off. The bad news is the redemption is payable in shares, about $1.05 billion worth. Get ready for a ton load of dilution which isn't accretive.

      Correct me where Im wrong. You sell bonds when the stock is 80.00. You say if the stock is 80.00 or under in six yrs we will give you your money back. Thats why debt needs to not get higher than 25%. BUT if it goes up in six yrs we will give you 140.00 worth of stock. So today the company bought back the debt and garrenteed the company bought the bitcoin basically at what it was when the stock was 140.00. But it's actually cheaper than it sounds because because mstr runs 2x bitcoin so when they sold the bond it was backed by 40.00 of bitcoin and when they bought it back it was backed by 70.00 of bitcoin. How much debt would you pay off to secure bitcoin today at the price it was when MSTR was 140.00?

Bonds are better/more acretive than atm offerings as long as the stock price is higher. Only a drag if stock is lower then ATM offerings are better.

    If BTC price drops too much, the more BTC per share / the more leverage, the more likely that bondholders hold all the bitcoins. Stockholders get zero (and that will take 4+ years to work through the bankruptcy - see FTX
    ).

    You own no BTC per share if you hold MSTR. Sam Bankman Salyor holds BTC and you're holding worthless MSTR stock. There is no correlation between BTC and MSTR.

    Saylor showing himself as finnansial ginios who can take loans by 0% intrase rate. But in my poiny as invester, i wish he would isued this debt at 5% , 10% , even at 20%. He almost pay triple the debt at 2021. You dont know what in the bag of saylor, and what you will found out at the future with all the loans that he took

    Nobody mentioning recent announcement MSTR will owe a billion tax to IRS on unrealized capital gains (2022 law) on BTC in 2026. Saylor needs big help from Trump.
