If it was public, fans could easily buy it and short the stock and force the anime community to bend to their will. Now only companies that make deals with Kodakawa will be the only ones able to do that.

Someone correct me if I'm wrong here. I thought Sony already prior to this owned around 10% prior to this. As well as Tencent and the South Korean company, I keep forgetting its name. If I recall correctly, then would mean this would give them a 20% share in Kadokawa. In many nations, when someone or some company owns over 15%, they can not only guarantee usually one if not a few seats on the board of said company, but also decide to buy outright if an agreement is met later by the other major shareholders.

From atransactional lawyer, Sony isn't limited by a contract in being able to buy more shares. They could come in tomorrow and demand an ownership share be sold to them or they will go to the shareholders and offer above market prices for their shares. Thays a hostile takeover, and there's nothing stopping this from happenning. A 10% share does t give them much pull to be honest. Share holders often band in clicks, I guarentee there's probably a 30% faction that holds greater sway. Also, shareholders have no say in managerial direction. Legally speaking, a shareholders is just a finna dial backer, they have no say in the direction the company takes. In exchange they are protected from liability the company may take on. When a company slowly buys another company, there's a threshold at 20% where reporting automatically kicks in. Basically a purchase becoming substantive and meaningful at that percentile. Monopoly is more of a mergers and acquisition thing and less a shareholders purchase thing. M&A kicks in at 50% and yes that would still require government approval. But this is an internationnal buyout, so it requires multiple government agencies to sign off.
if kadokawa is a publicly traded company then Sony can buy more shares at anytime at market price, this 10% bought is just to put Sony at the leading position of ownership over the other chinese buyer. Probably to give some breathing room and negotiate some more between kadokawa and sony.
Since Sonly holds the most shares in the company, I fear that with 10% is enough to control the creative decision of whatever content Kadokawa is releasing from games to anime.
We all expected Sony to buy at least 100%, but I'm pretty sure because they saw we were all up in arms about it, they changed the deal to own only a certain percentage just to down play everyone's fear thus far. So there's still the looming threat that Sony can still buy them out completely in the future. And with the 10% ownership of the company, they can still influence a great deal of the company. And whatever goes through Sony of Japan to come here, the Western branches can and will demand changes. While this is not necessarily the worst outcome, it's still not enough to put any fears to rest. Think of the feeling equivalent to that of a death row inmate. You're relieved for now, but you know they only pushed back the inevitable at a later date. Not to mention there's still the problem of the payment processors. If something's not done about that then this thing about Sony might not even matter anymore.
The only two ways I can see Sony not buying more shares is if the other shareholders block it or there's some kinda antitrust, antimonopoly thing that stops them

Not many companies would be willing to clean up their own mess. If Firewalk studios made anything of actual worth then sure they should have been kept around but they made Concord and then the devs whined when people started calling the game trash so firing the whole studio was an extremely rare moment of someone at Sony using a tiny bit of intelligence of which I'm certain was a strange and unique experience for that individual using something they've never used before.

I think the average age of Kadokawa board members is somewhere around 65 with the youngest being 47 and the oldest being 81. Makes sense on why there is so much going on there right now, a lot of the board members are likely going to be leaving and need to be replaced. A lot more shares will be moving into Japanese hands as Kadokawa loses its current board members. As board members leave, Sony will likely begin to acquire a larger share than 10% just to keep the majority control in Japanese hands.

We got the best worst solution, a partial buyout is much better than a total acquisition of the entire company, they are just trying to prevent another company from outside Japan from taking over Kadokawa.

In many nations, when someone or some company owns over 15%, they can not only guarantee usually one if not a few seats on the board of said company, but also decide to buy outright if an agreement is met later by the other major shareholders.

I'm ok with this result as long as they don't have enough control to censor stuff at the source. My favorite genre is fantasy and my favorite types of fantasy are isekai and tensei and I don't want those to change at all. I like them as they are. I don't want series like Redo of Healer, The Rising of the Shield Hero, The Saga of Tanya the Evil, Overlord, Mushoku Tensei, The Eminence In Shadow, ToAru, and Interspecies Reviewers to get censored

Bofuri, World's End Harem, Dogeza, and Harem in the Labyrinth of Another World just to name a few examples. They have also been known to deliberately mistranslate anime like Miss Kobayashi's Dragon Maid and Prison School in order to shove an agenda into it. They canceled the distribution of Interspecies Reviewers on their streaming service Funimation after only 3 episodes because it supposedly "went against their standards" Then we have the absolute garbage anime that they produced like the woke western cartoon posing as anime called High Guardian Spice and Ex Arm the anime so bad it got it's source material canceled.
As long as it's not Gaijin , I'm content .

From atransactional lawyer, Sony isn't limited by a contract in being able to buy more shares. They could come in tomorrow and demand an ownership share be sold to them or they will go to the shareholders and offer above market prices for their shares. Thays a hostile takeover, and there's nothing stopping this from happenning. A 10% share does t give them much pull to be honest. Share holders often band in clicks, I guarentee there's probably a 30% faction that holds greater sway.
Also, shareholders have no say in managerial direction. Legally speaking, a shareholders is just a finna dial backer, they have no say in the direction the company takes. In exchange they are protected from liability the company may take on.
When a company slowly buys another company, there's a threshold at 20% where reporting automatically kicks in. Basically a purchase becoming substantive and meaningful at that percentile.
Monopoly is more of a mergers and acquisition thing and less a shareholders purchase thing. M&A kicks in at 50% and yes that would still require government approval. But this is an internationnal buyout, so it requires multiple government agencies to sign off.
if kadokawa is a publicly traded company then Sony can buy more shares at anytime at market price, this 10% bought is just to put Sony at the leading position of ownership over the other chinese buyer. Probably to give some breathing room and negotiate some more between kadokawa and sony.
Since Sonly holds the most shares in the company, I fear that with 10% is enough to control the creative decision of whatever content Kadokawa is releasing from games to anime.

We all expected Sony to buy at least 100%, but I'm pretty sure because they saw we were all up in arms about it, they changed the deal to own only a certain percentage just to down play everyone's fear thus far.
So there's still the looming threat that Sony can still buy them out completely in the future. And with the 10% ownership of the company, they can still influence a great deal of the company. And whatever goes through Sony of Japan to come here, the Western branches can and will demand changes.
While this is not necessarily the worst outcome, it's still not enough to put any fears to rest. Think of the feeling equivalent to that of a death row inmate. You're relieved for now, but you know they only pushed back the inevitable at a later date.
Not to mention there's still the problem of the payment processors. If something's not done about that then this thing about Sony might not even matter anymore.
The only two ways I can see Sony not buying more shares is if the other shareholders block it or there's some kinda antitrust, antimonopoly thing that stops them
I do find it funny how so many are focused on the elden ring stuff, when its clear this is down to the anime publishing which sony already has a large vested interest in.
And honestly I think its going to be more an aniplex situation where they don't really interfere too much overall, just want that stake as part of their portfolio

10% is a lot to own. Sony can very easily throw it's weight around to force other shareholders into playing along with them. This means that their influence is more than 10%.

Not many companies would be willing to clean up their own mess. If Firewalk studios made anything of actual worth then sure they should have been kept around but they made Concord and then the devs whined when people started calling the game trash so firing the whole studio was an extremely rare moment of someone at Sony using a tiny bit of intelligence of which I'm certain was a strange and unique experience for that individual using something they've never used before.

I don't think that'll happen and that both companies are going to focus on making great games anime, light novels, movies and manga.
I think the average age of Kadokawa board members is somewhere around 65 with the youngest being 47 and the oldest being 81. Makes sense on why there is so much going on there right now, a lot of the board members are likely going to be leaving and need to be replaced. A lot more shares will be moving into Japanese hands as Kadokawa loses its current board members. As board members leave, Sony will likely begin to acquire a larger share than 10% just to keep the majority control in Japanese hands.
