What happens if I have 80% and 1st investor has 20% equity and company valuation is 50,00,000. And 2nd investor comes and give us 50,00,000. Is it, me will have 40%, 1st investor will have 10%, and 2nd investor will have 50%? And will value of per share will get doubled? Also, do we have to take permission of 1st investors holding 20% (10% new) to bring 2nd investor at 50% or only we have to notify them? I would be grateful if you answer these.
These terms are relevant esp in convertible notes funding type. 'Roof' refers to the max valuation that the investor can have while 'floor' refers to the min valuation on which equity can be acquired by the investors.

Your concept of discounted cashflow is wrong because in this we have to estimate future WACC and divide it by the AAA rated bong yield and multiple by 100. If you are not educated then please do not spread rumour. And your other methods are correct but not DCF.

Any importance of valuation certificate..when its required.. point-4.. while raising fund, Is there any protocol to have money in my compnays bank account.... point-5, Now, as a pvt ltd company, we can also make private placement and company issue share allotment by giving them share certificate...but in that institutional fund raising cases...do we have to issue share and share certificate?....plss clarify in details point-6, Is there tenure, after that it is to be valued as per company act? point-7, Who id best to deal with this whole staffs..CA or Corporate lawyer? point-8, what are the legal docs needed?. it should have affidavi or notarized by....or else any format ??... point-9, what is the role of stamp duty on that? point-10, is there any agency for companys valuer or govt register valuer?... point -11,list of legal matter involved while start up is on acquisiton or marger ?? sir...pls ..pld clarify in details..Its a great pleasure to have u on youtube
