    What is the drawback of giving the llc a broad purpose (e.g. ...conduct any activities for which a company may be formed...)?

    Can a registered agent be a member of the LLC? Who should the registered agent be if the company is a single person LLC? When should the tax structure be selected when registering an LLC? Which tax structure is best for a a single person LLC? What are the difference between a regular LLC and a single person LLC?

      Most often the registered agent is a member of the LLC. You will be the registered agent of your single member LLC, provided you are a resident of the state where the LLC needs a registered agent. If your LLC has to register in a different state, because it owns property there or is doing business there, you may or may not have to get a registered agent in that state (where you are not a resident). Some states don’t require a registered agent for a “foreign” LLC registering in the state. The tax structure should be chosen before or within days after the LLC is formed. Usually, it is chosen before the operating agreement is written, because the operating agreement will talk about the tax aspects of the company. The choice of tax structure depends upon how you will make money in the LLC. Usually passive income (rents) are justification for the choice of a disregarded entity. If the income is active or earned income, then usually a Subchapter S choice. A single member LLC is the same LLC as a multi member LLC. Some states don’t extend charging order protection to single member LLCs.

      If you live in the state where the company is formed, you can represent your company as the registered agent. Basically, the registered agent simply has to be a warm body in the state where the company is formed. Most people who form a company in the state where they live act as the registered agent for the company.

    Thanks for the great info! I filed my aoi with my state. I then tried to file for an LLC and I was rejected because I tried to use my aoi name. I am confused, please help if possible

      Usually if there is a name issue you will need to call the state and explain that you are the same person using the name and they will instruct you on how to use the name for the LLC.

      Your residence is the best you can do.     who signs under Organizer for the articles of organization llc, document which as a seal of the state, the owner of company or your agent? in CA.

      The owner of the company (founder) signs the articles of organization. It would be unusual if not prohibited to have an agent sign. The registered agent does need to sign, but usually the founder and the registered agent are the same person.
