60% royality is a rip off from an established brand, the founder clearly lacked negotiation skills, he could have countered to reduce the equity once investment is recouped or could increase the amount of investment for same equity share as Usman was willing to fund at higher valuation. The founder could have reached out to more credible Ecommerce player if it had to be 60% royality. His existing growth is already 30% YoY without investment. The valuation was near to reality and thats why Usman didnt counter on the equity share. In my opinion its not a good deal considering the fact color studio have already obtained a lot of traction.
