Regulation S can be used in conjunction with Regulation D to obtain the objective of raising capital inside and outside the United States.       Yes, a PPM can be used (and is highly recommended) to issue debt securities (promissory notes, debentures, convertible notes, etc.), both secured or unsecured.     do I need a PPM for SEC Reg S offering off-shore?

      Yes sir. Anti-fraud rules (not only US SEC but also many non-US securities regulators) require full disclosure to investors. A PPM helps to accomplish this.

    How do the shares purchased through the Regulation S being traded?

      The shares are still subject to re-sale restrictions for at least 12 months before they can be sold or traded. Does that help?

      Hi @@mangumlaw, thanks for reply. There is a company QMEI.OTC actively promoting a private placement here in Malaysia, and we are allowed to subscribe to the PP by simply filling up forms in the website and paying direct to their subsidiary company in Malaysia. Is that a normal process to subscribe to PP for OTC company? Over here in Malaysia, if I were to subscribe to a PP for any listed company in the KLSE, we must go thru a broker. Just wondering the process is a bit different for US companies.

      @@AhmadFirdausIdris_AFNAN yes there are many issuers -- both US and non-US -- who offer private placements of their securities directly to investors without going through a broker. Does that help?
