Thank you for your comment. The General Assembly set the fees years ago. All fees go to the General Fund for disposition by the General Assembly. Of course, many corporations are small businesses, and many LLCs are actually quite large. You may wish to contact your state representative and state senator and let them know your thoughts on fee differences.

Really love how a small company that is less than 6 months old has to file one of these and pay 200 dollars to essentially do nothing. Should an annual report require the business be at least one year old? What are you gaining by seeing this?
The Annual Report is the source that citizens, banks, and other businesses use to officially determine that a business is in good standing. It enables people to know how to reach the business in a formal way. All 50 states require Annual Reports. North Carolina's General Assembly sets the fee amount and filing requirements. These laws direct the Secretary of State to implement those requirements. One hundred percent of the Annual Report fee goes to the General Fund of North Carolina, from which the General Assembly annually decides where the funds will be spent.
May you explain what the General Fund is and how it serves small businesses? Understanding that for a business that's still building or for a business that hasn't turned a profit, a $200 fee is a financial hit. Is the GA or SOSNC able to show value for that amount of money?

Those elected state officials (Senate and House members) make the laws, set the fees and taxes, and decide how the money is spent. The Secretary of State is responsible for implementing the laws that the General Assembly adopts. In this case, the General Assembly sets the fees for annual reports, and also directs that all the fees collected go to the General Fund. The Secretary of State keeps none of that money. Secretary of State Elaine Marshall is very interested in helping businesses just starting out, and without any support from the General Assembly has been putting together a comprehensive list of free and reduced fee resources that are available to help new businesses succeed. These resources include courses, grant funding, and low interest lenders. Right now Secretary Marshall has created a list for 78 counties, and that list is searchable by county. She intends to have completed the list for all 100 counties by the end of this year. I can't help but notice there are no replies from the State to all of the business owners on here addressing why we are required to pay $200 for basically nothing. Quite disappointed that NC imposes an extra $200 fee to maintain a registered LLC. My business is less than a year old and I have no revenue to show yet. Since money is tight right now, I opted to dissolve the business. I'm equally annoyed to find I've been charged $30 to dissolve.
By the way, the online submission process for dissolving an LCC in North Carolina is terrible. Finding where to submit the document isn't intuitive and the PDF they supply contains editable text boxes for everything except signature. If your Articles of Dissolution get rejected for any reason (as mine did), you're instructed NOT to resubmit the document online, but send them "manually" instead. This is maddening!!
Why is this process necessary and why does it cost $200? I originally thought it was a scam because its such a ridiculous request that other states do not require, seems like a money grab that only hurts small businesses

The Secretary of State works very hard to make sure that this registry is the very best of its kind in the nation - accurate, timely and available to all. Other states (like Delaware) charge the public for access to the information North Carolina's Secretary of State provides for free. Businesses and consumers rely on the accuracy of this data when making business decisions or in the event there is a dispute and service of process must be executed. As for the filing fee, the General Assembly sets all fees that the Department charges for all filings. Is there a way we can request an extension on our annual report. $200.00 is a lot for me to pay when I just started my business and have not made any monies.

While state law requires all LLCs to file their annual reports beginning April 15th of the year FOLLOWNG their creation (and every year thereafter) irrespective of whether they transact business, there is no formal provision for an extension. However, there is no late fee either if an LLC doesn't file by the 15th. The annual report is considered delinquent 30 days after the due date. We can't send any Notice of Grounds of Administrative Dissolution prior to that date and we won't be filing them all at the same time. Those notices will all go out through late spring, summer and fall. We will not be able to tell you when your Notice of Grounds will go out, but you will have 60 days in which to file the annual report once you do receive your Notice or the company will be administratively dissolved. I registered my business on Dec,2023, I should have had done it on or after Jan 2024 😏 that way I could file the annual report till April 2025, just a tip for new business owners about to register their small business. 😒 I just paid my taxes now I have to pay $203 for the report 😢

As long as the business owner files an annual report (or amends one that was filed earlier in the year), and provides accurate contact information for company officials and registered agent, then the business may remain in good standing. If a business fails to file its annual report, and the business owner does not dissolve the company voluntarily, the Department is required by law to dissolve the company administratively. However, this is not an immediate process and the Department provides business owners ample opportunity to stop this process.

I filed my LLC with an effective date and I was depending on that. Seems it was ignored when my business was filed so the SOS database shows that my business began 2.5 months before it actually launched. I received notification that I am expected to pay the annual report based on this mistake. I did email to get it fixed and am waiting for the reply. Is this a common mistake by the SOS? What can I suggest to those I offer business mentoring to make sure it doesn’t happen to them?

This contradict what the video says in min 2:45 (she said she chose report year 2017 since the LLC was formed in 2016). The date file in the report in min 7:45 should be 1/10/2017 (not 2018), right?

If, however, your company was created in 2022, and you forgot to file your 2023 report by April 15, 2023, it is still due by today. This indicates that the first annual report will be for calendar year 2017. The 7:41 minute location is an image of the document to be filed. There may be two reasons why you do not see a monitor icon: 1) Your business is organized as a sole proprietorship, general partnership, nonprofit, limited partnership or as a professional entity (it's legal name ends with PA, PC, or PLLC) and is therefore not required to file an annual report; or 2) An annual report is not yet due for your business. The “Registered Agent” is a person who is totally outside the scope of management or ownership of the company UNLESS that same person is also listed as a company official. The registered agent's sole duty is to receive notices and/or demands upon the company and to forward them to the principal office. The registered agent is considered a service of process contact. This person must reside in NC and have a physical NC address. Because the Registered Agent’s physical address must be listed in the Articles of Organization and Annual Report, AND because these are public documents, some business owners prefer to contract with a private company to act as their Registered Agent rather than disclose their physical address. That is a personal choice each business makes. Consequently, unless you contract with a third party to act as your registered agent, you would list yourself and your physical street address, unless you have a business location having a physical street address.
A Limited Liability Company is NOT taxed on its income. Members are taxed on the income of the LLC unless they elect to be taxed as a corporation. We suggest you speak with your accountant and/or tax attorney for further guidance.

There may be some slight confusion. If you are talking about filing tax quarterly reports, that is a question you will need to direct to the NC Department of Revenue (www.ncdor.gov/contact-us). With regard to annual reports filed with the Secretary of State's Office, a business's annual report has nothing to do with sales. If your business entity is required to file an annual report, it must do so for each year for as long as it wishes to remain in business. If your annual report was due on April 15th, it will not be considered delinquent until after June 15th. How long should it take to process the annual report? I get conflicting information. Initially it was 3 weeks. Then 8. Then my report was received but it was incomplete. I wasn’t notified and had to email to find out why it was taking so long - this was after two months of the filing. I submitted the missing doc and pmt almost two weeks ago. Was initially told it would take 1-2 weeks. Still no word. How long should this process take? So far it’s 10 weeks.

I received a notice from you saying my annual report filings were not up to date. I just looked and your website says I filed 4 times for 2019 and 2 times for 2021. I have no idea how that is possible. How do I fix it and how do you apply each $200 to the correct year. I did not see a filing for 2018 and 2020. I really want to fix this. You did not state when that moved occurred, whether you withdrew your registration from North Carolina, whether you filed with Florida to convert to a Florida registration, or whether you wish to have dual registration. With that said, if you did not dissolve your North Carolina company, or convert to a Florida registration, prior to April 18, 2022, you must still file your 2023 annual report with us on or before April 17, 2023 (start here: www.sosnc.gov/online_services/search/by_title/_Annual_Report). Whether you owe any report to Florida is a question best posed to the Florida Secretary of State's Office (see dos.myflorida.com/sunbiz/). I filed to start an LLC in June but due to some unforeseen circumstances could not start the business at all. and then I closed the LLC after few months. Do I still pay taxes?

No, North Carolina law requires you to have a registered agent. Under North Carolina law, the address for a business's registered agent must be an actual street address, not a post office box or a shipping store box address. This is necessary so that service of process or some other demand notice upon the company can be executed. It is a suggestion that people not use their home address because this information is a public record. Some people do not wish to list their home address for that reason. If this is a concern for you, there are companies, including virtual ones, you may contract with to act as your registered agent.

I would like to know why corporations only pay $25 but small businesses like LLCs pay $200. This is not equitable at all.

Of course, many corporations are small businesses, and many LLCs are actually quite large. The Annual Report is the source that citizens, banks, and other businesses use to officially determine that a business is in good standing. It enables people to know how to reach the business in a formal way. All 50 states require Annual Reports. North Carolina's General Assembly sets the fee amount and filing requirements. These laws direct the Secretary of State to implement those requirements. One hundred percent of the Annual Report fee goes to the General Fund of North Carolina, from which the General Assembly annually decides where the funds will be spent.

May you explain what the General Fund is and how it serves small businesses? Understanding that for a business that's still building or for a business that hasn't turned a profit, a $200 fee is a financial hit. Is the GA or SOSNC able to show value for that amount of money?

The General Fund is the fund that the General Assembly manages. Those elected state officials (Senate and House members) make the laws, set the fees and taxes, and decide how the money is spent. The Secretary of State is responsible for implementing the laws that the General Assembly adopts. In this case, the General Assembly sets the fees for annual reports, and also directs that all the fees collected go to the General Fund. The Secretary of State keeps none of that money.
Secretary of State Elaine Marshall is very interested in helping businesses just starting out, and without any support from the General Assembly has been putting together a comprehensive list of free and reduced fee resources that are available to help new businesses succeed. These resources include courses, grant funding, and low interest lenders. Right now Secretary Marshall has created a list for 78 counties, and that list is searchable by county. She intends to have completed the list for all 100 counties by the end of this year. I can't help but notice there are no replies from the State to all of the business owners on here addressing why we are required to pay $200 for basically nothing. This is a money grub from the state and should be illegal. Yet when we complain about the unfairness of it we are met with silence.

Quite disappointed that NC imposes an extra $200 fee to maintain a registered LLC. My business is less than a year old and I have no revenue to show yet. Since money is tight right now, I opted to dissolve the business. I'm equally annoyed to find I've been charged $30 to dissolve.
my accountant said to stay as a DBA until you're really making significant income and PROFIT.

By the way, the online submission process for dissolving an LCC in North Carolina is terrible. Finding where to submit the document isn't intuitive and the PDF they supply contains editable text boxes for everything except signature. If your Articles of Dissolution get rejected for any reason (as mine did), you're instructed NOT to resubmit the document online, but send them "manually" instead. This is maddening!!

Thank you for your question. It is one we get asked a lot. Actually, there are many other states which require annual reports. The Annual Report is an important statement that declares the business is continuing to operate and that makes sure banks, businesses and others have accurate contact information about North Carolina businesses. Without the Annual Report requirement, the business registry and contact information very quickly would become stale and of little value -- like trying to use a phone book published in 1990. The Secretary of State works very hard to make sure that this registry is the very best of its kind in the nation - accurate, timely and available to all. Other states (like Delaware) charge the public for access to the information North Carolina's Secretary of State provides for free. Businesses and consumers rely on the accuracy of this data when making business decisions or in the event there is a dispute and service of process must be executed. As for the filing fee, the General Assembly sets all fees that the Department charges for all filings. All of the funds collected are immediately deposited into the state’s General Fund, which is managed by the General Assembly. We hope this information is helpful to you.

While state law requires all LLCs to file their annual reports beginning April 15th of the year FOLLOWNG their creation (and every year thereafter) irrespective of whether they transact business, there is no formal provision for an extension. However, there is no late fee either if an LLC doesn't file by the 15th. The annual report is considered delinquent 30 days after the due date. We can't send any Notice of Grounds of Administrative Dissolution prior to that date and we won't be filing them all at the same time. Those notices will all go out through late spring, summer and fall. We will not be able to tell you when your Notice of Grounds will go out, but you will have 60 days in which to file the annual report once you do receive your Notice or the company will be administratively dissolved.

I registered my business on Dec,2023, I should have had done it on or after Jan 2024 😏 that way I could file the annual report till April 2025, just a tip for new business owners about to register their small business. 😒 I just paid my taxes now I have to pay $203 for the report 😢

If you then wish to operate as a sole proprietor, you would need to contact your county's Register of Deeds Office and file an assumed business name certificate. The General Assembly sets the Annual Report fees and requirements, and all the collected fees go to the General Fund that the General Assembly manages.
The annual report does not require disclosure of any financial information about the company. It simply is an important declaration that the business is continuing to operate, thereby ensuring that banks, businesses and others have accurate contact information for that business. It also allows the business owner to keep the name of the business. Without the Annual Report requirement, the business registry and contact information very quickly would become stale and of little value -- like trying to use a phone book published in 1990. The Secretary of State works very hard to make sure that this registry is the very best of its kind in the nation - accurate, timely and available to all. Other states (like Delaware) charge the public for access to the information North Carolina's Secretary of State provides for free.
As long as the business owner files an annual report (or amends one that was filed earlier in the year), and provides accurate contact information for company officials and registered agent, then the business may remain in good standing. If a business fails to file its annual report, and the business owner does not dissolve the company voluntarily, the Department is required by law to dissolve the company administratively. However, this is not an immediate process and the Department provides business owners ample opportunity to stop this process.

I filed my LLC with an effective date and I was depending on that. Seems it was ignored when my business was filed so the SOS database shows that my business began 2.5 months before it actually launched. I received notification that I am expected to pay the annual report based on this mistake. I did email to get it fixed and am waiting for the reply. Is this a common mistake by the SOS? What can I suggest to those I offer business mentoring to make sure it doesn’t happen to them?

Stupid question but which year are you supposed to use? 2023 for this past years report?
Not a stupid question at all! An LLC’s first annual report is due on April 15th of the year following the creation year and every year thereafter on or before April 15th. So, assuming your LLC was created on or before December 31, 2023, your 2024 annual report is due on or before April 15, 2024. If your LLC was created on or after January 1, 2024, the first annual report is due on or before April 15, 2025.

This contradict what the video says in min 2:45 (she said she chose report year 2017 since the LLC was formed in 2016). The date file in the report in min 7:45 should be 1/10/2017 (not 2018), right?

The 2:45 minute location is providing instruction on which calendar year is being filed for. LLC’s are required to file an annual report on or before April 15th of each calendar year following the year of creation. The example in the video is a company which created of record on September 20, 2016, which is indicated at location 1:44 of the video which lists the only document filed is the creation document. This indicates that the first annual report will be for calendar year 2017.
The 7:41 minute location is an image of the document to be filed. It also indicates the calendar year for this filing is 2017.
The 7:45 minute location is also an image of the document to be filed, but with a view of the signature section and the date filed. The date this document was submitted and filed online was 1/10/2018. This date has nothing to do with the calendar year of the document.

There may be two reasons why you do not see a monitor icon: 1) Your business is organized as a sole proprietorship, general partnership, nonprofit, limited partnership or as a professional entity (it's legal name ends with PA, PC, or PLLC) and is therefore not required to file an annual report; or 2) An annual report is not yet due for your business. If you have any questions, you may contact our Business Registration Division at (919) 814-5400, Option 1, during normal business hours. Please be patient if you are put on hold. This is our busiest time of the year.

I agree with your OMG. I established my LLC but have not made much due to folks just starting to come back from the pandemic to substantiate having to pay $200 just file how less I made.

The “Registered Agent” is a person who is totally outside the scope of management or ownership of the company UNLESS that same person is also listed as a company official. The registered agent's sole duty is to receive notices and/or demands upon the company and to forward them to the principal office. The registered agent is considered a service of process contact. This person must reside in NC and have a physical NC address. Because the Registered Agent’s physical address must be listed in the Articles of Organization and Annual Report, AND because these are public documents, some business owners prefer to contract with a private company to act as their Registered Agent rather than disclose their physical address. That is a personal choice each business makes. Consequently, unless you contract with a third party to act as your registered agent, you would list yourself and your physical street address, unless you have a business location having a physical street address.

A Limited Liability Company is NOT taxed on its income. Members are taxed on the income of the LLC unless they elect to be taxed as a corporation. We suggest you speak with your accountant and/or tax attorney for further guidance.

There may be some slight confusion. If you are talking about filing tax quarterly reports, that is a question you will need to direct to the NC Department of Revenue (www.ncdor.gov/contact-us). With regard to annual reports filed with the Secretary of State's Office, a business's annual report has nothing to do with sales. If your business entity is required to file an annual report, it must do so for each year for as long as it wishes to remain in business. If your annual report was due on April 15th, it will not be considered delinquent until after June 15th. Annual reports can be filed online by starting at www.sosnc.gov/divisions/business_registration/annual_report. We hope this clarifies things. Good luck!

How do you determine the fees? My fees are more than doubled?
How long should it take to process the annual report? I get conflicting information. Initially it was 3 weeks. Then 8. Then my report was received but it was incomplete. I wasn’t notified and had to email to find out why it was taking so long - this was after two months of the filing. I submitted the missing doc and pmt almost two weeks ago. Was initially told it would take 1-2 weeks. Still no word. How long should this process take? So far it’s 10 weeks.

That is correct. State law (NCGS § 57D-2-24(b)) states, in part, "The first annual report of a limited liability company is due to be delivered to the Secretary of State by April 15 of the year following...the calendar year in which the LLC's articles of organization or articles of organization and conversion filed by the Secretary of State become effective..." Consequently, if your company was formed in 2020, your first annual report was due by April 15, 2021. It will not be considered late, however, if you file by June 15th. The Annual Report is the source that citizens, banks, and other businesses use to officially determine that a business is in good standing. It enables people to know how to reach the business in a formal way. All 50 states require Annual Reports. North Carolina's General Assembly sets the fee amount and filing requirements. These laws direct the Secretary of State to implement those requirements. One hundred percent of the Annual Report fee goes to the General Fund of North Carolina, from which the General Assembly annually decides where the funds will be spent.

Received a Notice of Administrative Dissolution. The file by date for the Annual Report was April 15, 2023. Went online and attempted to file the Annual Report and was unable to do so. It hasn't been 60 days which I understand is the cutoff for filing the Annual Report after the Dissolution Notice. Can I file the Annual Report online?

I received a notice from you saying my annual report filings were not up to date. I just looked and your website says I filed 4 times for 2019 and 2 times for 2021. I have no idea how that is possible. How do I fix it and how do you apply each $200 to the correct year. I did not see a filing for 2018 and 2020. I really want to fix this. Can I file by regular mail and pay the fee by personal or Company check?
While we understand the hesitancy that some may have about online filing, we strongly encourage it in this case because it is quicker and easier, and it minimizes delays caused by human error. The report is considered filed when submitted, and the business owner gets immediate confirmation that it has been filed. Furthermore, our online registry is immediately updated so anyone checking it will see that the business is in current-active status. By contrast, it is taking between 14-21 business days from date of receipt for us to process paper reports. Can the annual report still be filled late and is there another fee associated because of it?
There is no penalty or late fee for filing the annual report late, but we can begin to send out Notices of Grounds for Administrative Dissolution to those business entities that have not filed their annual reports by 6/15/2021. Thus, it's important that businesses file their annual reports by 6/15/2021 if they want to avoid receiving a Notice of Grounds for Administrative Dissolution. You state you registered your business with us in January 2022 and have since moved to Florida. You did not state when that moved occurred, whether you withdrew your registration from North Carolina, whether you filed with Florida to convert to a Florida registration, or whether you wish to have dual registration. With that said, if you did not dissolve your North Carolina company, or convert to a Florida registration, prior to April 18, 2022, you must still file your 2023 annual report with us on or before April 17, 2023 (start here: www.sosnc.gov/online_services/search/by_title/_Annual_Report).
Whether you owe any report to Florida is a question best posed to the Florida Secretary of State's Office (see dos.myflorida.com/sunbiz/).
If you did dissolve your North Carolina company, or filed to convert to a Florida company prior to April 18, 2022, you would owe an annual report to Florida but not to North Carolina.
If you wish to retain registration in North Carolina but merely do business in Florida, you would apply to the Florida Secretary of State's office for a Certificate of Authority to transact business in Florida. Going this route, however, will mean that you will need to keep both registrations active.
Finally, you can file Form BE-16, Articles of Conversion ($50.00 fee) with our office to move the domesticity of the company from North Carolina to Florida. You would also have to file the document required by Florida to convert from NC to FL company. You would then only need to keep the FL company active. You would not be required to file the annual report with us if your company's status is still Converted on our records.

I filed to start an LLC in June but due to some unforeseen circumstances could not start the business at all. and then I closed the LLC after few months. Do I still pay taxes?
All questions relating to your company's tax liability should be directed to the IRS (for federal tax questions) and/or the NC Department of Revenue (for state tax questions). You mentioned that you closed your business after only a few months. Remember, your business is only officially "closed" when it has either been administratively dissolved by our Department or you have filed Articles of Dissolution. If you haven't filed your Articles of Dissolution, you will need to do so. Changing your address is not quite as simple as going into your account and making a typographical change. State law requires transparency in business records, which means changes in address for either the principal office or registered agent, or changes in company officials, must be publicly available. Which form you file will depend on the business structure your company is formed under and what information is to be changed.
For companies organized as a business corporation, Limited Liability Company or Limited Liability Partnership, the simplest way to change your address is by filing or amending their annual report. This can be done online at www.sosnc.gov/online_services/search/by_title/_Business_Registration.
However, since you indicated your company is formed as a Professional Limited Liability Company (PLLC), it is exempt from having to file an annual report. In this case, you would file Form BE-17 ($10.00), Designation Statement of Change of Principal Office and Registered Agent Name/Office to change the address of either or both the principal office and/or registered agent. If you only need to change the registered agent's address, you may file Form BE-06 ($5.00). No, North Carolina law requires you to have a registered agent. Under North Carolina law, the address for a business's registered agent must be an actual street address, not a post office box or a shipping store box address. It is a suggestion that people not use their home address because this information is a public record. Some people do not wish to list their home address for that reason. I would say call them to verify. I created in 2022 as well and filed an annual report last year, 2023 and have to do one this year as well.
