The SFA were part of the 5 way agreement to transfer the membership to the new company (along with SPL & SFL). This included the crest, stadium, colours, and crucially the company's goodwill. This was clearly allowed to happen because these bodies regarded the club to be the same regardless of the company running it. It was incorporated as you say but this agreement allowed the club itself to be preserved. If you don't like that it's fair enough, but it is fact fully backed up by these bodies.
