  • An expert in corporate governance and operations management, William Pounds has served as a director of many companies and as a trustee of a number of non-profit organizations. From 1981 to 1991, he was the senior adviser to The Rockefeller Family. He observes, writes and teaches about the management and governance of organizations of all kinds. Pounds gave a presentation to students at the Tepper School of Business.

    True. Also, I live and invest in Chile, and although some things he said are true, no one here thinks the controling owners are going to steal their money. That has never happened. Period.
    Also, the market only pays undiversifiable risk (in theory ate least)
    Finaly, the fact this guy didn't say the word agent or principa, doesn't mean his did not address the topic!!!

      my experience in school you mostly need to simplify when the students didn't do the required reading before class.
      if you do the required reading before class you're not learning the material in class first pass. reviewing something a second time is a little different and adds more understanding in my opinion. the instructor can discuss more detail and cover way more information when the students come to class prepared having read the required text. if you did all the required reading you kind of already know all the material and the instructor is reinforcing and clarifying information. if you read the textbook and don't understand most of the material you have bigger problems, especially with the internet to supplement reading that's not explained well.
      he actually covers very little information in the time spoken. I could read in 5 min what he discussed, although at the end he makes a few good points I suppose, but he takes forever at a snails pace to get there. I've taken college courses at jr colleges, tier 2 and tier 1 colleges. his pacing reminds me of jr college presentations. not to go off on a tangent, but I've had professors lecture slow and folksy like this guy and come exam time 90% of the questions were random technical questions from the assigned reading. that particular class half the students failed the first exam and dropped the course. i'd guess the half that didn't drop did the readings and were able to answer the exam questions. but that's certainly not the norm.
      i'll let you in on a secret. your success in life is largely attributed to possessing a high degree of these three attributes: intelligence, conscientiousness, and being disagreeable. If you have these three things you generally will do very well in your career and relationships. Having a crappy professor/instructor has little impact on your success in school or life. You should already know 95% of the material when you walk in the door. The professors is just telling you, in most cases, what's on the exam. And if you really want to impress the professor (not sure why you'd care though) you also read the same material in a textbook the professor never uses so you have ideas/insights on the material probably no one else in the class has.

    An interestinc Lecture wiht some humor. But what about all the hyped Corporate Governance Scandals, the loopholes, and the acts and codes such as the US SOX and the UK Combined codes.
