    I would recommend caution when deciding which state to use. Wyoming comes to mind as a low-tax state.

      For non-US citizens it really doesn't matter too much, as they are not paying any US tax in most cases anyway. Also state reputation doesn't play a huge role in my experience.

    Also another point, if you set up the LLC and elect to have it treated as S corp or C corp for tax purposes, then you are allowed to own LLC as a non US person. The Pass through election for taxation you are talking about in not allowed if you are not a US person because the government knows they can't tax foreigners. Again many people might be doing it, but believe me it is illegal and when trouble arises they have no defense.

    Not 0 tax, I'm a solo entrepreneur and have a US LLC and I live in Africa. We are liable to 15% federal tax + state tax if applicable, I chose NM it has not state tax but you have to pay maintenance fees for the LLC via agent/

      How are you friend! Your LLC is also registered in New Mexico? Mine is, and I'm from Kazakhstan. So no state tax in NM, but what's maintenance fees? Do you pay any other taxes specific to NM state? I'd appreciate your answer😊

    Most banks required a address to open an bank account. Once I sign up for a virtual address and be able to open a bank acocunt (for example: Wells Fargo) will I still need to pay tax? Since I understood that if you have a address you then need to pay tax in this video

      No. Since you have a virtual address, you physically don't have a business at that address or have a permanent residence at that address. By doing so, you would be subject to their taxes. It's pretty much a passerby if you're a non-resident from another country and have acquired the LLC.

      It’s only for single member LLCs. You could try and have a offshore corporation own the us LLC then you could have two owners own the corporation.

    Hiwever, the state in which you register the LLC WILL tax you as non resident LLC.

    Quick question: Do you know if I should continue giving US clients a W-8BEN since I am a NRA and have no US source income, or should I now give them a W-9 because the company despite being a disregarded entity?

    I do not belive not US residend has no obligations to pay the taxes. According to US law if you are owner of LLC you should pay the taxes from net profit of your company. Does not matter if you are resident or not. No exceptions.
    Please, correct me if I am wrong

    If i own a non-US-company who owns 100% of a single-owner-US-LLC and this american company buy and hold stocks and then periodically receive DIVIDENDS from these shares, WILL THE COMPANY BE TAXED IN THE US?

      Dividend payments are quite different. Dividend payments from a U.S. corporation to a non-US resident (which would be your non-US company, via the pass-through LLC) are generally subject to U.S. withholding tax.

    Hi,we are starting a truck dispatching company (llc) (non us resident operating in asia) and we just provide our time and services to other truck businesses IN the USA and charge them. We DONT have an office or an employee in the USA, are we included in the tax givers?     It's quite sad for US citizens when they realize how LLCs have a better quality of existence than, oh I don't know, actual US citizens... Might as well form an LLC, renounce your citizenship, and go to places that actually care more about their citizens.
    Consider the following math:
    Lucky $200k/year --> US Citizen pays 32% ($136,000 USD remains) in federal tax. An LLC owned by non-citizen pays 0% in federal income taxes, and back to 32% if owned by one US-citizen (21% if multi-citizen owned). That means their effective, after tax rate (USD/hr) for the same work is $65/hr for citizens and $96/hr for non-citizen owned LLC. Put another way, The non-citizen owned LLC only has to work 68% of the hours a citizen would...
    And what do the citizens get? Terrible health care, terrible education system, rising crime and school shootings. And the list goes on. Sadly once the US removes these loopholes, they'll no longer be the same center for international trade they once were. The outcome will still be negative for citizens.
    Enjoy the tax-free, non-citizen LLC membership while it lasts. I may just bail and do the same. Just know this can't possibly last through the coming decades, it's just too unsustainable for the local citizens. Prepare for that transition accordingly.

    Two years ago I started online selling recently I changed my business to Amazon usa with an llc for non residents im from Mexico so US and my country have some good deals for commerce, im not an expert I only have sold around 25 k in sales revenue in us and it’s true Amazon gives to me the taxes but in my understanding I will still need to pay taxes in my mother country

I am a US citizen, but not a US resident at the moment, I am an expat, as they now call Americans living abroad. Is there any difference between being a citizen or a resident of the US for incorporating.

    Hello, I pretty much understand the taxation and how it would work here but I need to understand better, let's assume I have customer data on my local server in Germany. Well whos laws apply? Even if you come from a high tax jurisdiction, it makes sense to register in the U.S. because the data and privacy laws in the EU are just flatout nuts and impossible to deal with. But is it really so? Wouldn't the German government send in some inspection to tell me I can't do this or I can't do that? Can this crazy government tell me "yes you are registered in the U.S. but we get to control how the data is saved". Because then... all this mess is for nothing...
    Isn't it better then to just register a C corp and hire someone to install servers and then tax everything in America and just pay out a small divident to survive and be taxed only for that in these small European shithole countries and that's it...

    I would start a online store. Im local based in germany. If i start a wyoming llc and dont have employees in USA so i dont have to pay taxes right? I am scared that the german government can find out that i have a company in the US. Or do you think there is a way to open a LLC that the government dont know about it? Please let me know

      You would not have to pay taxes on the US side. However operating an LLC from Germany legally, will not lead to any tax benefits. I do not recommend to operate in a way that does against the tax laws, if you live in a G-20 nation. However the German government at this time would have almost no way to ever find out that you are the owner of this company.

Then when he will make money ..how can he spend his money in his original country when his bank account in the USA !!!     Hi Chris, how about federal tax on non-US incomes? Because it seems feds never give up on their portion regardless of the source of income or the residency. Flat 30% income tax for LLC members is what I read. Still didn't get very clear answer though.

      Yes, if let's say you sell eCommerce goods you need to pay sales tax for each state.

      @@lextor4712 Is this counted on each transaction - for example, as a Wyoming LLC I sold 10 goods for NY customers and 5 for Florida customers, so I pay 10 x NY sale tax rate + 5 x Florida tax rate, right? Or is it somehow different calculated?

    As a non resident USA with LLC, when I send an invoice to a US customer business, I dont have to set any taxabe price on it, Do I? I mean, just the price for the service or product without any tax. So the locals can not deduce any tax as they did not pay any. Will they be happy with that? Thank you in advance Chris.

    Hi. I’m very interested in learning more. I have an LLC I set up last year in Missouri. I later updated my resident status on my passport to non-US Citizen. I also have a 98# from the IRS (Morocco) and I’ve been wondering how to incorporate all of this and also get my current employer to receive the w8Ben form. Please help!

      Definitely LLC as non US resident as a solo member. Make sure you have no employee in the US that works exclusively for you.

    Do you guys know if an LLC formed in the US, on New Mexico that being of one foreign individual when invoicing their US clients does it have to include VAT or any other taxes as part of the invoice?

      US doesn't levy VAT. Only sales tax depending which state you've incorporated your Foreign-owned LLC.

    I guess this has changed because I setup my LLC in WY and it is lower tax but you have to pay federal income of 30% even though I am a non-resident according to chartered accountant I hired in the US..

    Not entirely correct. Non us people are not allowed to own LLC in US for the same taxation reason you are talking about. They are only allowed to own C corporation stocks which is taxed differently. Sure you can own LLC unlawfully and no one will stop you from setting it up and use your methodologies to avoid taxed. But if you are caught and somehow end up in courts for some reason with a good opposing lawyer who knows what they are doing, you will be charged with tax evasion.

      You must be either a resident of a country with no income tax, a country with a territorial tax system (and no CFC rules) or a fiscal nomad, for this setup to really make sense from a tax perspective. If you are a resident in most of the Western countries (EU, Canada, Australia etc.), then most of the time this won't make sense for you from a tax perspective.

      There are a number of factors this will depend on. If you are not planning to have any US source income it doesn't matter too much, and I regularly recommend New Mexico.

      DEAR FLORIAN, WAKE UP MY FRIEND FROM THE DAY DREAM. I LIVED 10+ YEARS IN THOSE COUNTRIES U MENTIONED IN GCC AND THEY HAVE JUNGLE LAWS. It's sad, yet true. Even US+UK citizens have no power in the country. Hence, I set up my firms in excellent jurisdictions and quit. Will never fly by GCC airlines, nor thru their countries. On contrary if you are working for BLACKWATER of Prince, then surely u'll receive red carpet welcome.

      If you have your permanent residence in Japan, you will have to pay income tax on your worldwide income. While you can often still operate an LLC from high-tax jurisdictions, from a tax perspective it usually doesn't make any sense.

    But I believe it is mandatory for foreigners who own a single-member LLC in the US to file IRS form 5472 along with IRS form 1120 which if not filed or filed incorrectly are penalized with a minimum of 25000$. Is it not so? With this system in place, do the foreigners who own an LLC in the US end up paying hefty taxes to the US govt? How does that work? Are there any exceptions?

      Form 5472 w/ 1120 is mandatory, but not something to be worried about. Once a year you hire a CPA (or my company) to fill those forms, and that's it. And Form 5472 has nothing to do with taxes, but is purely an information return.

    I've check this with bookkeepers un the US and they said all companies un USA must Pau Federal Taxes. Have you done ir personally? There is a lot myths on internet..

      @@aman.kapoor In the end I decided to not go with a US LLC or C-Corp. But rather in a relatively low tax EU country. I suggest contacting a real accountant.

    So if you not eligible to pay US taxes, do you have to pay them to your home country or are you totally free form taxes? What about Delaware income tax, do I still have to pay that?

      There are no tax obligations on the level of LLC (except for when that business has economic nexus in the US).
      You do still have your personal tax obligations. If you live in a country with worldwide taxation, you will have to pay taxes there. If you live in a country with territorial taxation, like Panama, Georgia etc. there won't be any further taxes.

      @@GlobalizationGuide I'm panamanian, I live In Panama, But I've got an LLC in Delaware, I am not U.S resident, I have never been in U.S Territory, Am I absolutely free on filing and paying taxes with USA and Panama?
      And what If I need to enter the information about the third party bank located in USA which is Wells Fargo(I don't have Bank account with Wells Fargo ) the American Bank Entity required and used as a correspondent to transfer the payments to my bank account entity in Panama? Would I have to file taxes with panama and USA?
      In Addition, I have Payoneer account which provides you with an American Bank Account so you can link it to receive your payments. What about that when it comes to taxes?

      @@henryacero1227 You are not free from filing tax reports, typically you have to file everything, however whether or not the transactions you had outside the US are reportable or not is a whole another story. Everything is not rainbows and flowers as the video might make it seem, there are a lot of things to factor in, so a CPA consultation is the most reasonable step to start with, imho.
