Why would you ever buy a business from someone and after the sale, have them run it? It may not be sabotage, but why would he care? He’s probably playing scrabble on his phone while members are trying to chat with him.

And THEN she doesn't bring the contracts, and isn't suing for the cancelation charges. If he can't prove he received those funds (HIM writing something down doesn't count), he owes them. In addition, if she wants to claim he did something, or was negligent, here's an idea: TALK to the customers who left! If they say he was the reason, get multiple affidavits and bring two to court. On top of everything, she brought NOTHING that proved her case! Not even the customer's contracts! Did she really think comparison cancelation rates would do it?? LOL. That could be many things, including the fact that the club was just sold, and they were unsure how it was going to be handled with the new owner, especially when the new owner couldn't be bothered coming there the first couple of weeks. It makes sense that they figured it was going to go downhill from there. Maybe that's why she didn't bring any of the customers with her.

On top of that maybe all those members left when they found out the ownership was changing. That happens in a lot of small businesses. When the customer or member finds out ownership is changing they don't want to deal with that and they decide to go elsewhere which is their own right. No matter if they have to pay a penalty fee or not. So she can't be mad at him for that.

I used to work for a tax firm that bought another tax firm. They wrote in a clause that the former owners had to work as employees for a few months to transition the clients over instead of just pulling the rug out from clients. That's what this lady should have done. Why on earth did she think traveling was a better idea?

The judge is wrong that its his job to maintain whatever she was doing after the sale but, with that said, often times in a sale of this nature, the people going to the business is doing so because they developed a relationship with the owner operator and when the owner leaves, they will stop patronizing the business. That is why in a business sale, the broker if oen is involved will tell the owner to slowly withdraw from the day to day operations and slowly replace his or her presence with the new person and that takes months and during that time, there is some type of compensation for that process but she couldnt expect him to work for free and command her responsibility . The judge could not penalize him for people leaving the business unless he was telling people to quit and come to his new gym. He probably didnt try to save the people from quitting and even then the judge can not enforce that responsibility since that would mean that if an employee is lazy the company can decide not to pay them because they werent working up to expectation and that is illegal

You also have to account for good will, which could be especially high since it is a franchise. You can't dismiss intangible assets in a business valuation. Additionally, there is all the equipment and merchandise included in the sale.
