I am just trying ro understand how can a contract be said to be terminated but the obligations thereunder survive? Especially in a confidential agreement. If the purpose is to protect the confidential information and the obligation to not disclose exists even after termination, then what exactly does termination mean here? Isn't the agreement live even when one is said to protect the information after termination?
Termination will end the contract. No further information will be shared or processed. However, some obligations may survive. In NDAs confidentiality obligations extend beyond the term, in MSAs typically indemnity survives, non compete obligations also survive.
How does this work with HIPPA"waiver" I say waiver because this doesn't protect the patient. But it does protect the medical institutions,Dr's. and administrative. What us the benefit of signing a document that doesnt protect your privacy but their abuse of your privacy. Because you can't prove that a breach or leak of private information was exposed? I ask because I was told by a. Dr's office no treatment without signing it.
