In tyk Ques no 3: Mr Joseph.
He was the member of the company and he filed a complaint against the company for non payment of dividend to which court refuse to admit.
In ans Institute has written that the court should take cognizance since it is applied by a member.
But in Sec 439 it is written cognizance shall be taken on application by a sebi approved person.
Then in the above ques court did the right thing by not accepting the application na?
Please clear my confusion

I believe this situation involves a clever play on words "shall" and "may". The provision stipulates that the court "shall" (is obliged to) consider written complaints submitted by the registrar, a member, a shareholder, or an individual authorized by the CG. However, in the proviso, it states that the court "may" (has the discretion to) consider matters concerning the issuance and transfer of securities and the non-payment of dividends when a complaint is made by a person authorized by SEBI.
